EMPLOYMENTAGREEMENT
THISEMPLOYMENTAGREEMENT(hereinafterreferredtoas"Agreement"),isbyandbetweentheCityofHallandaleBeach,Florida,aFloridamunicipalcorporation(hereinafterreferredtoas"City"),andDaniel A. Rosemond(hereinafterreferredtobynameoras"CityManager").
W ITNESSE TH:
WHEREAS,theCitydesirestoemployDaniel A. RosemondasCityManageroftheCityofHallandaleBeach,Florida,asprovided forintheCityCharteroftheCityofHallandaleBeach;and
WHEREAS,theCity,throughitsCityCommission,desirestoprovideforcertainbenefitsandcompensationfortheCityManagerandtoestablishconditionsofemploymentapplicabletotheCityManager;and
WHEREAS,Daniel A. RosemonddesirestoacceptemploymentasCityManageroftheCityofHallandaleBeachunderthetermsandconditionssetforthherein.
WHEREAS,theCityherebyagreestoemploy Daniel A. RosemondasCityManagertoperformthefunctionsanddutiesspecifiedinArticleVI,Division3oftheCityCharterandbytheCityofHallandaleBeachCodeofOrdinances,andtoperformotherlegallypermissibleand properdutiesandfunctionsastheCityCommissionperiodicallyassigns.
NOW,THEREFORE,inconsiderationofthemutualpromisesassetforthinthisAgreement,thepartiesagreeasfollows:
Section1.Employment.
A.TheCityofHallandaleBeachherebyhiresandappointsDaniel A. RosemondasitsCityManager,underthetermsestablishedherein,toperformthedutiesandfunctionsspecifiedintheCityCharterandtheCityCodeofOrdinancesandtoperformsuchotherlegallypermissibleandproperdutiesandfunctionsastheCityCommissionshallfromtimetotimeassign.
B.TheCity'semploymentofDaniel A. RosemondasCityManager shallbeeffectiveJanuary 1, 2016.TheCityManagershallserveatthepleasureoftheCityCommission.Nothingin thisagreementshallprevent,limitorotherwiseinterferewiththerightoftheCityCommissiontoterminatetheservicesoftheCityManageratanytime,subjectonlytotheprovisionssetforthinSection11ofthisAgreement.
C.Nothinginthisagreementshallprevent,limitorotherwiseinterferewiththerightoftheCityManagertoresignatanytimefromthepositionofCityManager,subjectonlytotheprovisionssetforthinSection12ofthisAgreement.
D.ThisagreementshallcontinueuntileithertheCityCommissionterminatestheagreementasspecifiedinSection11or theCityManagerterminatestheagreementasspecifiedinSection12.
Section2.SalaryandEvaluation.
A.FortheperformanceofservicespursuanttothisAgreement,theCityagreesto paytheCityManageranannualbasesalaryof$176,000.00payableininstallmentsatthesametimeasotherCityemployeesarepaid.
B.TheCityagreestoincreasesaidbasesalaryand/orotherbenefitsoftheCityManagerinsuchamountsandtosuchanextentastheCityCommissionmay determinedesirableonthebasisofaperformanceevaluationoftheCityManager.ThefirstsuchevaluationshalltakeplacesevenmonthsafterappointmentinAugust 2016andthenbeconductedannuallythereafter.ItshallbeinsuchformastheCommissiondeemsappropriate.
C.NothinginthisSectionshallrequiretheCitytoincreasethebasesalaryorotherbenefitsoftheCityManager.
Section3.DutiesandObligations.
A.TheCityManagershall havetheduties,responsibilitiesandpowersof saidofficeundertheCharterandOrdinancesoftheCityofHallandaleBeach.TheCityManageragreesto performalldutiesand responsibilitiesfaithfully,industriously,andto thebestofhisabilityandinaprofessionalandcompetentmanner.ThepartiesrecognizethatthepositionofCityManagerisnotandcannotbeanhourly-typeemploymentandtheCityManageragreestodevotetheamountoftimeandenergywhichisreasonablynecessarytofullyperformthedutiesrequiredunderthisagreement.Thus,theCityManagershallworkasrequired,inordertocarryouthisresponsibilities.
B.TheCityManageragreestoremainintheexclusiveemploymentoftheCity. NothinghereinshallpreventtheCityManagerfromoccasionalteachingorwritingonemployee'stimeoff.However,theCityManagermayalsobepermittedtodoprobonoworkwiththeapprovaloftheCityCommission.
C.IntheeventtheCityManageristemporarilyunabletoperformhisduties,heshalldesignateanActingCityManagerinaccordancewiththeCityCharter.
Section4.AutomobileAllowanceandCommunicationsEquipment
TheCityManagerisrequiredtobeoncallfor twenty-fourhourservice.Inrecognitionthereof:
A.TheCity shallgranttotheCityManageranautomobileallowanceof $500.00permonth,andtheCityManagershallpurchase,maintain,andinsuresaidvehicle. TheCityagrees
toreimbursetheCityManagerformileagefortraveloutsideofBrowardandMiami-DadeCountiesassociatedwithbusinessoftheCityatthesamerateasotherCityemployeesarereimbursed.
B.TheCityshallprovidetheCityManagerwithanallowanceof$150.00permonthtocompensatehimfortheuseofhispersonalsmartphoneorothersimilardeviceforCityBusiness.
Section5. DuesandSubscriptions
TheCityagreestopaytheCityManager'sprofessionalduesformembershipintheInternationalCity/CountyManagementAssociationandFloridaCity/CountyManagementAssociation.TheCityshallpayotherduesandsubscriptionsonbehalfoftheCityManagerasareapprovedintheCity'sannualbudgetorasauthorizedseparatelybytheCityCommission.
Section6. ProfessionalDevelopment
TheCityagreestopayreasonableandcustomarytravelandsubsistenceexpensesfortheCityManager'straveltoandattendanceattheInternationalCity/CountyManagementAssociationannualconference,FloridaCity/CountyManagementAssociationAnnualConference,andtheFloridaLeagueofCitiesannualconference,withinthebudgetedamount.TheCityshallpayfortheCityManager'sattendanceatotherseminars,conferences, andcommitteemeetingsasapprovedintheCity'sannualbudgetorasapprovedbyCommissionaction.
Section7. Vacation,SickLeave, andHolidays
CityManagershallbeentitledyearlytoPersonalTimeOff. The"PTO"account, consistingofforty(40)daysayearinlieuofsick andvacationdays, which at the end of each year shall not accrue into the next. PTO shall not accrue or be paid to employee upon separation of service; however such leave may be exhausted. Because of an existing balance of sick days (100) accrued by the employee prior to the execution of this agreement, said balance will be transferred to an appropriate account and held until such time as the City Manager separates from the City. At that time, balance of unused sick days will be paid out to the City Manager in accordance with the City policy.The unused sick days to be paid out will be in addition to the City Manager’s PTO. City Manager shall also be entitled to all paid holidays, consistent with all other City employees.
Section8. Health,Dental,VisionandLifeInsurance
TheCityshallprovidecomprehensivemedical,dental,and visioninsurance fortheCityManagerandhisdependents,andagreestopaythefullpremiumforsuchcoverage.TheCityshallalsoprovidetheCityManagerwithanamount,nottoexceed$1,300annually,tobeusedforthepurposeofprovidingadditionalshort-termdisability,long-termdisability,lifeinsurance/ADDor other insurance coverageasoftheeffectivedateofthisagreement.
Section9.Retirement
TheCityagreestoprovidetheCityManagerwitha401(a)DeferredCompensationpensionPlanwitha17%Citycontributionand a retirement health savings account at the same monthly contribution amount as other management level employees with both accounts eligible forimmediatevesting.
Section10.Job-RelatedExpenses
TheCityrecognizesthatcertainexpenses ofanon-personalbutjobrelatednatureareincurredbyEmployee,andagreestoreimburseortopaysaidgeneralexpenseswithinthebudgetedamount.TheChief Financial Officerisauthorizedtodisbursesuchmoneysuponreceiptofdulyexecutedexpenseorpettycashvouchers,receipts,statementsorpersonalaffidavits.TheCityManagershallreportsuchexpenditurequarterlytotheCityCommission.
Section11.TerminationbytheCityandSeverancePay
A.TheCityManagershallserveatthepleasureoftheCityCommissionandtheCityCommissionmayterminatethisAgreementandtheCityManager'semploymentwiththeCityatanytime,byamajorityvoteof threeCommissioners in accordance with the provision of Section 6.04 of the Charter of the City of Hallandale Beach.
B.ShouldamajorityoftheentireCommission(threemembers)votetoterminatetheservicesoftheCityManager"withoutcause,"thatis,theCityManager'sservicesarenolongerneededasdeterminedinthediscretionofthemajorityoftheCommission,andunlessterminated"forcause" underparagraphCbelow,thenwithinten(10)businessdaysfollowingsuchvote,theCommissionshallcausetheCityManagertobepaidanyaccruedunpaidsalaryandbenefitsearned(butexcludingsuchitemsandallowancesasareusedinconductingCitybusinesssuchas,butnotlimitedto,theuseoftheCitycomputerandtheautomobileandcellphoneallowance)priortothedateofterminationbasedonCityManager'scurrentrateofpayandaforty(40)hourworkweek.Withinfifteen(15)calendardaysfollowingthevotetoterminatetheCityManager's employment,theCommissionshallcausetheCityManagertobepaidalumpsumseverancepayequaltotwenty(20)weeksofhisbasesalaryasfullandcompletepaymentandsatisfactionofanyclaimsoftheCityManagerofwhatsoevernaturearisingoutofthisAgreementorotherwise.TheCityshallcontinuetoprovide andpayformedical coveragefortheCityManagerforthenine(9)monthsfollowingthedateofsuchtermination,inthesamemannerastheCityManagerisreceivingatthetimeoftermination,andafterthat,theCityManagershallhavetherighttoCOBRAcoverageinaccordancewithapplicableregulations.Asconsiderationforsuchpayment,the CityManagershall,priortoreceiptthereof,executeand delivertotheCityageneralreleaseoftheCityanditsCommissionmembersanditsofficers,agents,andemployeesforallactsandactions(whetheraccruedorsubsequentlyaccruing)fromthebeginningoftimeuntilthedateofrelease,saidreleasetobepreparedbyanattorneyoftheCityCommissionschoosing.
C.IntheeventtheCityManageristerminatedfor misconductasdefinedinSection
443.036 (29),Florida Statutes,the Cityshallhavenoobligationtopay any severance andisprohibited frompaying severancepursuant to Section215.425 (4)(a)(2),Florida Statutes. Asusedinthisagreement,theterm"severancepay"doesnotincludeearned andaccrued annual,sick,compensatory,administrativeleaveorpersonaltimeoff.
D.IntheeventtheCommission,atanytimeduringtheemploymentterm,reducesthesalaryorotherbenefitsoftheCityManager,asidentifiedherein,inagreaterpercentagethananequivalentacross-the-boardreductionforallfull-timeCityemployees,orintheeventtheCity allegedlyrefusestocomplywithanyothermaterialprovisionofthisAgreementbenefitingtheCityManager,ortheCityManagerresignsfollowingasuggestionwhetherformalorinformal,bytheCitythatheresign,then,inthatevent,theCityManagermay,athisoption,bedeemedtobe"terminated"withinthemeaningandcontextoftheseverancepayprovisioninSection11,paragraphBofthisAgreement.TheCityManagershallnotifytheCommissioninwritingoftheallegedviolation.TheCommissionshallhaveforty-five(45)daysfromsuchnoticewithinwhichtocuretheviolation,otherwise,theCityManagermayathisoption,considersuchviolationastermination"withoutcause"asofthedateofsuchallegedreductionorrefusal,andtheseverancepayprovisionandotherterminationprovisionscontainedhereinshallbecomeapplicableattheannualbasesalaryandbenefitlevelineffectpriortothereductionorrefusal.
Section12.TerminationbytheCityManager
TheCityManagermayterminatethisAgreementatanytimebydeliveringtotheCity Commissionawrittennoticeofterminationnotlaterthansixty(60)dayspriortotheeffectivedateofthetermination,unlesswaivedbytheCityCommission.IftheCityManagerterminatesthisAgreement,thentheprovisionsofSection11,ParagraphBabove,shallnotapply.IftheCityManagervoluntarilyresignspursuanttothisSection,theCityshallpaytotheCityManagerallaccruedcompensationduetheCityManageruptotheCityManager'sfinaldayofemployment,includinganybenefitsearned. TheCityshallhavenofurtherfinancialobligationtotheCityManagerpursuanttothisAgreement.ThissubsectionshallnotpreventtheCity ManagerfromcollectinganymoneyaccruedandearnedasaresultofparticipationintheCity'sretirementprograms.
Section13.Disability
IftheCityManagerbecomespermanentlydisabledorisotherwiseunabletoperformhisdutiesbecauseof,includingbutnotlimitedto,sickness,accident,injury,mentalincapacity orhealthforaperiodoffourconsecutiveweeksbeyondhispersonaltimeoffbalance,theCity shallhavetheoptiontoterminatethisAgreement,subjecttotheseverance payprovision outlinedinSection11,ParagraphBofthisAgreement.
Section14.OtherCustomaryBenefits
The CityshallaffordtheEmployeetherighttoparticipateinanyotherbenefits,not providedherein,orworkingconditionsasprovidedfortheProfessionalManagementEmployeesoftheCity.
Section15Indemnification.
A.Cityshalldefend,saveharmless,andindemnifytheCityManageragainstanyactionforanyinjuryordamagesufferedasaresultofanyact,event,oromissionofactionthat theCityManagerreasonablybelievestobeinthescopeofhisdutiesorfunction,unlesshe actedinbadfaithorwithmaliciouspurposeorinamannerexhibitingwantonandwillfuldisregardofhumanrights,safety,orproperty.TheCitywillcompromiseandsettleanysuch claimorsuitandpaytheamountofanysettlementorjudgmentrenderedthereon.TheCity shallnotbeliablefortheactsoromissionsoftheCityManagercommittedwhileactingoutsidethecourseandscopeofhis agreeddutiesorcommittedinbadfaithorwithmalicious purposeorinamannerexhibitingwantonandwillfuldisregardofhumanrights,safety,orproperty.Insuch instance,theCity ManagershallreimbursetheCityforanylegalfees andexpenses theCityhasincurredorotherwisepaid,fororonhisbehalf,inconnectionwiththechargedconduct.
B.SaidindemnificationshallextendbeyondtheterminationofemploymentandtheexpirationofthisAgreementtoprovideprotectionforanysuchactsundertakenorcommittedinhiscapacityasCityManager,regardlessofwhetherthenoticeofclaimorfilingofalawsuitoccursduringorfollowingemploymentwiththeCity.
Section16.Bonding
TheCityagreestobearthefullcostofanyfidelityorotherbondsrequiredoftheCityManagerunderanypolicy,regulation,ordinanceorlaw.
Section17.CodeofEthics
InasmuchastheCityManagerisanactive,FullMemberoftheInternationalCity/CountyManagementAssociation(ICMA),the"CodeofEthics"promulgatedbyICMAisincorporatedherein,and bythisreferencemadeaparthereof.Said"CodeofEthics"shallfurnishprinciplestogoverntheCityManager'sconductandactionsasCityManageroftheCity.
Section18.Attorney'sFees
Ifanylitigationiscommencedbetweenthepartiesconcerning anyprovisionofthis Agreementortherightsanddutiesofanypersoninrelationthereto,inadditiontosuchotherreliefasmaybegranted,eachpartyshallbeartheirownattorney'sfeesandexpensesincurredinconnectiontherewith,includingappellatefeesandexpenses.
Section19.GeneralTermsandConditions
A.Ifanyprovision,oranyportionthereof,containedinthisAgreementisheldbyacourtofcompetentjurisdictiontobeunconstitutional,illegal,invalidorunenforceable,theremainderofthisAgreement,orportionthereof,shallnotbeaffectedandshallremaininfullforceandeffect.
B.ThewaiverbyeitherpartyofabreachofanyprovisionofthisAgreementbytheothershallnotoperateorbeconstruedasawaiverofanysubsequent breachbythatparty.
C.ThisAgreementshall bebindinguponandinuretothebenefitoftheheirsatlaworpersonalrepresentativeoftheCityManager.
D.ThisAgreementcontainstheentireAgreementoftheparties.Itmaynotbechangedverbally,butonlybyanAgreementinwritingsignedbytheparties.
E.FloridalawshallgovernthisAgreementandanylitigationthatmayarisefromthisAgreement,shallbefiledandlitigatedinBrowardCounty,Florida.
F.UponCityManager'sdeath,theCity'sobligationsunderthisAgreementshallterminateexceptfor:
1.Transferofownershipofretirementfunds,ifany,tohisdesignatedbeneficiaries;
2.Paymentofalloutstandinghospitalization,medicalanddentalbillsinaccordancewithCity'sinsurancepoliciesorplans;and
3.PaymentofalllifeinsurancebenefitsinaccordancewiththeCity'sinsurancepoliciesorplans.
G.ThepartiesacknowledgethateachhassharedequallyinthedraftingandpreparationofthisAgreementand,accordingly,nocourtconstruingthisAgreementshallconstrueitmorestrictlyagainst onepartythanthe otherandeverycovenant,termandprovisionofthisAgreementshallbeconstruedsimplyaccordingtoitsfairmeaning.
H.ThisAgreementmaybeexecutedinduplicateorcounterparts,eachofwhichshallbedeemedanoriginalandallof whichtogethershallbedeemedoneandthesameinstrument.Noterm,conditionorcovenantofthisAgreementshallbebindingoneitherpartyuntilbothpartieshavesignedit.
