Terms of Agreement

1. Authorization. The above-named client is engaging BoatMoney Web Design, as an independent contractor for the specific project outlined below: (general specifications, any needed authorization)

3. Data. The content of the WebPages will be supplied by the client. This website includes up to _____ WebPages. In case the client desires additional standard WebPages beyond the original number of pages specified above, the client and BoatMoney Web Design can negotiate a new “Design Contract” at the hourly rate specified below for each additional webpage. Where custom graphic work is requested, it will be billed at the hourly rate specified below. The contents of the project will be managed and maintained by BoatMoney Web Design.

4. Maintenance and Hourly Rate. This agreement includes minor maintenance and minor changes to meet the client’s requirements. It does not include any redesign or additional features outside of the scope of the requirements specified above. If the client or an agent other than BoatMoney Web Design attempts any updating, time to repair will be assessed at the hourly rate.

Changes requested by the client beyond those limits will be billed at the hourly rate of $40.00. This rate shall also govern additional work authorized beyond the maximums specified above.

BoatMoney Web Design offers free technical support on his finished products for the lifetime of the product, the scope of which extends to technical issues related to keeping the product working properly, code and database related problems which are part of the product itself and not related to content or extensive damages incurred by users or employees.

5. Changes to Submitted Text & Content. Please send us your final text and content. Time required to make substantial changes to client-submitted text after the WebPages have been constructed will be additional and billed at the hourly rate.

6. Web Hosting. The client understands that any web hosting services may require a separate contract and/or may be included in initial contract. The client also understands that web hosting will be billed at a recurring monthly rate of $______for the life of the project.

If the client is providing their own web hosting service, the client agrees to provide a hosting and development server which allows BoatMoney Web Design full access to the website and a SQL compliant database, including FTP and Terminal Services (Windows servers). The client further understands that because they are providing the web hosting server, they will be responsible for the overall health and security of the server in order to provide a suitable environment for website operation.

7. Completion Date. BoatMoney Web Design and the client must work together to complete the project in a timely manner. BoatMoney Web Design agrees to work expeditiously to complete the project no later than ______(depending on date of acceptance of agreement)with a Testing period to last no longer than _____ days.

8. Payment of Fees. Fees to BoatMoney Web Design are due and payable on the following schedule:50% due upon signing this contract, 50% when the project has been constructed according to the client's original written specifications.

All payments will be made in US funds.

9. Assignment of Project. BoatMoney Web Design reserves the right to assign subcontractors to this project to insure the right fit for the job as well as on-time completion.

10. Legal & License.BoatMoney Web Design warrants that the functionality contained in this project will meet the client's requirements and that the operation will be reasonably error-free. The entire risk as to the quality and performance of the project is with client. In no event will BoatMoney Web Design be liable to the client or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate this project, even if BoatMoney Web Design has been advised of the possibility of such damages. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.

11. Copyrights and Trademarks. The client represents to BoatMoney Web Design and unconditionally guarantees that any elements furnished to BoatMoney Web Design for inclusion in the project are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend BoatMoney Web Design and his subcontractors from any claim or suit arising from the use of such elements furnished by the client.

12. Laws Affecting Electronic Commerce. From time to time governments enact laws and levy taxes and tariffs affecting Internet electronic commerce. The client agrees that the client is solely responsible for complying with such laws, taxes, and tariffs, and will hold harmless, protect, and defend BoatMoney Web Design and its subcontractors from any claim, suit, penalty, tax, or tariff arising from the client's exercise of Internet electronic commerce.

13. Copyright to Project. BoatMoney Web Design guarantees that all aspects of design and construction of the project will be disclosed to the client upon completion, and full code, copyrights and ownership will be the sole property of the client. BoatMoney Web Design retains the right to display graphics and other design elements as examples of his work in his portfolio.

14. Payment of fees. This agreement becomes effective only when signed by BoatMoney Web Design. Regardless of the place of signing of this agreement, the client agrees that for purposes of venue, this contract was entered into in King County, Washington, and any dispute will be litigated or arbitrated in King County, Washington.

15. Sole Agreement. The agreement contained in this "Design Contract" constitutes the sole agreement between BoatMoney Web Design and the client regarding this project. Any additional work not specified in this contract must be authorized by a written change order. All prices specified in this contract will be honored for three (3) months after both parties sign this contract. Continued services after that time will require a new agreement.

17. Initial Payment and Refund Policy.

This agreement begins with an initial payment of $______. If the client halts work and applies for a refund within 30 days, work completed shall be billed at the hourly rate stated above, and deducted from the initial payment, the balance of which shall be returned to the client. If, at the time of the request for refund, work has been completed beyond the amount covered by the initial payment, the client shall be liable to pay for all work completed at the hourly rate stated above. No portion of this initial payment will be refunded unless requested within 30 days of signing this contract.
