Video Submission Terms
BY SUBMITTING THE STORY, VIDEO, IMAGES, SOUNDS AND/OR LIVE-STREAM (COLLECTIVELY, “STORY OR VIDEO CONTENT”) YOU ARE ABOUT TO SUBMIT, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS (“STORY OR VIDEO SUBMISSION TERMS”). These Video Submission Termsare incorporated into, and subject to, the Foscam Terms of Service. To the extent that these Story or Video Submission Termsconflict with our Foscam Terms of Service, these Story or Video Submission Termsshall apply.
By submitting the Story or Video Content you grant ShenZhen Foscam Intelligent Technology Co., Ltd. (“FOSCAM”) and its assignees, licensees, successors in interest, legal representatives and heirs a worldwide, non-exclusive, irrevocable, perpetual, sub-licensable, transferable, royalty-free, and fully paid-up right and license to use, copy, adapt, modify, distribute, transmit, stream, broadcast, publicly perform, reference, store, cache, license, sell, transfer and otherwise exploit (including through its distribution channels) the Story or Video Content for promotional and marketing purposes. You hereby waive any right to inspect or approve the Story or Video Content or printed or electronic matter that may be used in conjunction with such content now or in the future and you waive any right to royalties or other compensation arising from or related to the use of the Video Content.
You hereby make all warranties, representations and guarantees with respect to the Story or Video Content that you make with respect to Content as defined in the Foscam Terms of Service. You agree thatthe underlying intellectual property of the Story or Video Contentremains the property of its rightful owner, and no transfer of ownership shall be affected by virtue of submitting the Video Content
. You hereby grant FOSCAM the irrevocable, worldwide,royalty-free, fully transferable right and license to reprint, copy, transmit, display, reproduce, perform, use, create derivative works from, and exhibit any Story or Video Contentsubmitted by you. This grant of right and license will be non-exclusive with respect to the Video Content. You hereby representand warrant that any Story or Video Contentisoriginal to youand do not violate or infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity, and do not violate any laws, rules or regulations. If the Story or Video Contentcontainsany content or elements that are not owned by youand/or which are subject to the rights of third parties, you represent that you haveobtained, prior to submission of the Story or Video Content, any and all releases and consents necessary to permit use and exploitation of the Story or Video Contentby FOSCAM without additional compensation of any kind.
You represent and warrantthat the Story or Video Contentdoesnot contain information considered by you, youremployer, employees or personnel, or any other third party to be confidential. You agreethat FOSCAM has the right to verify the ownership and originality of all Video Contentand that, upon FOSCAM’s request, youmust submit a written copy of any release or permission you havereceived from a third party granting youthe right to use such property.
RELEASE: BY SUBMITTING THE STORY OR VIDEO CONTENT, YOU RELEASEAND AGREE TO HOLD HARMLESS FOSCAM FROM ANY LIABILITY WHATSOEVER FOR ANY CLAIMS, COSTS, LOSSES, OR DAMAGES OF ANY KIND (INCLUDING, WITHOUT LIMITATION, THOSE RELATED TO PERSONAL INJURY, DEATH, DAMAGE TO PROPERTY, INFRINGEMENT OF PROPRIETARY RIGHTS, RIGHTS OF PUBLICITY OR PRIVACY OR DEFAMATION) ARISING OUT OFOR IN CONNECTION WITHTHE STORY OR VIDEO CONTENT.By checking the box “I have read and accepted the Video Submission Terms.” and clickingSubmit, you represent and warrant that you have full power and authority to agree to these
Story or Video Submission Terms, including without limitation the power and
authority to grant all rights and licensesrelating to the Video Content. It is at the
discretion of FOSCAM to decide whether and how to use the Story or Video Content.
