SPONSORSHIP AGREEMENT

(1)CITY OF BRADFORD METROPOLITAN DISTRICT COUNCIL acting by its Parks and Landscape service of City Hall, Bradford BD1 1HY (“the Council”)
AND
(2)(company name)of (address)
- BACKGROUND
The Council is the owner of land at (name of site), (town), more particularly
shown on the plan at Schedule 1.
The Council and (company name) wish to enter into a partnership initiative
involving the advertisement of sponsorship signs at this location.
This Agreement sets out the terms and conditions for the sponsorship.
2.WHEREBY IT IS AGREED
2.1The Council will arrange for the manufacture, maintenance and installation of (#) signs displaying (company name) branding in accordance with the specification set out in Schedule 2 attached hereto.
2.2The annual maintenance of the landscaped area and reinstatement of any damage will be undertaken by the Council or their agent.
3.ADVERTISING REQUIREMENTS
3.1The Council reserves the right to refuse at any time any sponsorship or advertisement which are of the following nature;
(a)For contraceptives and associated products and services.
(b)For political parties or where the content is considered to be of a political nature.
(c)On behalf of Trade Unions or Employers Federations.
(d)Which may be construed as offering services of a sexual nature.
(e)For religious organisations or of a religious nature.
(f)Which may be construed as showing or encouraging racial or sexual prejudice.
(g)Which are considered not to comply with the guidelines set down from time to time by the Advertising Standards Authority; or
(h)of such types as may be specified by the Council from time to time.
3.2Both parties may after discussion, agree to change the signs’ design provided this does not infringe the list of unacceptable advertisements in 3.1 above.
3.3The cost incurred in any change in design shall be borne by (company name)
4.PAYMENT & BUSINEESS RATES
4.1(company name) shall pay to the Council the sum of £( ) plus VAT per annum.
4.2This sum shall be payable in quarterly instalments of £( ) plus VAT for each quarter of the agreement advance or arrears.
4.3In addition to the payment of sums due under clauses 4.1 above [name of company] agrees it shall pay all applicable Business Rates for the site(s) upon receiving an invoice or demand for payment of such Business Rates based on the Ratable Value set by the Governments Valuation Office, for each site.
4.4The Business Rates for (year) have been set at a cost of £ per annum and will be invoiced on a quarterly basis.
5.TERM AND DURATION
The Agreement shall commence on (date) and will expire on (date) thus giving a contract period of (#) year.
6.COPYRIGHT
Copyright in the production of the signs shall vest in the Council.
7.RENEWAL OF SPONSORSHIP
One month prior to the expiration of the Agreement (company name) will be offered a first refusal for renewal of sponsorship.
8.ALTERATION TO TERMS
All additions, amendments and variations, which are agreed to the terms of this Agreement, shall be in writing.
9.TERMINATION
9.1Both parties may at any time terminate this Agreement by providing 1 month’s notice in writing.
9.2Both parties may immediately terminate this Agreement forthwith if either party is in breach of any of the terms of this Agreement or fail after written notice to provide the services reasonably required of them.
10.EFFECT OF TERMINATION
In the event of an occurrence under 9.1,The Council shall reimburse to (company name)on a pro rata basis the remainder of the annual fee.
