JOB DESCRIPTION

Corporate Secretary

®  Corporate Officer

®  Member if Executive Committee

®  Chief enforcer of the bi-laws of the company.

®  Maintains the Corporate “Book of Minutes” in a manner consistent with Federal, State and local laws.

®  Take and prepare minutes of prior meetings. To be received, approved and filed by next meeting.

®  Coordinate with the President to prepare pending agenda items for meetings

®  Acts as the “registered agent” for the company.

®  Secondary check signer.

®  Aids in the drafting and legalization of all resolutions.

®  Chief parliamentarian of the company.

®  Responsible for all official written correspondence on behalf of the Board and Executive Committee

®  Secondary check signer.

®  Aids in the drafting and legalization of all resolutions.

®  Chief parliamentarian of the company.

®  Witness and Execute Contracts for Production Staff INCLUDING Orchestra members

®  Files annual business license

®  Supervise and manage direct reports and their responsibilities; collect their monthly reports and report same to Executive Board

®  Supervise the below named department heads and ensure the smooth operation of each department.

®  Approve expenditures for these departments
