Chapter Leadership Commitment Form

Overview

The Board of Governors is responsible for ensuring the organization’s long-term financial stability and integrity. Governors, including Officers, ensure that the Chapter fulfills its mission by doing quality work and by providing services to benefit the membership. Governors, including Officers, recognize that, in order to foster the Chapter’s continued viability and growth, diversification of income sources is essential, and that it is imperative for all Governors and Officers to personally contribute their talents toward these ends. The Board of Governors helps shape the Chapter’s direction and future.

Benefits of Leadership Service

Participating in a Chapter leadership position is viewed as an opportunity to identify needs, and to support and achieve both IIA - Houston Chapter organizational goals and professional goals. Leaders will gain experience in relationship building and teamwork in a productive environment. With this experience, Chapter leaders should be capable of promoting and developing leadership in others.

Preferred Skills

  • Knowledge of IIA - Houston Chapter’s history, mission and goals.
  • Knowledge of the profession and the internal audit community.
  • Commitment to maintaining a strong organization that is responsive to the membership.
  • Working knowledge of the Chapter’s bylaws and policies.
  • Ability to handle Chapter business with tact, enthusiasm and commitment.
  • Ability to communicate effectively with both Chapter members and peers.
  • Ability to motivate committee members, other Board members and potential members.
  • Ability to take responsibility and follow through on assignments in a timely manner.
  • Ability to work well with individuals and groups of people.

Responsibilities

As part of my responsibilities as a Board member:

  • I will support the Chapter’s mission statement.
  • I will be informed about IIA –Houston Chapter’s work and value to the profession.
  • I will be an advocate for the Chapter and promote it in appropriate ways.
  • I will commit to attend at least 75% of board meetings, committee meetings, team meetings and special events.
  • I will come prepared to all meetings, including reviewing the agenda and other materials and completing action items assigned to me.
  • I will read and understand the financial statements and otherwise assist the Board in fulfilling its fiduciary responsibilities over the Chapter’s financial affairs.
  • I will participate in and take responsibility for making decisions on issues, policies and other board governance matters.
  • I will volunteer my talents and skills by serving on committees and task force teams as appropriate.

  • I will maintain my membership in good standing while serving as a board member.
  • I will help identify individualsto the Nominating Committeewho have shown skills, interest and sense of commitment towards becoming effective future leaders of the Houston Chapter.
  • I will adhere toall conflict-of-interest, confidentiality and other policies, as required.
  • I will fulfill the duties of stewardship, consideration, and loyalty to the organization.
  • I will work with Officers and other board members as partners toward achievement of IIA–Houston Chapter’s goals.
  • I will participate in regular assessments to improve Board performance, and participate in strategic planning activities.

As part of the responsibilities of IIA - Houston Chapter and the Chapter President to me:

  • The Chapter President will inform the Board of Governors of significant developments in the IIA - Houston Chapter regarding finances, business, contractual, tax, and/or legal matters, and should I, as a board member request, be available to discuss them further.
  • IIA - Houston Chapter will send to me financial information, meeting materials and meeting notes in a timely manner. The Chapter President and Officers are responsible to ensure that this is done.
  • IIA –Houston Chapter and the Board and President will be respectful of my time.
  • IIA -Houston Chapter and the Board and President will work with me as partners toward achievement of IIA -Houston Chapter’s goals.

I, ______understand that, as a member of the Board of Governors of The Institute of Internal Auditors, Inc. - Houston Chapter, I am making or reaffirming my commitment to the organization and to doing the best work possible in pursuit of its goals. I believe strongly in the purpose and mission of the IIA - Houston Chapter and I will act responsibly, prudently and actively as an IIA - Houston Chapter steward and advocate.

As a current Officer / Governor of the IIA - Houston Chapter Board of Governors, Iam committed to, and enthusiastic about, making every effort to fulfill the responsibilities as outlined above.
