2012 INDEPENDENT CONTRACTOR AGREEMENT (sample document)

THIS AGREEMENT, entered into this ______day of ______, 20__, by and betweenYOUR NAME AND BUSINESS NAME, (“PRINCIPAL”) AND ______, (“ASSOCIATE”).

WITNESSETH

WHEREAS, it is the intention of Principal and Associate to enter into a business relationship whereby Associate will become an Independent Contractor for the purpose of operating an flower tent for the sale of flowers and related items; and

WHEREAS, it is the intention of Associate and Principal to enter into this contract so that the terms and conditions of the business relationship are more specifically set forth.

NOW THEREFORE, in consideration of the mutual promises herein contained, both parties intending to be legally bound agree as follows:

1. INDEPENDENT CONTRACTOR, Principal and Associate agree that Associate will be an Independent Contractor. Associate agrees to devote Associates best efforts in carrying out the term’s of this Agreement. Further, Associate represents and warrants to Principal that he is capable of carrying out such duties, has done so in the past and is not dependent upon the Principal for the continuance of his business.

2. COMPENSATION, Associate will receive as compensation for Associate’s services 10% commission sales plus bonus.

3. AUTHORITY OF ASSOCIATE. Associate is authorized to collect, receive and give receipts for sales of flowers and products tendered by the general public and accepted by the Associate. It is Understood and agreed that Associate is not a servant or employee of Principal and any actions by Associate will be in capacity of an Independent Contractor. Further, Principal will not be liable for any loss, damage, or risk caused by Associate during there performance of the terms and conditions of this Agreement and Associate agrees to be responsible for all plant and monetary shortages.

4. CONDUCT OF BUSINESS. Associate will be responsible for all items normally associated with his services, i.e., gas, maintenance, and insurance of the motor vehicle(s) used in connection with the sale of the products, cash registers, display boxes, lighting, and electricity. Associate shall be solely responsible for setting the hours of operation, hiring and firing all assistants and paying all applicable federal, state and local taxes. Associate agrees to supply all tools used in connection with the sale of product and to supply the Principal with his pager and /or cellular phone number. All pagers and/or cellular phones used in this Agreement shall be at the expense of the Associate. The Associate shall be responsible for accepting / rejecting deliveries of the product for resale ensuring that all deliveries are accurate. Associate shall make bank deposits on a daily basis and shall provide for garbage removal at his sole cost and expense.

5. TAXES. Associate will be responsible for the payment of all taxes and agrees to act in compliance with all state and federal laws, rules and regulations in connection with such payment. Principle will not accumulate, deduct, hold on account or otherwise provide for employee any retirement benefits.

6. TERMINATION. This Agreement shall terminate on ENDING DATE or at such other times, as the parties mutually agree upon.

7. ENTIRE AGREEMENT. This Agreement supercedes all previous agreements oral or written between the parties and any modification of the Agreement must be in writing and executed by the parties.
