BETWEENTHE ALGONQUIN COLLEGE OF APPLIED ARTS AND TECHNOLOGY (hereinafter referred to as the “College”) a wholly incorporated body having its head office in the City of Ottawa, Province of Ontario

WITNESSES THAT:

WHEREAS the College has represented that it has the resources, ability and desire to provide such services to the Client.

NOW THEREFORE, the Parties covenant and agree as follows:

ARTICLE 1 - SERVICES

The College shall in accordance with all the provisions of this agreement provide the following services to the Client:

a)supply teachers for hours of class time in content previously agreed to.

b)provide course outlines, handout material and supplies relevant to the course contents.

c)will direct and provide the necessary quality control measures in the delivery and evaluation of the content as required.

d)the courses will be held at and scheduled on the following dates:

ARTICLE 2 - PRICE AND PAYMENT

Subject to the College providing the Services detailed herein in accordance with the provisions of this agreement, the Client shall pay to the College upon receipt of invoice:

Payment is due within 30 days of the date of invoice.

ARTICLE 3 - TAXES

Any applicable Federal or Provincial Taxes will be added to the invoice.

ARTICLE 4 - PERIOD AND OPTION

This agreement shall be in force and effect unless terminated in accordance with the provisions hereof, for the period of to inclusive and may be extended subject to mutual agreement, in writing.

ARTICLE 5 - TERMINATION

This agreement may be terminated prior to its expiry by either party, with a minimum of 30 days written notice or by unanimous written consent. The Client shall be responsible for payment of all services rendered up to and including the date of termination.

ARTICLE 6 - NOTICE

All notices and communications to the College in connection with this Agreement shall be addressed to:

All notices and communications to the Client shall be addressed to:

ARTICLE 7-INDEMNITY

The Client shall at all times indemnify, save and keep harmless the College, its officers, directors, trustees, employees, trainers, volunteers, and students from and against all suits, judgments, claims demands and losses (including, without limitation, reasonable legal expenses) incurred as a result of any claim, demand or action arising out of or in any way related to this agreement, unless the same is caused, or contributed to, by the negligence or willful act of an employee of the College while acting within the scope of this Agreement.

ARTICLE 8 – RELATIONSHIP

The parties hereto are neither partners, nor are they engaged in a joint venture in relation to this agreement and nothing herein shall be construed so as to imply a partnership or a joint venture between the client and the College.

ARTICLE 8 - ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties and there are no representations, covenants, conditions or warranties forming part of this Agreement other than those included herein. No amendment of this Agreement shall have any force or effect unless reduced to writing and signing by the Parties hereto.
