TEXAS SKEET SHOOTERS ASSOCIATION

BY- LAWS

ARTICLE I

The name of this Organization shall be "TEXAS SKEET SHOOTERS ASSOCIATION".

ARTICLE II

PURPOSE. The purpose of the Organization is to maintain an organization for the promotion and encouragement of skeet shooting and to teach safety in handling fire arms and to foster good fellowship among sportsmen in this area.

ARTICLE III ORGANIZATION

Sec. 1 -- The ORGANIZATION shall be a corporate body, chartered under the laws of the State of Texas. It shall have no capital stock, and shall be a non-profit organization, organized and operated exclusively for pleasure, recreation and other non-profitable purposes, no part of the net earnings of which shall inure to the benefit of any member thereof.

Sec. 2 -- THE CHARTER AND THE BY-LAWS OF THE ORGANIZATION shall contain the basic rules and laws for the governing and operation of the Organization.

Sec. 3 -- In lieu of stock certificates, the members of the Organization shall be issued certificates of membership which evidence their membership in the Organization.

Sec. 4 -- The corporate seal of the corporation shall bear the name "TEXAS SKEET SHOOTERS ASSOCIATION", which is the official seal of the Organization.

Sec. 5 -- Pro rata interest in and ownership of all assets of the organization of any kind or character shall be vested in the Members of TSSA.

ARTICLE IV

Board of Directors

Sec. 1 -- Corporate Powers -- The corporate powers of this Organization shall be vested in, and its business affairs, properties and effects managed, controlled and conducted by a Board of Directors, all members of the Organization in good standing, who shall be elected annually by the membership of the Organization at such time as may hereinafter be provided.

Sec. 2 -- Number of Directors -- The number of Directors shall be thirty (30), provided that the number may be increased or diminished by a vote of the Membership, but the number of Directors shall never be less than five (5). One third of the Board of Directors shall be elected each year by the Membership through the means of a mail ballot (which ballot will be mailed annually on May 1 with deadline to be returned to the TSSA office of May 31 unless May 31 falls on a Sunday in which case the deadline will be June 1, if May 31 falls on a Saturday, the deadline will be May 30). Directors shall represent Zones within the state as designated by the Board of Directors. The allocation of board seats available in each Zone shall be determined yearly based on the number of current TSSA members in each Zone at the end of the skeet year which shall be October 31. Each Directors' term of office shall expire October 31 of the term for which elected; new directors term of office commences November 1 of the year in which elected.

A director, upon election as an executive officer of T.S.S.A., will become a member of the Executive committee and create a vacancy on the Board of Directors. When a vacancy shall occur in the Board of Directors, another nominee may be named by the zone v.p., and approved by the board of directors to hold office until that term expires. Directors are elected for a three-year term except as hereinafter provided.

Sec. 3 -- Director's Qualification -- Directors, barring extenuating circumstances, must shoot sufficient registered targets each year to maintain a classification in at least one gun as well as attend a majority of Board of Directors meetings. Should a board member lose interest in skeet shooting to the extent that he/she no longer qualifies as described here-in, the officers and directors of TSSA are granted the authority to drop said member from the board and fill the vacancy from the zone affected by appointment. Said appointee shall serve out the unexpired term of the director so removed. A director moving from his/her zone will be replaced on the board by a newly appointed director from the affected zone to serve out the unexpired term, if any.

Sec. 4 -- Quorum -- One more than (50%) fifty per cent of the Directors shall constitute a quorum of the Board of Directors for the transaction of business and one more than (50%) fifty percent of a combined meeting of the Board of Directors and Executive Committee shall constitute a quorum for the transaction of business. If this percentile computes to a fraction, the exact number shall be the next highest number.

Sec. 5 -- Installation -- The newly elected and re-elected directors, following the official announcement of the counting of mail ballots, and the first vice-president/president-elect elected at the June annual combined Board of Directors and Executive Committee meeting, shall take office at the beginning of the next skeet year of November 1. The first vice-president/president elect elected at the prior year's June annual combined Board of Directors and Executive Committee meeting will become the president of the Texas Skeet Shooters Association as of November 1. The official announcement of the mail ballots shall be through a letter from the president to the newly or re-elected directors advising commencing and expiring term of office.

Sec. 6 -- Zone Officers -- Prior to the annual membership meeting (which annual membership meeting shall be held during the Texas State Skeet Championship each year unless decided otherwise by the Board of Directors and Executive Committee), the directors shall elect from their number a zone Executive Director and a zone vice-president to represent their zone on the Executive Committee, as well as elect a TSSA chief referee (see “Sec. 7” below regarding TSSA chief referee).

(a) Duties of the Zone Executive Director -- To represent his/her zone at all meetings of the Executive Committee and to be responsible for co-ordination of all Texas gun club registered shoots (American) within his/her zone, except as hereinafter described as duty of the secretary-treasurer.

(b) Duties of the Zone Vice president -- To represent his/her zone at all meetings of the Executive Committee, and shall be a member (or the chairman on an annual zone rotating basis) of the Nominating Committee for recommending candidates of the TSSA for the NSSA Board of Directors from Texas.

Sec.7 -- TSSA Chief Referee -- Prior to the annual membership meeting (which annual membership

meeting shall be held during the Texas State Skeet Championship each year unless decided otherwise by the Board of Directors and Executive Committee), the directors and Executive Committee shall elect from the TSSA membership a TSSA Chief Referee who need not be a current member of the Board of Directors but who after elected shall be a member of the Executive Committee of the TSSA. The term of office for the Chief Referee shall be for one year from November 1st through October 31st of the current calendar and following calendar year.

(a)Qualification Requirements for TSSA Chief Referee –

  1. Individuals who are candidates for the position of the Chief Referee or a Zone Assistant to the chief referee within the TSSA must meet the requirements as a Licensed NSSA Referee as described under Section IV-A-1 of the National Skeet Shooting Associations Official Rules and Regulations. Associate NSSA referees are not eligible for this position.
  2. Candidates must have had experience as a licensed or associate referee for a reasonable period of time that shall be determined by the TSSA Board of Directors.
  3. Barring extenuating circumstances, the Chief Referee must shoot sufficient registered targets each year to maintain a classification in at least one gun as well as attend a majority of Board of Directors meetings. Should a Chief Referee lose interest in skeet shooting to the extent that he/she no longer qualifies as described here-in, the officers and directors of TSSA are granted the authority to drop said Chief Referee from the board and fill the vacancy from the Zone Assistants to the TSSA Chief Referee. Said appointee shall serve out the unexpired term of the Chief Referee.
  4. Interested individuals for the positions of Chief Referee and/or Zone Assistant to the Chief Referee may apply for these position each year by submitting a written application accompanied by his/her resume to the TSSA Board of Directors along with written recommendations from at least two current members of the TSSA. These documents should be submitted to the secretary of the TSSA not later than March 1st of each year.

(b)Duties and Responsibilities of the TSSA Chief Referee -- To sit as a member of the Executive Committee and to be responsible in all matters concerning referees within any guidelines established by the Board of Directors and Executive Committee.

  1. Immediately upon election, the Chief Referee will appoint a Zone Assistantfrom each of the TSSA Zones to assist with all matters related to referees within their respective zones. The Zone Assistants will work for the Chief Referee, buttheir appointment will be contingent on their approval by the board of directors.
  2. The Chief Referee will work under the direct supervision of the current first vice president/president elect, who is also the current shoot chairman, while performing duties related to the annual TSSA State Championships.
  3. The Chief Referee will be responsible for the acquisition and supervision of all of the referees selected to officiate the TSSA State Championships each year, and specifically:

a)Coordinate with the shoot chairman on the number of referees required for the shoot.

b)Designate and delegate the responsibilities required of the Zone Assistants for the shoot.

c)Be responsible for the conduct of the referees selected to work the shoot at all times.

d)Insure that all referees selected to officiate the state shoot are fully acquainted with the current rules and any approved interpretations. This includes any and all policies set forth by the shoot chairman and/or the board of directors for the state shoot.

e)Assist the shoot manager in the administration of the required shoot offs for each event and to delegate duties and assign responsible referees to conduct the shoot off’s, while insuring referees are available until the shoot manager no longer requires assistance in this area.

  1. The Chief Referee will be responsible for keeping a current and accurate listing of all licensed and associate referees who have successfully passed the prescribed written examination each year.

a)Acquire and maintain the necessary information from each referee to have sufficient information to provide to any club or local shoot manager who may solicit assistance on available prospects to referee local shoots.

  1. The Chief Referee will be responsible to schedule and/or coordinate annual referee clinics each year within each TSSA zone.

a)May delegate these duties to the zone assistants or to other volunteers at local clubs.

b)Schedule these clinics each year early enough each year to insure certified referees are available to meet the shooting schedules of the clubs in the respective zones.

Sec.8-- Executive Committee -- The Executive Committee shall consist of not more than fourteen (14) persons. This committee shall be the president, the first vice president/president-elect, the secretary-treasurer, the TSSA chief referee, the Executive Directors from each of the zones, the vice presidents from each of the zones, and the two immediate past presidents. The position for secretary-treasurer shall be a non-voting position when filled by an employed, non-shooting person. A quorum shall consist of at least five (5) voting members in attendance at any Executive Committee meeting. Refer to Sec. 11 (c) regarding quorum.

Sec. 9-- Committees --

(a) The president, from time to time, shall appoint such committees, with such powers as he may deem proper, designating a chairman for each committee. Each committee chairman shall appoint his/her committee members, if not appointed by the president. Each committee shall serve during the pleasure of the Board of Directors and/or the Executive Committee.

(b) NOMINEES FOR TSSA DIRECTORS WILL BE SUBMITTED BY THE ZONE VICE-PRESIDENTS IN A LETTER STATING THAT THE NOMINEE MEETS ALL REQUIREMENTS TO BE A TSSA DIRECTOR AND WILL ATTEND MEETINGS AS REQUIRED. THE LETTER, SIGNED BY THE NOMINEE ANDZONE VICE-PRESIDENT, SHALL BE SENT TO THE TSSA SEC/TREASURER TO BE PLACED ON THE VOTING BALLOT FOR THAT ZONE.

REPLACEMENTS FOR DIRECTORS THAT LEAVE BEFORE THEIR TERM IS UP MAY BE PRESENTED BY THE ZONE VICE-PRESIDENT AT THE NEXT TSSA MEETING AND VOTED BY THE DIRECTORS TO FINISH THE TERM OF THE LEAVING DIRECTOR. AT THE END OF THE TERM, THE REPLACEMENT DIRECTOR MAYRUN FOR THAT SPOT ON THE ANNUAL VOTING BALLOT.

(c) The president shall appoint one board member, with one or more years to serve, as chairman to go to the TSSA office after deadline date to tabulate ballots for each candidate in the TSSA director election, as well as tabulate write-in votes if any, attest to the tabulation of votes, and present the results to the secretary-treasurer. The appointed board member shall appoint his/her own assistant for vote tabulation. The secretary-treasurer shall, as quickly as possible, mail a letter to all candidates over the president's signature advising results of the election with a copy to directors, Executive Committee, and gun clubs for posting on their bulletin board. the newly elected and re-elected directors will be recognized at the annual membership meeting, as well as any directors retiring from the board.

(d) The president shall appoint a board member or an Executive Committee member as chairman to calculate the Texas All State Teams. The chairman will mail a copy of the team selections to the secretary-treasurer at least thirty (30) days prior to the spring Board of Directors and Executive Committee meeting for TSSA's verification that each person selected has been a resident of the State of Texas for at least six months and a member of the TSSA for at least six months for the year of selection (based on prior year minimums and points accumulated under the NSSA All American Point System). The chairman, after approval at the spring meeting, will see that the teams are published in the NSSA magazine. The secretary-treasurer will notify each team member by letter of their selection; said letter will go out of the TSSA office over the president's signature.

(E) THE PRESIDENT SHALL APPOINT A CHAIRMAN FRON THE HOF COMMITTEE TO RUN THE HOF MEETINGS AND REPORT NOMINATIONS TO THE BOARD OF DIRECTORS AT THE SPRING MEETING ( FEBRUARY). THIS APPOINTMENT SHALL BE MADE YEARLY AT THE STATE SHOOT MEETING( JUNE ).

Sec. 10-- Membership Daily Fees and Dues -- The Board of Directors and Executive Committee of the Organization shall have authority, and it shall be the duty of said Board of Directors and Executive Committee from time to time, to fix the membership fees and assess and publish the dues to be paid by shooters. The dues and daily fees so fixed shall be an indebtedness of each shooter.

Sec. 11--Meeting -- Board of Directors --- Executive Committee --

(a) The Board of Directors shall hold three regular meetings each year, one at the date and location of the Texas State Skeet Championships, one at the date and location of the mini-World Championships and the third shall be the Spring meeting (the last weekend of February). The Board of Directors shall hold two regular meetings each year, the first date at the location of the Texas State Skeet Championships and the second meeting the last week of February.The date of each meeting shall be called by the president, or in the event of his/her unavailability by the first vice-president/president-elect, upon written notice to each director at his/her last known address at least thirty (30) days previous to the date of such meeting. Each director shall have ten (10) days from receipt of such notice to file with the secretary-treasurer any item that he/she wishes to have included in the meeting agenda. Final agenda will be mailed each director prior to meeting. Directors may, either before or after such meeting, waive notice thereof in writing or by attendance at such meeting.

(b).The Executive Committee may have Special meetings called at any time by the president. In case of the unavailability of the president, special meetings of the Executive Committee may be called by the first vice president/president-elect. Notification of regular meetings must be made in writing to member's last known address at least thirty (30) days previous to the date of such meeting. Each Executive Committee or Board member shall have ten (10) days from receipt of such notice to file with the secretary-treasurer any item which he/she wishes to have included in the meeting agenda. Final agenda will be mailed each member of the Executive Committee prior to the meeting. Executive Committee may, either before or after each meeting, waive notice thereof in writing or by attendance at such meeting.
