TERMSCONDITIONSFOR BOOKING OF MARITIME SECURITY GUARDS

  1. DEFINITIONSANDINTERPRETATIONS

1.1Definitions

IntheseTermsandConditions:

"Act"meanstheTransportInfrastructureAct1994(Qld)asamendedfrom timetotime.

"ApplicationForm"meansPOTL’sApplicationForm to use Port of Townsville Maritime Security Guards.

“Cargo Terminal”is defined as a place within the limits of a port, airport or wharf where the goods are located immediately after being unloaded from a ship or aircraft that has taken the goods from a place outside of Australia or via another State or Territory where some or all of the goods were unloaded.Within the Port of Townsville these areas are identified as Berths 1, 4, 8, 9 & 10, and wharf backing areas of Berths 4, 8 & 10 and Magazine Hill where the Port is defined as the cargo terminal operator under the Customs Act 1901 (Cth).

A “Cargo Terminal Operator”, in relation to a cargo terminal, is a person who manages the cargo terminal. This includes persons who have long-term exclusive access to a designated area of a port or airport and who manage the operations and security of the area. The definition also applies to a Port Authority (or other body) who allows third parties to use their facilities on a short-term basis (e.g. multi user berths).

"Contract"meansthecontractbetweenPOTLandtheCustomerthatisformedassoonastheapplication is lodged.

"Customer"meansastevedore or authorised member of Australian Defence Force.

"Customer'sAgent"meanstheVessel’sagent(ifany)specifiedintheBerthApplication Formor,ifnoagentis specifiedintheBerthApplicationForm,theVessel’sagent(if any)wholodgedtheBerthApplicationForm.

"Customer'sAssociates" meansemployeesoftheCustomer,theCustomer'sAgent,otheragentsofthe Customer, theCustomer'scontractors andanyagentsorcontractors engagedbyanyoftheCustomer's Agentsto carryoutworkorprovideservicesinthePortinconnectionwiththe Vesselor its cargoorcrew.

"Facilities"meansthefacilitiesorlandthatarea)ownedorcontrolledbyPOTLandb)usedinthe operationorstrategicmanagementofthePorttowhichtheCustomerortheCustomer’sAssociatesaregiven accesstooruseof byPOTLin connectionwiththeVessel'svisittothe Port.

"FeesandCharges"meanstheratesandcharges setoutinPOTL’sShipping ChargesScheduleand anyotherfees,ratesorchargesthatareimposedbyPOTLfromtimetotimeontheCustomeroranyof theCustomer'sAssociatesforaccesstooruseofanyFacilitiesand/orServicesinconnectionwiththeVessel's visittothePort.

"ForceMajeureEvent"meansanyeventorsituationthatarisesduetosomethingbeyondthereasonable control ofPOTL.

"Port"meansthePortofTownsville.

“POTL” meansPortofTownsvilleLimitedbeingacompany Government OwnedCorporationestablished undertheGovernment OwnedCorporationsAct1993(Qld)andapubliccompany incorporated underthe CorporationsAct2001(Cth).

"ShippingChargesSchedule"meansthescheduleofPOTL'sratesandchargesfromtimetotimewhichis postedonPOTL’swebsiteat

“Regulations”meanstheTransportInfrastructure(Ports)Regulation2005(Qld)asamendedfrom timetotime.

"Services"meansanyservicesthatareprovidedbyorarrangedbyPOTL.

"Terms"meansthetermsandconditionssetoutinthisdocumentas variedfromtimetotimebyPOTL.

"Vessel"meansthevesselnamedintheBerthApplicationForm.

"Vessel'sOwner"meanstheownerof theVesselandincludesanychartereroftheVessel.

“Wharf Backing Area” means the area parallel to the wharf that may be used in association with the working of cargo being loaded or unloaded to/from a vessel. Wharf Backing Areas are aligned with Berths 4, 8 and 10.

“Wharf Related Area” means an area wheregoods are located immediately after being unloaded from a ship thathas taken the goods on board at a place outside Australia and carried the goods to the Port of Townsville where some or all of the goods are unloaded or goods are located immediately before being loaded on a ship in which they are to be exported. Wharf related areas are identified as Magazine Hill and Centenary Loop South.

“Wash bay” means the wash-bay situated on the Berth 10 wharf backing area.

Interpretation

IntheseTerms:

(a)wordsimportingthesingularwill includethepluralandvice versaandany word or expressiondefinedin thesingularhasthecorrespondingmeaningifusedinthepluralandviceversa;

(b)areferencetoanyactorstatuteorregulationwillincludeareference toanyamendment,re-enactment orextensionthereoforanystatutoryorregulatoryprovisionthatmaybesubstitutedfrom timetotime.

(c)referencestoany deed,document, instrument orotherwritingwillbedeemedtoincludereferences to thedeed,instrumentorotherwritingasvariedorsupplementedfrom timetotime;and

(d)whereanyparty totheContractiscomprised ofmorethanonepersonorentitythenthosepeopleor entitieswillbeboundjointlyandeachofthem willbeboundseverallybytheTermsoftheContract.

  1. APPLICATION OF THESE TERMS

2.1TheseTermsformpartoftheContractthatarisesoutofthesubmissionofanApplication to Book POTL Maritime Security Guards.

2.2AContractwillautomaticallybindtheCustomerwithrespecttotheuse of the area nominated inthePortassoonasthe application is lodgedandtheContractwillcomprisethetermsanddetailssetoutintheCustomer's ApplicationForm,theseTermsandtheShippingChargesSchedule.

2.3AnyvariationtothedetailssetoutintheApplicationFormshallbedeemedtooperateas avariationto theContract.

2.4TheseTermscannotbevariedunlessthevariationisagreedinwritingandhasbeensignedbyauthorised representativesofboththeCustomerandPOTL.

  1. TRANSPORT INFRASTRUCTURE ACT 1994

3.1TheContractshalloperateinaugmentationofPOTL'srights,powers,defences,immunitiesor limitationsof liabilityundertheAct.Nothinginor arisingoutoftheseTermsortheContract:

(a)inanywaydiminishesPOTL'srights,powers,defences, immunities,indemnities orlimitations of liabilityundertheAct;or

(b)inanywayfettersanydiscretionsthatPOTLhasundertheAct;or

(c)inany waydiminishesor otherwiseprecludesPOTLfromaccessing,relyinguponor usingany ofitsrights,powers, defences, immunities,indemnities orlimitationsofliability undertheActinrelation toany matterconcerning thePort,theCustomerandtheCustomer’sAssociatesortheVesselorany matterarisingoutoftheContract.

3.2If there is any inconsistency between anything in these Terms or the Contract and anything in the Act, thenthe Act will prevail to the extent of the inconsistency.

  1. FEES AND CHARGES

4.1LiabilityforFeesandChargesin relationtoaVessel

ThefollowingpartiesarejointlyandseverallyliabletopaytheFeesandChargesinconnectionwiththeuse of a Port of Townsville Limited Maritime Security Guardsin relation tocargo terminals incommon user areas :

(a)theCustomer;

(b)theCustomer’sAgent;and

(c)anyotherpersonwhohas acceptedliabilityfortheFeesandCharges.

4.2Liability for Fees and Charges in relation to Goods and Cargo

Thefollowingpartiesarejointlyandseverally liabletopaytheFeesandChargesinconnectionwithgoodsand/or cargoplaced in a wharf backing area, wharf related area or wash bay:

(a)theownerof thegoods;

(b)theconsignorandconsigneeof thegoods;

(c)theagentforthesaleorcustodyofthegoods;

(d)thepersonentitledto possessionofthegoods;

(e)theCustomer;and

(f)anyotherpersonwhohas acceptedliabilityfortheFeesandCharges.

4.3Interest on Outstanding Fees and Charges

TheCustomershallpayPOTLinterestonallFeesandChargesthatarenotpaid toPOTLonor beforetheFeesandChargesaredue.

Interestis payableontheunpaidamountatareasonablerateas decidedbyPOTL.

Interestonalloutstandingamountsshallaccruedailyfrom thedatethattheamountbecomesoverdueforpayment.

InterestchargedbyPOTLwillbecompoundedmonthlyandinterestshallbepayablebytheCustomerto POTLondemand.

POTLmayrecoverFeesandChargesandanyinterestpayableasa debtpayabletoPOTL.

  1. USE OF AND ACCESS TO FACILITIES AND SERVICES

5.1Allocation of Facilities and Services by POTL

POTLagreestoallocateresources where possible upon receival of a completed application to use Maritime Security GuardstogivetheCustomeraccesstoanduseofthe Facilitiesand Services.

5.2No interest in Facilities

NothingintheseTermswillcreateanytenancy,estateorproprietaryinterestofanykindinorovertheFacilities or personnel.

5.3Availability of requested Facilities and Services

AllocationofFacilitiesandServicesrequestedbytheCustomerortheCustomer'sAssociateswillalwaysbe subjecttoavailability andsuitabilityfortheuseintendedbytheCustomer,Customer’sAgentortheCustomer's Associates. POTL willdetermineavailability andsuitabilityinitsdiscretion havingregardtoanyexisting priorityberthingarrangementsthatmayexist.

POTL hasdevelopedPOTL Berthing Regulations(MS174)toassistinthedecisionmaking processwhichisavailableviaPOTL’swebsite. While thisistoensureclarity ofberthingallocation byPOTL the same process will be applied to applications for use of Cargo terminals.

5.4Additional Facilities and Services

InadditiontotheuseofanyFacilitiesandServicesrequestedbytheCustomerorCustomer'sAssociates, other FacilitiesandServicesmaybeutilised(andpaidforaspartoftheFeesandCharges)orsimilarfacilitiesand servicesasarrangedbytheCustomerorCustomer’sAssociatesin circumstanceswherePOTLconsiders theuseofadditionaloralternativeFacilitiesorServicesisnecessary toensure,safety,security,Portoperational efficiency,generalexpediency,compliancewiththeActorcompliancewithanyotherlawsorindustrystandards.

5.5Withdrawal, Suspension, Reallocation and Termination of Access and Use

WherePOTLconsidersitnecessary todosotoensuresafety,security,Portoperationalefficiency,general expediency,compliancewiththeActorcompliancewithanyotherlawsorindustrystandardsthenPOTLmayuponformalnotificationtotheCustomeratanytimewithdraw,suspend,reallocate,terminateorotherwise varyormodifyany usageoraccessrights thataregrantedtotheCustomer. WherePOTLexercisesanyofits rightsunderthisclausethennothingwillrelievetheCustomerortheCustomer'sAgentfromliabilitytopayany FeesandChargesalreadyaccruedorincurredandnothingwillentitletheCustomertoanycompensation forany loss,damage,demurrage,delayorinconveniencesuffered.

  1. OTHER OBLIGATIONS

6.1Not to Damage Facilities

The CustomershallensurethatneitheritnoranyoftheCustomer’sAssociatescausesany damage(fairwearandtearaccepted)totheFacilitiesoranythingelseinthePort,includingpermanentfencingandtemporaryfencing.

Where the Customer or any of the Customer’s Associates causes any damage to the Facilities or anything elseinthe Port,thefollowingpersonsarejointlyandseverallyliableforthedamage:

(a)theCustomer;and

(b)theCustomer’sAgent.

Where damage is caused to the Facilities by floating or submerged material, the owner of the material is liableforthe damageifthedamagehappenedbecauseof theintentional,recklessornegligentactof theowner.

POTLmaycarryoutanyworknecessarytorepairthe damageandthecostsofthework shallbepaidby theCustomerondemand.

Machinerysuchasforkliftsorothervehiclesarenottobeusedtodragsectionsoftemporary fencingtocreate openings foroperationswhichcausesdamagetothefencing.Theberthoperatorwilldismantle temporaryfencing wherenecessaryandreconstructthefencingfollowinguseoftheberth.Anycostsincurredtorestorefencingwill beattheexpenseof theberthoperator.

6.2Requirement to Clean wharf backing area, wharf related area or wash bay

TheCustomer shallensurethatneitheritnoranyoftheCustomer’s Associates causesanyresidue,deposit,spill, excess,waste,rubbishorlitterislefton/inthe wharf backing area, wharf related area or wash bay followingtheCustomer’s activitiesatthat the wharf backing area, wharf related area or wash bay.Examplesof waste,residue,depositsarelistedbelow,butnot limitedto:

(a)brokenpalletssplinters,fragments,plasticwrapping;

(b)padding;

(c)anybulkproductingranularorpowderedform;

(d)stockfeed;

(e)wash bay wash waters/residue;

(f)timberpacking,braces,chocks;

(g)foodanddrinkcontainers;

(h)wasteoil/drumsorcontainers;and

(i)animalexcrement/urine.

TheCustomermust,atitscost,immediatelyremove/clean-upanyresidue,spill,deposit,excess,waste,rubbishor litterlefton/inthe wharf backing area, wharf related area or wash bayasa resultof itsactivitiesatthatthe wharf backing area, wharf related area or wash baytothesatisfactionof POTL.

IntheeventtheCustomer failstocomplywiththisclause,POTLmaycarryoutanyworknecessary to cleanthe wharf backing area, wharf related area or wash bayandthecostsofthe work shallbepaidbytheCustomerondemand.

6.3Port Security

The Customer shall ensure that it and the Customer's Associates comply with POTL's security proceduresandrequirementsrelatingtocargo,Vessels,FacilitiesandaccesstoandfromthePortwhensuch proceduresandrequirementsarecommunicatedtothem.

For the purposes of this clause, when POTL places the relevant security procedures and requirements onitswebsiteorprovideswrittennoticetotheCustomerortheCustomer’sAssociates, itshallbe deemedtohavecommunicated thoseproceduresandrequirementstotheCustomerandtheCustomer's Associates.

TheCustomer shallensurethatitandtheCustomer’s Associates complywithalllawfulandreasonable security directionsgivenbyPOTL’sAuthorisedOfficers.

6.4Professional Standards

TheCustomershallensurethatallworkcarriedbyitoranyoftheCustomer'sAssociatesinoraroundthePortin connectionwiththeVessel'svisit:

(a)iscarriedoutbypersonnelwhoarefitforworkandhavetheappropriatetraining,experienceand qualificationstodothework;and

(b)iscarriedoutwithahighdegreeof skill,safety,competenceandprofessionalismatalltimes.

6.5No Interference with Other Users

The Customer shall ensure that neither it nor any of the Customer'sAssociates obstructs or causes any interferenceornuisancetoPOTL,otherPortcustomersoranyoneelselawfullyusingorconducting lawfuloperationsin thePort.

6.6Comply with all Acts and Regulations

TheCustomershallensurethatitandtheCustomer’sAssociatescomplywiththeprovisionsofallActsand statutesandall regulations,ordinances,rules,directions,by-lawsandlocallaws madeunder anyActsfromtime totimebyanystatutory,publicorothercompetentauthorityinrelationtotheVesselortheuseoforaccesstothePortandtheFacilitiesorServices.

WithoutlimitingtheprovisionsoftheaboveparagraphtheCustomershallensurethatitandtheCustomer’sAssociatescomplywith:

(a)theActandRegulations,theTransport Operations (MarineSafety)Act1994(Qld),theTransport Operations (MarinePollution)Act1955(Qld), theProtectionoftheSea(Prevention ofPollutionfromVessels)Act1983(Cth),theEnvironmental ProtectionAct1994 (Qld),MaritimeTransportandOffshoreFacilitiesSecurityAct2003(Cth) and the Customs Act 1901 (Cth);and

(b)PortNotices(by-laws),anyspecificberthingrequirements/limitationpertainingtothePort’s wharvesand anylawfulandreasonabledirectionsbyPOTL’sAuthorisedOfficers.

6.7Not to Cause Spills or Pollute

TheCustomer shalldoallthingsnecessarytoprevent,andnottodoorpermitorsuffertobedoneanythinglikely tocausepollutionorcontaminationofwaterswithinthejurisdictionofthePortoranyotherwatersormarine environmentsurroundingthe respectivewharf backing area, wharf related area or wash baybeingusedbytheCustomer.

Intheeventofaspillageorothercontaminationintowatersormarineenvironmentwithinthejurisdictionofthe Port,theCustomershallimmediately contactPOTLandprovidedetailsofthespillageorother contamination.

TheCustomershallprovideequipmentandresourcesatitsowncosttorecover/cleanupanyspillageorothercontaminationinthePort’swatersormarineenvironmentinaccordancewiththedirectionsofPOTL.

6.8Comply with Directions etc.

TheCustomershallensurethatitandtheCustomer'sAssociates:

(a)complywithalllawfulandreasonable directions givenbyAuthorised OfficersofPOTL in connectionwiththeusage of Port facilities and services;

(b)complywithalldirectionsgivenbyanyoneworkingwiththeDepartment of Agriculture,theAustralianBorderForceoranyrelevantregulatory authorityin connectionwiththeusage of Cargo Terminals;and

(c)complywith alloccupationalhealth,safetyandenvironmentalrequirementsandassociatedpoliciesand proceduresofPOTLthatareadvisedtotheCustomeroranyoftheCustomer'sAssociates from timetotime.

6.9Induction

TheCustomershallensurethat itand the Customer'sAssociatesundertakeanyPortinductionbriefingsor courses asandwhenrequiredbyPOTLinrelationtoanythingconnectedwiththeusage of Cargo Terminals.

6.10Notification of Accidents, Incidents, Injuries or Security Threats

AssoonastheCustomeroranyoftheCustomer's Associates becomeawareofanyaccident,incidentorsecurity threatwithinthePortanditsFacilitiesorinjury toanypersonorany circumstancespresentingariskofdamageor injuryduringtheusage of Cargo Terminals in the Port:

(a)theCustomer shallensurethatPOTLisinformedoftheaccident,incident,injuryorsecurity threat;and

(b)where the CustomerisrequestedtodosobyPOTL, theCustomershall ensuretheyprovideadetailedwrittenreporttoPOTLinrespectto theaccident,incident,injuryorsecuritythreat. Any report shallbeprovidedtoPOTLwithin24 hoursofarequestbeingmade.

Forthepurposeofthisclause:

"accident" meansanyeventwheredamageofany kindiscausedtoanyVessel,person,propertyorthe surroundingenvironment;and

"incident"meansanyeventoccurring,whichishazardousorpotentiallyhazardoustoanyVessel,person, propertyorthesurroundingenvironment.

6.11POTL’s Access

TheCustomershallensurethatPOTLisgivenpromptaccesstotheFacilitiesandany informationthatisreasonably requiredbyPOTLinorderforPOTLtocheckandmonitorthe Customer'scompliancewithitsobligationsundertheseTerms.

  1. INDEMNITY & LIMITATION OF LIABILITY

7.1Indemnity

The Customeragreestoindemnifyand keepindemnifiedPOTL,anditsagents,servants,employeesand contractorsfromandagainstallactions,suits,proceedings, claims,costsanddemandsarisingfromanylossor damagetotheextentitiscausedorcontributedbytheCustomerortheCustomer’s Associateswhichmayatany timebebrought,maintained,ormadeagainstallor anyoneormoreofthem inrespectof:

(a)anyloss(includinglossofuse),injuryordamageof ortoproperty;and

(b)anydeathorillnessoforinjurytoanyperson,directlyorindirectlycausedby,arisingoutoforin connectionwith:

(i)theuseoroccupationofaberthorany business oractivityconductedonorinconnectionwiththeberthbytheCustomerandtheCustomer’sAssociates;

(ii)themaintenance orusebytheCustomerortheCustomer’s Associatesofany equipmentorother plantormachineryonorabouttheberths;

(iii)theservicingoftheVesselonorabouta berth;or

(iv)anyotheract,matterorthinganalogoustoorofasimilareffectastheprovisionsreferredtoin paragraph(i)to(iv)aboveinclusive.

7.2Customer’s Use at Sole Risk

TheCustomerwillusetheallocated berth,FacilitiesandServiceswithinthePortandatthesoleriskofthe CustomerandPOTLshallnotbeliabletotheCustomerortheCustomer’sAssociatesforanylossor damage(includingconsequential lossordamage)sufferedorincurredbytheCustomerortheCustomer’s Associateswhetheritbe:

(a)personalinjurytopersons:

(i)damagetothecargobeinghandledat theberth;

(ii)anypropertyownedor belongingtotheCustomerortheCustomer’sAssociates;or

(iii)lossordamagesufferedorincurredbytheCustomerortheCustomer’sAssociatesduetoany reasonabledelayofallocating totheCustomeraberthoranydelay causedbyanyindustrial disputeorlabourdifficulties, any ForceMajeure,anywars,rightsorunusually severeweatheror anytemporaryorpermanentunavailabilityoftheoriginalberththesubjectoftheCustomer’sor Customer’sAgent’sBerthApplicationForm,

(b)arisingoutoforincidentaltotheuseoftheallocatedberth,FacilitiesorServicesexcepttotheextent thatsuchlossordamage isprovidedtohavebeen causedbythenegligence orwillful neglectofPOTLoritsagents,servants, employeesorcontractors.

7.3Limitation of Liability

Excepttotheextentthatanyrightsor warrantiescannotbeexcludedor limitedasamatterof law,theliabilityofPOTLtothe Customerforanythingarisingoutofthe Contractshallbe strictlylimitedtoeither ofthe following remediesaselectedbyPOTL:

(a)there-supplyofequivalentFacilitiesorServices;or

(b)thepaymentof thecostsnecessarytohavetheFacilitiesor Servicessuppliedagain.

  1. TERMINATION

8.1POTL may Terminate

WithoutprejudicetoanyotherrightsorremediesPOTLmayhaveundertheseTermsoratlaworin equity, POTLmayterminatetheContractuponformalnotificationtothecustomerwith immediateeffect if POTLhaspreviouslyprovidedtheCustomerwithanoticetoremedybreachinconnectionwiththis ContractandtheCustomerhasfailedtoremedythebreachwithinthetimestipulatedinthenotice.

8.2No Release

Onterminationof theContract:

(a)nothingwillreleaseordischargetheCustomerfromliabilitytoPOTLinrelationtoanything occurringpriorthedateoftermination;and

(b)nothingwillreleaseordischargetheCustomerorCustomer’sAgentfromliabilityforanyFeesand ChargesimposedbyPOTLinrelationto anythingoccurringpriorthedateof termination.

  1. GOODS AND SERVICES TAX

9.1GST Provisions

Forthepurposeofthisclauseunlessthecontextotherwiserequires:

(a)"GSTLegislation"meansANew TaxSystem(GoodsandServicesTax)Act1999(Cth)and anyrelated taximposition act(whetherimposingtaxasadutyorcustomsexciseorotherwise)andincludesany legislationwhichis enactedtovalidaterecaptureorrecoupthetaximposedbyanyofsuchacts;and

(b)whereanyothertermisusedinthisclause,whichisdefinedintheGSTlegislation,itwillhavethe meaningwhichitbearsin theGSTLegislation.

9.2Amounts in Shipping Charges Schedule

EveryitemintheShippingChargesSchedulepayableundertheseTermswillclearlyindicatewhetherornotthe feeorchargeimposedbyPOTLis GST inclusiveorexclusive.

9.3Tax Invoices

POTLwillprovidetheCustomerortheCustomer'sAgentwithtaxinvoices and/oradjustmentnoteswith respecttotheFeesandCharges(butwill notbeobligedor requiredto createtaxinvoicesfor amountsinexcessof amounts received fromtheCustomer).Thetaxinvoicesand/oradjustmentnoteswillshowtheFeesandCharges exclusiveof GSTandtherelevantGSTamountpayableonthoseFeesandCharges.

  1. FORCE MAJEURE

DespiteanythingtothecontrarycontainedelsewhereintheseTerms,theCustomerandPOTLwill notbe inbreachofanyobligationitmayhaveincircumstances wheretheCustomerorPOTL'sabilityto reasonablycomplywasinterferedwith,obstructed,delayedorpreventedbyaForceMajeureEvent.

  1. MISCELLANEOUS

11.1No Assignment

TherightsandentitlementsundertheContractarenotcapableof beingassignedortransferredbytheCustomer.

11.2Severance

Ifanytermorpartcontained inthese TermsorelsewhereintheContractisdeclaredorbecomes unenforceable, invalidorillegalforanyreasonthenthattermorpartwillbeseveredandtheothertermsandpartswillremainin fullforceandeffect.

11.3Governing Law and Jurisdiction

TheContractisgovernedbyandwillbeconstruedinaccordancewiththelawsofQueensland andtheCustomer irrevocablyandunconditionallysubmitstothenon-exclusivejurisdictionofthecourtsofQueensland.

11.4Website

POTLundertakestoplacetheseTermsonitswebsite,sothattheCustomercanhaveeasyaccessto them.

11.5Variation

POTL, actingreasonably,mayvary,amendoraddtotheprovisionsoftheseTermsfromtimetotime providedthatsuchvariation,amendmentoradditionrelatesto,orisinrespectof,thereasonableandproper conductof PortoperationsinaccordancewiththeActandRegulations.

POTLundertakesto:

(a)consultwithShippingAustraliaLimitedpriorto varyingtheseTerms;and

(b)notifyCustomersandthe Customer'sAgentsofanyvariationbyplacingthe variedTermsonitswebsite immediatelyfollowinganydeterminationbyPOTLto varytheseTerms.
