Instructions for Using Click-Through Agreements

[NOTEWELL:TheseinstructionsarenottobepostedonanyexternalASUwebsitesorgiventoexternal clients. Any substantive changes to this form of agreement must be cleared withtheOffice of GeneralCounsel.]

Click-through agreements are generally upheld if certain “rules” are followed:

  • TheClientshouldnothavetheoptionofassentingtothetermsoftheAgreementwithout having first been presented with the terms of the Agreement, which should eitherappearautomaticallyorappearwhentheClientclicksonaniconorhyperlinkthatis clearly labeled and easily found. Place the means of assent at the end of the Agreement terms, requiring the Client at least to navigate past the terms before assenting.
  • The Program operating the click-through Agreement should give the Client sufficientopportunitytoreviewtheAgreementtermsbeforeproceeding.TheClientshouldbeable to read the terms at his or her own pace; if the terms occupy more than onecomputerscreen,theClientshouldbeabletonavigateforwardsandbackwardswithinthe terms by scrolling or changingpages.
  • ThetermsoftheAgreementshouldbeclearandreadable,inlegiblefont.Similartotheforegoing bullet, the Agreement should not be cumbersome or needlessly difficult for theClient.Inshort,theharderyoumakeitontheClient,thelesslikelytheAgreementwill be enforceable.
  • InformationprovidedtotheClientelsewhere(suchasontheCenter’swebsite)shouldnot contradict the Agreement terms or render the Agreementambiguous.
  • TheClientshouldbegivenaclearchoicebetweenassentingtothetermsorrejectingthem.ThatchoiceshouldoccurattheendoftheprocesswhentheClient’sassentisrequested.
  • TheClient’swordsofassentorrejectionshouldbeclearandunambiguous.Examplesofclearwordsofassentinclude:“Yes”,“Iagree”,“Iaccept”,“Iconsent”or“Iassent.”Donot use vague or ambiguous phrases such as “Process my order”, “Continue”, “Nextpage”, “Submit” or “Enter.” Examples of clear words of rejection include “No”, “Idisagree”, “I do not agree”, “Not agreed” or “Idecline.”
  • TheClient’smethodofsignifyingassentorrejectionshouldbeclearandunambiguous.Examples include clicking a button or icon containing the words of assent orrejection.

IftheClientrejectstheAgreementterms,thatactionshouldhavetheconsequenceofpreventingtheClientfromgettingwhatevertheAgreementisgrantingtheClient.TheClientshouldnotbeabletocompletethetransactionwithoutagreeingtotheterms.For example, if the Agreement would grant the Client use of a website, software, orparticulardata,theconsequenceoftheClient’srejectionofthetermsshouldbetobarthe Client from that use. Likewise, if the Agreement would give the Client rights to goodsorservices,theconsequenceoftheClient’srejectionofthetermsshouldbetoejecttheClientoutoftheorderingprocess.Ontheotherhand,iftheClientassentstotheAgreementterms,theClientshouldbegrantedaccesstowhateverispromisedintheAgreementwithouthavingtoassenttoadditionalterms(asidefromthosethattheClient specifies in the orderingprocess).

  • Immediately preceding the place where the Client signifies assent or rejection, astatement should draw the Client’s attention to the consequences of assent and rejection.Examplesofnoticeofassentconsequencesinclude:“Byclicking‘Yes’belowyouacknowledgethatyouhaveread,understand,andagreetobeboundbythetermsabove”or“Thesetermsarealegalcontractthatwillbindbothofusassoonasyouclickthefollowingassentbutton.”Examplesofnoticeofrejectionconsequencesinclude:“Ifyou reject the proposed terms above, you will be denied access to the [website, software, product, services] that we are offering toyou.”
  • Maintain accurate records of the content and format of the electronic agreementprocess,documentingwhatstepstheClienthadtotakeinordertogainaccesstoparticular items and what version of the agreement was in effect at the time. Ifnecessary,forproofofperformance,linktheClient’sidentitytohisorherassentbymaintaining accurate records of the Client’s identifying information, the Client’selectronic assent to the terms, and the version of the terms to which the Clientassented. Be sure to comply with applicable privacylaws.
  • To meet any legal requirement that a record of the Agreement be provided, sent, ordelivered,thesendermustensurethatanyelectronicrecordiscapableofretentionbythe recipient. In addition, for an electronic record to be enforceable against the recipient,thesendercannotinhibittherecipient’sabilitytoprintorstoretheelectronicrecord.

ARIZONA STATEUNIVERSITYSERVICESAGREEMENT

ThisAgreement(“Agreement”)betweenyou(“Client”)andTheArizonaBoardofRegentsforandon

behalfofArizonaStateUniversity(“ASU”)andits[NameofRechargeCenter/Lab/Institute/Service

Center](“Center”)governsCenter’sperformanceofallservicesrequestedofCenterbyClient(the “Services”)andClient’sobligationstoCenter.ClientacknowledgesthatitsengagementofCenterconstitutesClient’sagreementtothetermsandconditionsofthisentireAgreement.

1.Mission of ASU and Center.The parties agree that the performance of the Servicesisconsistent,compatible,andbeneficialtotheroleandmissionofASUtoprovideeducationalexperiencesforstudentsandtoencourageandsupportresearchandrelatededucationalactivities.

2.ScopeofWork.CenterwillusereasonableeffortstoprovidetheServicesrequestedbyClient.TheServiceswillbeprovidedunderthedirectionandsupervisionofaCenteremployee.ThepartiesagreethatCentershallhavediscretiontoinvolveitsstudentsintheconductandperformanceoftheServices.ASU’sperformanceoftheServicesanditsobligationsunderthisAgreementaresubjecttoandgoverned by the regulations and policies of the Arizona Board ofRegents

3.SchedulingServices.TheschedulingoftheServicesshallbearrangedtoavoidconflictwithASU’seducationalandresearchprograms.CentershallcontroltheschedulingofsuchServicesbutwilltry to meet reasonable timelines established byClient.

4.Term andTermination.

4.1ThisAgreementshallbeginonthedateClientexecutesthisAgreementbyclickingbelowand shall terminate as providedherein.

4.2EitherpartymayterminatethisAgreementatanytimebygivingtheotherpartynotlessthanthirty(30)dayspriorwrittennotice.IfthisAgreementisterminatedbyClient,ClientwillremainresponsibleforpaymenttoCenterforallworkperformedthroughthedateofterminationandforreimbursementtoCenterofallnon-cancelablecommitmentsincurredintheperformanceoftheServices.Upontermination,propertypurchasedinfurtheranceofthisAgreement(ifany)willremain the property of the purchasing party, unless expressly specifiedotherwise.

5.Compensation andInvoicing.

5.1ClientwillpayCenterfortheServicesperformedunderthisAgreementinaccordance

withCenter’srateschedulesetforthat[hyperlink].AllamountsdueunderthisAgreementshallbepaid uponreceiptofinvoicesfromCenterissuedmonthlyforthedurationoftheperiodofperformanceof

the Services. Invoices are due and payable within 30 days. Questions regarding invoices shouldbedirectedtotheCenteratthecontactaddressindicatedontheCenter’swebsite.ASUwillmailinvoices totheClientcontactidentifiedbelow.

5.2Centerreservestherighttosubjectinvoicesnotpaidwithinthirty(30)daysoftheinvoicedatetoa4%permonthlatefeeontheunpaidbalanceforanyamountsnotindispute.CenterreservestherighttodiscontinuetheServicesifClientfailstomakepaymentswhendue.Intheeventof

6.NoWarranty.Centerneithermakesnorshallbedeemedtohavemadeanyrepresentationorwarrantywhatsoever(expressorimplied)regardinganyoutcomeobtainedordeliverabledeliveredhereunder including any outcome desired by Client. Any decision regarding safety,applicability,marketability,effectivenessforanypurpose,orotheruseordispositionofsaidoutcomeshallbethesole responsibility of Client and/or its permitted assigns andlicensees.

7.NoUniversityEndorsements.InnoeventshallClient(oritssuccessors,employees,agentsandcontractors)stateorimplyinanypublication,advertisementorothermediumthatASUhasapproved,endorsed or tested any product or service. In no event shall Center’s performance of theServicesdescribedhereinbeconsideredatestoftheeffectivenessorthebasisforanyendorsementofaproductorservice.

8.Use of Names or Logos.Neither party will use any names, service marks, trademarks,tradenames,logosorotheridentifyingnames,domainnamesoridentifyingmarksoftheotherparty(“Marks”),orthenameofanyrepresentativeoremployeeoftheotherpartyinanysalespromotionworkoradvertising,oranyformofpublicity,withoutthepriorwrittenpermissionofthepartythatownsthe Marks in each instance. Use of any party’s Marks must comply with the owningparty’srequirements,includingusingthe“®”indicationofaregisteredtrademarkwhereapplicable.

9.SimilarResearch.NothinginthisAgreementshallbeconstruedtolimitthefreedomofASUorofitsresearchersfromengaginginsimilarservicesmadeunderothergrants,contractsoragreementswith parties other thanClient.

10.ExportControls.ClientwillnotifyCenterinwritingifanytechnologicalinformationordataprovidedtoCenterunderthisAgreementissubjecttoexportcontrolsunderU.S.laworiftechnologicalinformationordatathatClientisrequestingCentertoproduceduringthecourseofworkunderthisAgreementisexpectedtobesubjecttosuchcontrols.ClientwillnotifyCenteroftheapplicableexportcontrols(forexample,CommerceControlListdesignations,reasonsforcontrol,countriesforwhichanexportlicenseisrequired).Centershallhavetherighttodeclineexportcontrolledinformationortasksrequiring production of suchinformation.

11.Independent Contractor.Each party is an independent contractor and is independent oftheotherparty.Undernocircumstancesshallanyemployeesofonepartybedeemedtheemployeesoftheotherpartyforanypurpose.ThisAgreementdoesnotcreateapartnership,jointventureoragency

relationshipbetweenthepartiesofanykindornature.ThisAgreementdoesnotcreateanyfiduciaryorotherobligationbetweentheparties,exceptforthoseobligationsexpresslyandspecificallysetforthherein.Neitherpartyshallhaveanyright,power,orauthorityunderthisAgreementtoactasalegalrepresentativeoftheotherparty,andneitherpartyshallhaveanypowertoobligateorbindtheotherortomakeanyrepresentations,expressorimplied,onbehalfoforinthenameoftheotherinanymanner or for any purpose whatsoever contrary to the provisions of this Agreement. Eachpartyacknowledgesthattherelationshipofthepartieshereunderisnon-exclusive.

12.ForceMajeure.

12.1Noliabilityshallresultfromthedelayinperformanceornonperformancecausedbyforcemajeureorcircumstancesbeyondthereasonablecontrolofthepartyaffected,including,butnotlimitedto,actsofGod,fire,flood,substantialsnowstorm,war,terrorism,embargo,anyUnitedStatesorforeigngovernmentregulation,directionorrequest,accident,strikeorotherlabordisputeorlabortrouble,oranyfailureordelayofanytransportation,powerorcommunicationssystemoranyotherorsimilar cause beyond that party’s reasonablecontrol.

12.2Thepartywhichissopreventedfromperformingshallgivepromptnoticetotheotherpartyoftheoccurrenceofsucheventofforcemajeure,theexpecteddurationofsuchconditionandthestepswhichitistakingtocorrectsuchcondition.ThisAgreementmaybeterminatedbyeitherpartybywrittennoticeupontheoccurrenceofsucheventofforcemajeurewhichresultsinadelayofperformance hereunder exceeding thirty (30)days.

13.ApplicableLaw.AnydisputeregardingorarisingunderthisAgreementshallbesubjectedtoandresolvedinaccordancewiththelawsoftheStateofArizona,withoutregardtoitsconflictsoflawsprinciples.

14.DisputeResolution.Intheeventofanydispute,claim,question,ordisagreementarisingfromorrelatingtothisAgreementorthebreachthereof,thepartiesheretoshallusetheirreasonableeffortstosettlethedispute,claim,question,ordisagreement.Tothiseffect,theyshallconsultandnegotiatewitheachotheringoodfaithand,recognizingtheirmutualinterests,attempttoreachajustandequitablesolutionsatisfactorytobothparties.Intheeventoflitigation,asrequiredbyArizonaRevisedStatutes(“A.R.S.”)§12-1518,thepartiesagreetomakeuseofarbitrationinallcontractsthataresubjectto mandatory arbitration pursuant to rules adopted under A.R.S.§12-133.

15.Assignment.NeitherpartyshallassignortransferanyinterestinthisAgreementwithoutthepriorwrittenapprovaloftheotherparty.AnyattemptedassignmentinviolationofthisSectionshallbenullandvoid.Subjecttotheforegoing,thisAgreementshallbebindinguponthepermittedsuccessorsand permitted assigns or other permitted transferees of theparties.

16.Severability.IfanyprovisionofthisAgreementshallforanyreasonbefoundinvalid,illegal,unenforceable,orinconflictwithanyvalidcontrollinglaw:(a)suchprovisionshallbeseparatedfromthisAgreement;(b)suchinvalidity,illegality,unenforceability,orconflictshallnotaffectanyotherprovisionhereof;and(c)thisAgreementshallbeinterpretedandconstruedasifsuchprovision,totheextentthesameshallhavebeenheldinvalid,illegal,unenforceable,orinconflict,hadneverbeencontainedherein.

17.Waiver.Thewaiverofabreachhereundermaybeeffectedonlybyawritingsignedbythewaivingpartyandshallnotconstitute,orbeheldtobe,awaiverofanyotherorsubsequentbreachortoaffectinanywaytheeffectivenessorenforceabilityoftheprovisioninquestion.

18.NoThirdPartyBeneficiaries.NothinginthisAgreement,expressorimplied,isintendedorshallbeconstruedtoconferuponanypersonorentity,otherthanthepartiesandtheirrespectivesuccessorsandassignspermittedbythisAgreement,anyright,remedyorclaimunderorbyreasonofthisAgreement.

19.MergerandIntegration.ThisAgreementcontainstheentireunderstandingbetweenthepartiesconcerningthesubjectmatterofthisAgreementandsupersedesanyandallpriorunderstandings,agreements,representations,andwarranties,expressorimplied,writtenororal,between the parties concerning the subject matter of thisAgreement.

20.Nondiscrimination.Thepartiesagreetocomplywithallapplicablestateandfederallaws,rules,regulationsandexecutiveordersgoverningequalemploymentopportunity,immigrationandnondiscrimination,includingtheAmericanswithDisabilitiesAct.Ifapplicable,thepartieswillabidebytherequirementsof41CFR§§60-1.4(a),60-300.5(a)and60-741.5(a).Theseregulationsprohibitdiscriminationagainstqualifiedindividualsbasedontheirstatusasprotectedveteransorindividualswithdisabilities,andprohibitdiscriminationagainstallindividualsbasedontheirrace,color,religion,sex,ornationalorigin.Moreover,theseregulationsrequirethatcoveredprimecontractorsandsubcontractorstakeaffirmativeactiontoemployandadvanceinemploymentindividualswithoutregardtorace,color,religion,sex,nationalorigin,protectedveteranstatusordisability.

21.ConflictofInterest.InaccordancewithA.R.S.§38-511,ASUmaycancelthisAgreementwithinthreeyearsaftertheexecutionofthisAgreement,withoutpenaltyorfurtherobligation,ifanypersonsignificantlyinvolvedininitiating,negotiating,securing,draftingorcreatingthisAgreementonbehalfofASU,atanytimewhilethisAgreementoranyextensionthereofisineffect,isanemployeeoragentofanyotherpartytothisAgreementinanycapacityoraconsultanttoanyotherpartywithrespecttothesubject matter of thisAgreement.

22.Failure of Legislature to Appropriate.In accordance with A.R.S. § 35-154, ifCenter’sperformanceunderthisAgreementdependsupontheappropriationoffundsbytheArizonaLegislature,andiftheLegislaturefailstoappropriatethefundsnecessaryforperformance,thenCentermayprovidewrittennoticeofthistoClientandcancelthisAgreementwithoutfurtherobligationofCenter.Appropriation is a legislative act and is beyond the control ofCenter.

ThepartiesagreethatSections23,24,25and26willapplyintheeventClientanditsemployeesarepresentontheASUcampusoruseASUequipment.

23.Liability.Client will conduct its activities in a careful and safe manner. As a material part oftheconsiderationtoASU,ClientagreestoassumeallriskofdamagetoandlossortheftofClient’spropertywhileatASU,damagetoASUspace,andinjuryordeathtopersonsrelatedtoClient’suseofproperty,useoroccupancyofthespacein,upon,oraboutthespacefromanycause,andClientwaivesallclaimsagainstASU.ClientfurtheragreestoindemnifyandholdharmlessArizonaStateUniversity,theArizonaBoardofRegents,theStateofArizonaandtheirofficers,regents,agentsandemployees,againstallclaims,suits,liabilities,costs,damagesandexpenses(includingreasonableattorneys’fees)arisingoutof

orinconnectionwith:(i)Client’suseofproperty,useoroccupancyofthespace,oranyactivityorthingdone,performedorsufferedbyClient,itsagents,itsemployees,licensees,inviteesorpersonsattendingorparticipatinginClient’sactivitiesanduseofpropertyandinoraboutthespace;or(ii)anyloss,injury,deathordamagetopersons,property,orthespaceonoraboutthespacebyreasonofanyact,omissionornegligenceofClient,oranyofitsagents,contractors,employees,licensees,orinvitees;or

(iii)anybreachordefaultintheperformanceofanyobligationonClient’sparttobeperformedunderthetermsofthisAgreement.Client’sindemnityobligationswillnotextendtoanyliabilitytotheextentcausedbythenegligenceofASUoritsagentsoremployees.Client’sobligationsandliabilitiesunderthisSectionwillsurvivetheexpirationorearlyterminationofthisAgreement.

24.Insurance.Client, at its expense, agrees to procure and maintain during the term ofthisAgreementapolicyofcommercialgeneralliabilityinsuranceinanamountofnotlessthanOneMillionDollars($1,000,000),singlelimit,TwoMillionDollars($2,000,000),generalaggregate,againstclaimsforbodilyinjury,deathandpropertydamageoccurringinconnectionwithClient’suseofpropertyandspaceatASU.AllinsurancerequiredpursuanttothisSectionmustnametheArizonaBoardofRegents,ArizonaStateUniversity,andtheStateofArizonaasadditionalinsuredsandmustcontainawaiverofsubrogationagainsttheArizonaBoardofRegents,ArizonaStateUniversity,andtheStateofArizona.ClientagreestoprocureandmaintainWorkers’CompensationinsurancewithstatutorylimitsunlessexemptunderA.R.S.§23-901andexecutestheappropriatewaiver(SoleProprietor/IndependentContractor)form.

26.Weapons, Explosive Devices and Fireworks.ASU prohibits the use, possession, displayorstorageofanyweapon,explosivedeviceorfireworksonalllandandbuildingsowned,leased,orunderthecontrolofASUoritsaffiliatedorrelatedentities,inallASUresidentialfacilities(whethermanagedbyASUoranotherentity),inallASUvehicles,andatallASUorASUaffiliatesponsoredeventsandactivities,exceptasprovidedinA.R.S.§12-781orunlesswrittenpermissionisgivenbytheChiefoftheASUPoliceDepartmentoradesignatedrepresentative.NotificationbyClienttoallpersonsorentitieswhoareemployees,officers,subcontractors,consultants,agents,guests,inviteesorlicenseesofClient(“ClientParties”)ofthispolicyisaconditionandrequirementofthisAgreement.ClientfurtheragreestoenforcethiscontractualrequirementagainstallClientParties.ASU’spolicymaybeaccessedthroughthe following web page:
