SUBMITTER AGREEMENT

THISSUBMITTERAGREEMENT,dated______,isbetweentheOfficeoftheRegisterofDeedsof

Randolph County,NorthCarolina("COUNTY"),and______("SUBMITTER") withofficesat______.TheSUBMITTERwillbetransmitting documentstotheCOUNTYthrough CSC("VENDOR").

COUNTYdesirestoofferSUBMITTERtheabilitytotransferdocuments inelectronicformforpurposesofregistrationin COUNTY'SpublicrecordspursuanttoN.C.Gen.Stat.161-14,andSUBMITTERagreestotransfersuchexchangesonlyin accordancewiththisAgreement.

Documenttypesauthorized forelectronicsubmission mustbesubmittedincompliancewithCOUNTYguidelines.

Documents will be processed on those days and hours that the COUNTYrecording office isopen tothepublic for business. SUBMITTER acknowledgesand agrees that adocument electronically presented shall beconsidered registered only when all applicablerequirementshavebeenmetandtheCOUNTYhasprocessed,accepted,recorded,andindexedsuchdocumentinthepublic recordpursuanttoapplicablestatelaw.Nodocumentisdeemedregisteredautomatically upontransmission orreceipt.

SUBMITTERisresponsible forthecostsofanyservicesprovided byathirdparty(VENDOR)thatenablesSUBMITTERtofile documentselectronically.

SUBMITTERacknowledgesandagreesthatonlydocuments thatcomplywithapplicablerequirementsfororiginalityand acknowledgment maybepresentedforrecording.SUBMITTERacknowledges andagreesthatCOUNTYwillberelyingon SUBMITTER'Scompliance andthefollowingrepresentation asrequiredbystatuteonthefirstpageofanydocumentpresented electronically:

Submittedelectronicallyby(submitter'sname)incompliance withNorthCarolinastatutesgoverningrecordabledocumentsandthetermsoftheSubmitterAgreementwiththe Randolph CountyRegisterofDeeds.GS47-14(a1) (5).

COUNTYisnotresponsible forretainingsuchrecordsasmayberequiredbylawtoevidenceoriginality compliance. SUBMITTERshallprovideacontactthroughwhichdetectedproblemsorissuescanbereportedand addressed.

NeithertheCOUNTYnorSUBMITTERshallbeliabletotheotherforanyspecialorconsequential damagesarisingfrom,orasa resultof,anydelay,omission,orerrorinthetransmission orreceiptofelectronicdocuments.

Recordingisauthorized pursuanttothisAgreementwithrespectonlytotheSUBMITTERspecifically namedinthisAgreement. Submission maybemadebyasuccessororassignofSUBMITTER(includingbutnotlimitedtobymergerorothertransferofassets orreorganization)onlyaftersubmission ofanAgreementinthisforminthespecificnameofsuchsuccessororassign.
