-Certified copy of Board Resolution authorizing the establishment of an office in the Philippines; designating a resident agent to whom summons and other legal processes may be served in behalf of the foreign corporation; and stipulating that in the absence of such agent or upon cessation of its business in the Philippines, any summon of legal processes may be served to SEC as if the same is made upon the corporation at its home office.

-Financial statements for the immediately preceding year at the time of filing of the application, certified by an independent Certified Public Accountant of the home country.

-Certified copies of the Articles of Incorporation/By-laws/Partnership with an English translation thereof if in a foreign language.

-Proof of Inward Remittance such as bank certificate of inward remittance or credit advices.

-Registration Data Sheet

-Resident Agent’s acceptance of appointment (not necessary if agent is the signatory in the application form)

Step 2

What to do -Transmit/Transfer from Head office paid up capital of at least US$200K (for foreign-owned companies engaged in domestic trading); while US$100K if : a) activity involves advance technology; and b) company employs at least 50 direct employees.

In case the company is exporting at least 60% (FIA requirement), there is no need to comply with said inward remittance or capitalization requirement. Company can register with the SEC with a capital in the amount of only P5,000.00.(Corporation Code of the Philippines)

Where to go - Any local commercial bank of investor’s choice. A foreign investor to open an account under his/her name must have an Alien Certificate of Registration (ACR). Or may submit a Treasurer’s Affidavit and a copy of company’s Articles of Incorporation.

The applicant must submit the following requirements:
a. Photocopy of Original Certificate of Title (OCT)/TCT on file with the Registry of Deeds;
b. Photocopy of tax declaration;
c. Current real property tax receipt;
d. Building permit application form;
e. Five (5) sets of survey plans, design plans, specifications and other related documents (i.e., architectural documents, civil/structural documents, electrical documents, mechanical documents, sanitary documents, plumbing documents, electronics documents, geodetic documents, and clearances from other agencies);
f. Locational clearance from the UDD; and
g. FSEC.
After the building permit application is approved, the building official makes an assessment and issues an order of payment for the company to pay at the CTO.
