Tenpin Bowling Tasmania Inc. Constitution

1.INTERPRETATIONS

Words importing to the singular number shall include the plural number.

Words importing to the plural number shall include the singular number.

Words importing to the masculine gender shall include the feminine gender.

Words importing to the feminine gender shall include the masculine gender.

“ASSOCIATION”In relation to Bowling means an organisation promoting, fostering and conducting bowling within a given area whether State, Area or Centre and when licensed by TBA as herein provided, working with the assistance and guidance of TBA and subject to its direction and jurisdiction.

“BOWLING”Means the participant Sport known as Tenpin Bowling and “BOWLER” shall have corresponding meaning.

“COMPANY”Means Tenpin Bowling Australia Limited, ACN 085 023 721.

“CENTRE”Means in relation to Bowling, the land, buildings and other improvements by means of which facilities for bowling are provided for and used by the general public on one site irrespective of the number, disposition or method of operation of the bowling lanes there provided.

2.NAME

This Association shall be known as Tenpin Bowling Tasmania Inc.

3.OBJECTS

The objects for which this Association is formed are:

a)To promote and foster the sport of Tenpin Bowling as a competitive sport within the State of Tasmania.

b)To enforce the playing rules and regulations of Tenpin Bowling Australia Limited (TBA) in any of the competitions conducted by this Association.

c)To obtain TBA accreditation for all tenpin bowling competitions promoted, organised and conducted by this Association.

d)To conduct the Annual State Championships for Adult / Junior and Disability Male and Female members in good standing, in teams, doubles, singles, all events (including Masters, Restricted Cup & Seniors Cup) and any other tournaments which from time to time the State Association may decide to conduct or be authorised to conduct.

e)To promote, organise and conduct any State Representative Team Trials with respect to the Men’s and Women’s Walter Rachuig Trophy Tournament, the President’s Shield Junior Tournament, the National Youth Teams Challenge, the Restricted Teams Challenge, the Seniors Teams Challenge and the National Disabilities Open & Cole Cup Teams.

f)To select State Representative Teams after having first provided equality of opportunity, to all eligible bowlers within this State, for selection.

g)To take all steps considered necessary for raising the finance required to meet all the expenses likely to be incurred for the State Representative Teams with respect to transport, accommodation, entry fees and any contingency which may arise likely to affect the comfort and well being of the teams and the good name, reputation, honour and prestige of this State.

h)To uphold the Constitution of TBA, which shall take precedence over this Constitution in case of conflict.

i)To comply with instructions of the TBA Board of Directors and/or the TBA Senior Officers, in as much as the instructions do not conflict with or compromise the objectives, as listed in the TBA Constitution.

j)To establish By-laws to define eligibility and make up of its committees.

k)To carry out Coaching and other Educational Programmes.

l)To ensure affiliation to the State Olympic Committee and Commonwealth Games Committee.

m)To be responsible for disbursements of all Government funding received in accordance with the designated allocations.

n)To implement any other activities which are approved by the TBA Board of Directors and/or TBA Senior Officers.

o)To establish Charters to define its committee’s purposes, accountabilities and reporting responsibilities.

4.MEMBERSHIP

Membership shall consist of the Voting Delegates from all Associations that are licensed by TBA within the State of Tasmania.

5.CONTROL AND MANAGEMENT

The business and general affairs of the State shall be under the management of the TBTBoard which shall have full power at its discretion to make all decisions concerning the affairs of the State unless otherwise stated in this constitution. The number of board members required should be decided by the delegates at the AGM and then defined in the by-laws.

6.ANNUAL GENERAL MEETING

a)Representation shall be by the State Voting Delegates from each TBA registered association. Those delegates will be the only people entitled to vote at the meeting unless otherwise defined in the constitution.

b)The President/Chairperson shall be elected by the State Voting Delegatesand shall have a casting vote only.

c)The Secretary shall perform the role of State Administrator.

d)The required number of board members will be elected at the AGM. The means of nomination and election must be defined in the by-laws.

f)The voting delegates drawn from each TBA registered association shall remain answerable to their respective Board and are subject to removal from State Office by their respective Board. Any person so removed has the right of appeal to the TBA Rules and Ethics Committee.

g)Vacancies in the elected positions may be filled by appointees made by the TBT Board and will have full voting rights.

7.SPECIAL GENERAL MEETINGS

May be called at any time by discretion of the President/Chairperson and shall be called by the State Administrator within twenty eight (28) days after the receipt by him of a request to that effect specifying the subject to be discussed at such meeting and signed by a majority of the recognised Association Voting Delegates in the State.

Notice of such meeting shall be sent by post to all Associations at least fourteen (14) days prior to the date fixed for the meeting and shall state the matter or matters to be dealt with. No business other than those matters will be dealt with at the meeting.

8.TBT BOARD

a)The Board shall meet as deemed necessary.

b)The President/Chairperson shall be the chairman at all meetings of the Board, but have a casting vote only.

c)The Board shall see to the appointment of any and all committees it may decide are required for particular functions within the State.

d)The number and purpose of committees and the means of electing or appointing the members of any such committees shall be defined in the by-laws/charters.

9.COMMITTEES

All committees formed under this constitution shall:

a)be answerable to the State Association.

b)be required to submit reports as defined in the by-laws/charters.

c)be responsible for electing their own officers.

Note: Persons seeking to nominate for positions on any state committees need not hold the position of centre voting delegate and bowlers from the general membership must be able to nominate.

10.QUORUM

A quorum of ALL meetings shall be a majority of members entitled to vote.

11.BOARD OF MANAGEMENT

11.1The Board of Management of the Association shall consist of the following :-

·President (Chairperson)

·Vice President (Adult Affairs)

·Vice President (Junior Affairs)

·Secretary

·Treasurer

·Independent Proprietors Representatives

·AMF Representative

·Association Voting Delegates

Provision for two (2) Independent positions on the basis of retaining legal & financial expertise on the board.

The positions of President, Vice President (Adult Affairs), Vice President (Junior Affairs), Secretary & Treasurer will be elected by the Voting Delegates at the AGM. The Independent Proprietors Representatives and AMF Representative will be appointed by their respective organisations. The two (2) Independent positions on the board will be appointed by the Board of Management.

The State Association board of management will operate under the policies set by the delegates at the state AGM and the requirements of the state constitution and incorporation rules. The board of management will oversee the functional structure of the state association and the formation of it's sub committees. The State board of management will not have a direct hands-on role with the everyday function of the State Office.

11.2Persons seeking to nominate for positions on the Board of Management need not hold the position of Local Association voting delegate and persons from the general membership can nominate.

11.3At the Annual General Meeting of the Association, all members of the Board of Management shall retire from office but shall be eligible upon nomination for re-election.

11.4The election of Officers and other members of the Board of Management shall be by ballot by the Local Association voting delegates present at the AGM. The Independent Proprietors representatives, AMF representativeand Independent Board positions can be elected as office bearers at the AGM by the Voting delegates.

11.5Any member of the Board of Management may resign from the Board by giving written notice to the Secretary. The resignation has effect the day it is received by the Secretary or at a later day if this is stated in the resignation.

11.6Any member of the Board of Management may be removed from their position if the member :-

a)becomes of unsound mind or a person whose person or estate is liable to be dealt with in any way under a law relating to mental health.

b)resigns office by notice in writing or refuses to act; or

c)is not present personally or by proxy at three (3) consecutive meetings without reason.

11.7A member may be removed from the Board at a general meeting of the Association if, after the member has been given the opportunity to fully present his case, a majority of the members present vote in favour of removing the member. There is no right of appeal against the members removal from office under this section.

12.GENERAL

Any TBA Director and/or the CEO shall be entitled to attend any meeting of the State Association, however such Director/CEO shall have no voting rights.

13.STATE COLOURS AND OFFICIAL UNIFORMS

The colours of the official uniforms to be worn by Representative Teams and various authorised officers shall not vary to any significant degree from the colours traditionally worn by Representatives of this State in other established Sports.

14.ALTERATIONS TO THE CONSTITUTION

a)This constitution may be amended at:

i)any Annual General Meeting, providing the proposed amendment is received in writing twenty eight (28) or more days before the meeting; or

ii)any special general meeting called as defined in section 7 of this constitution.

b)The above amendment in both (i) and (ii) above must be carried by a seventy five (75) percent majority of those present and eligible to vote.

15.BY-LAWS/CHARTERS

Tenpin Bowling Tasmania Inc. shall adopt any By-Laws/Charters which have been provided by TBA. The Association may also adopt such By-laws/Charters as is deemed necessary so long as they do not conflict with the Rules, Regulations and Requirements of TBA.
