(ii)the bankruptcy searchesagainst each Relevant Party,

are in order. The above searches conducted are up-to-date, relevant and satisfactory for purposes of the Bank’s reliance on the Completion Date (as defined in the Solicitor’s Certificate of Titleenclosed).

We confirm that the all the documents we have reviewed and submitted to the Bank (other than the Mortgage and any other document or report provided by the Bank’s English counsel) are accurate, complete and in order and the Mortgage has been duly executed and pursuant to the Solicitor’s Certificate of Title, constitute valid binding and enforceable obligations of the Mortgagor under English laws.

Pursuant to the above and the Solicitor’s Certificate of Title enclosed, the Bank may proceed with disbursement of the loan or part thereof and/or implementation of any banking facilities in full reliance on our professional advice/ instructions.

2.We have read the Standard Mortgage Policies and have complied with all the requirements stated therein which are applicable to the scope of work agreed between us.

3.Where applicable, we have obtained a copy each of the legal opinion from a foreign counselon 1) each Relevant Party’s capacity to accept the facilities and 2) the validity andenforceability of the mortgage executed or to be executed by the Relevant Partyand these are found to be in order and not prejudicial to the Bank’s interests.A copy of the legal opinion is enclosed for your information.
