This AMENDMENT NUMBER ONETWOto Contract number MA-0600-11010126(hereinafter “AMENDMENT NUMBER ONETWO”) between the County of Orange, a political subdivision of the state of California (hereinafter “COUNTY”) and Aremac Holdings Corporation, DBA: National Law Enforcement SupplyTri Tech Forensics, Inc. DBA: Aremac Holdings Corp/National Law Enforcement Supply(hereinafter “CONTRACTOR”) with a place of business at 226 N. Allen Street, Albany NY 122064019 Executive Park Blvd SE, Southport, NC 28461; is made and entered upon execution of all necessary signatures.

RECITALS:

WHEREAS, COUNTY and CONTRACTOR executed a Contract for the purchase and delivery of Fingerprinting Supplies, Contract Number MA-060-1101026 (hereinafter “ORIGINAL AGREEMENT”), for a one (1) year term of August 16, 2010 through and including August 15, 2011;Aremac Holdings Corporation DBA: National Law Enforcement Supply (the “ORIGINAL CONTRACTOR”) executed a Contract for the purchase and delivery of Fingerprinting Supplies, Contract Number MA-060-11010126 (hereinafter “ORIGINAL AGREEMENT”), for a one (1) year term of August 16, 2010 through and including August 15, 2011; and

WHEREAS, COUNTY desires to continue receiving services from CONTRACTOR for an additional one (1) year term and the CONTRACTOR has agreed to provide those goods/services at the rates set forth in the ORIGINAL AGREEMENT; WHEREAS, COUNTY and ORIGINAL CONTRACTOR renewed the ORIGINAL AGREEMENT, as Contract Number MA-060-12010074 (hereafter “AMENDMENT NUMBER ONE”) for a renewal period of August 16, 2011 through and including August 15, 2012; and

WHEREAS,the CONTRACTOR informs COUNTY that there has been a change in ownership of Aremac Holdings Corporation DBA: National Law Enforcement Supply by Tri Tech Forensics, Inc. DBA: Aremac Holdings Corp/National Law Enforcement Supply effective July 1, 2011; and

WHEREAS, CONTRACTOR desires to assume all rights, duties and obligations of ORGINAL CONTRACTOR under the ORIGINAL CONTRACT as amended;

NOW THEREFORE, in consideration of the mutual obligations set forth herein, both COUNTY and CONTRACTOR agree as follows:

  1. Contractor agrees to accept the assignment of the ORIGINAL CONTRACT, as amended by AMENDMENT ONE, from ORIGINAL CONTRACTOR and all rights, duties, responsibilities and obligations of ORIGINAL CONTRACTOR thereunder.
  1. COUNTY consents to the assignment of the ORIGNAL CONTRACT, as amended, to CONTRACTOR.

1.ARTICLES

  1. Page 6, Additional Terms and Conditions, Section Term of Contract, of the ORIGINAL AGREEMENT is amended to read in its entirety as follows:

1.Term of Contract:

This Contract shall commence upon execution of all necessary signatures, and continue in effect from 8/16/10 through and including 8/15/12, unless otherwise terminated by COUNTY. The period of 8/16/10 through and including 8/15/11 shall be known as Contract number MA-060-1101026. The period of 8/16/11 through and including 8/15/12 shall be known as Contract number MA-060-12010074. This Contract may be renewed for three (3) additional one (1) year terms, upon mutual agreement of both Parties. The County does not have to give reason if it elects not to renew.

2.3.A true and correct copy of the ORIGINAL AGREEMENT (Contract Number MA-060-11010126) is attached hereto as Exhibit A and incorporated by this reference.

3. All other provisions of the ORIGINAL AGREEMENT, except as amended herein and to the extent they are not inconsistent with this AMENDMENT NUMBER ONE, remain unchanged and in full force and effect. All obligations of the Parties that would have been terminated on August 15, 2011 are hereby extended to August 15, 2012.

  1. A true and correct copy of AMENDMENT NUMBER ONE (Contract Number MA-060-12010074) is attached hereto as Exhibit B and incorporated by this reference.

5.All other provisions of the ORIGINAL AGREEMENT and AMENDMENT NUMBER ONE, except as amended herein, remain unchanged and in full force and effect.
