ARTICLES OF INCORPORATION

ARTICLE I

NAME

The Name of the Corporation, which is incorporated under the laws of the

ARTICLE III

PURPOSE

The purposes for which the corporation is organized are:

For pleasure, recreation and other nonprofitable purposes and activities; to

promote lasting and enduring friendships among its members; to foster high

standards of intellectual achievement and ethical behavior among its members; to

promote the education of its members and to promote the education and social

milieu of the college where the ______Chapter is established; to promote the

development of education and advancement in the life of its members and to

promote and foster the fraternal principles and ideals of Alpha Delta Pi Sorority;

To acquire, build, maintain, own or lease and operate real estate for the

chapter house of the ______Chapter, as constituted from time to time, for

the promotion of the physical welfare of and social intercourse among such

members, and to own, lease, maintain, repair, furnish and improve the same as a

residence and/or meeting place of such members, and for the accommodation,

convenience, pleasure of such members, and to do any and all things necessary or

incident thereto;

To acquire, purchase, sell, occupy, erect, maintain, hold, own and lease such

personal or real property as may be necessary or desirable to carrying out any of

the foregoing purposes; and

To assist with, order and approve any and all repairs and improvements on

property leased to the ______Chapter of Alpha Delta Pi.

All activities of this corporation shall be at all times conducted in conformance

with the laws of the State of ______and the Constitution, Bylaws,

Rules and Regulations of Alpha Delta Pi Sorority for which ______is a

Chapter.

ARTICLE IV

POWERS

In furtherance and not in limitation of the general powers conferred upon notfor-

profit corporations by the laws of the State of ______, and in

furtherance and not in limitation of the purposes set forth in these articles, this

Corporation shall have and exercise all powers necessary for, incidental to,

desirable for or useful or convenient in carrying out each and all of its objects and

purposes.

ARTICLE V

LIMITATION ON POWERS

The Corporation does not contemplate pecuniary gain or profit incidental or

otherwise to its members, and accordingly no profits will inure to the benefit of

any individual. No part of any funds of the Corporation shall inure to the benefit

of or be distributed to its members, directors, or officers, or to other private

persons, except that the Corporation shall be authorized and empowered to pay

reasonable compensation for services rendered and to make payments and

distributions in furtherance of the purposes set forth herein.

No substantial part of the activities of the Corporation shall be the carrying on

or propaganda, or otherwise attempting to influence legislation, and the

Corporation shall not participate in, or intervene in (including the publication or

distribution of statements) any political campaign on behalf of any candidate for

public office. Notwithstanding any other provisions hereof, the Corporation shall

not carry on any other activities not permitted to be carried on under Section

501(c)(7) of the Internal Revenue Code of 1954 (or of the corresponding provision

of any future United States Internal Revenue Code).

ARTICLE VI

MEMBERS

All alumnae of ______Chapter of Alpha Delta Pi Sorority in good

standing and all alumnae of other chapters of Alpha Delta Pi Sorority in good

standing shall be voting members of the corporation, in each case upon meeting

corporate fees and requirements as set out in the Bylaws. All active members of

the ______Chapter of Alpha Delta Pi in good standing, as it may be

constituted from time to time, shall automatically be and become members of this

corporation and shall be non-voting members.

ARTICLE VII

TIME OF COMMENCEMENT AND DURATION

The time of commencement of the corporation is ______, ______,

and the term of the corporation shall have perpetual existence. (NOTE: Most states

allow for "perpetual existence"; this should be checked for conformity to local law.)

ARTICLE VIII

INCORPORATORS

The names, residence and post office addresses of the incorporators of the

corporation are as follows:

ARTICLE IX

CONDUCT OF AFFAIRS

The affairs of this corporation shall be conducted by a board of directors that

the members may from time to time elect. The number of directors shall be fixed

in the Bylaws. The directors shall be elected by the voting members at the annual

meeting of the corporation which shall be held on the ______day in

______each year.

ARTICLE X

PROPERTY

Any and all real estate or personal property now owned or hereafter acquired

by purchase, lease or otherwise, shall be acquired for the sole benefit of

______Chapter of Alpha Delta Pi and shall be acquired in the name of the

corporation and shall be by the corporation tented, leased or subleased to

______Chapter of Alpha Delta Pi at such annual rental as is

determined to be fair and reasonable by the directors and officers of this

corporation, in order to meet the annual budget requirements of the corporation.

ARTICLE XI

EXEMPTION OF PRIVATE PROPERTY

The incorporators, directors, officers and agent of the corporation and their

property shall be forever exempt from liability or assessment for its debts,

obligations or engagements,

ARTICLE XII

DISTRIBUTION UPON DISSOLUTION

Upon the dissolution of this corporation, whether such dissolution shall result

from voluntary action, Court order, or lapse of time, or in the event the charter of

the ______Chapter of Alpha Delta Pi shall be withdrawn or surrendered, or

in the event the chapter shall be dissolved by order of ______

University, then and in any such events, no part of the remaining assets of the

corporation, after the discharge of all corporate liabilities, shall inure to the private

profit, benefit, or advantage of any director or officer or any former director or

officers, by the whole of such remaining assets shall be, by the directors

distributed in cash or in kind, in fee absolutely and without return consideration,

direct or indirect, to Alpha Delta Pi Sorority, a nonprofit corporation chartered in

the State of Georgia.

ARTICLE XIII

AMENDMENT

These Articles of Incorporation may be amended in the manner provided by

law, but only if the amendment has been reviewed in advance and approved in

writing by the International Vice President of Finance of Alpha Delta Pi Sorority or

other international officer designated by her, before it is submitted to the

membership for approval.
