Sales Policies

For purposes of these policies, Culinary Products shall mean cookware, cutlery, countertop appliances and other products identified and classified by Viking Range Corp. and shall not include ranges, ovens, refrigerators, outdoor grills and other major appliances.

UMRP Policy

Viking Range Corporation has put into effect a UMRP or “Unilateral Minimum Resale Price” policy for its Culinary Products division. Under this UMRP policy, Viking Range Corporation will periodically announce unilateral minimum resale prices for merchandise its Culinary Products division supplies to retail customers. Viking Range Corporation will use independently established investigative and disciplinary measures to enforce this policy, including, but not limited to, cessation of shipment to its retail customers. Viking Range Corporation will communicate the actual minimum sale prices to its reps and retail customers from time to time as shown in the UMRP policy bulletin (see “Sales Presentation”).

Internet Sales

Under this policy no retailer may exhibit Culinary Products via the Internet without the expressed written approval of Viking Range Corporation. VikingRange reserves the right to enforce this policy by disciplinary measures including, but not limited to, cessation of shipment to its retail customers.

Re-sale of Culinary Products

Under this policy it is stated that the sale of its Culinary Products is to individuals or entities that will offer these products to retail sale to the public at large. It is expressly forbidden that those individual or entities should in turn re-sell Viking Culinary Products to another individual or entity for retail sale to the public at large. VikingRange reserves the right to enforce this policy by disciplinary measures including, but not limited to, cessation of shipment to its retail customers.

Changes or Cancellations

Changes or cancellations of purchase orders must be received at least four (4) business days prior to scheduled ship date. Changes or cancellations within three (3) business days of scheduled ship date are subject to a 20% cancellation charges. All changes or cancellations must be made by fax or e-mail and are recommended to be accompanied by a phone call.

UMRP Pricing Bulletin

Effective April 1, 2006

The prices announced this 1stday of March, 2006to be effective the 1stday of April, 2006pursuant to the “unilateral minimum resale price” policy are as stated as the UMRP in the then current Culinary Products UMRP Schedule.

The unilateral minimum resale price reflects the prices at which Viking Range Corporation believes its products can be most successfully merchandised and high quality customer service and satisfaction be maintained.

Questions or concerns regarding the UMRP policy may be submitted in writing to the UMRP Policy Administrator.
