RULES FOR THE COMPETITION “Wii U Portal”

NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN.

1.Purpose

UBISOFT EMEA, with a business address at 28 rue Armand Carrel, 93108 Montreuil sous Bois, France, is organising a free Competition with no obligation to purchase, relating to the Ubisoft Portal Wii U

2.Definitions

“Competition” means the Competition organised by UBISOFT for the promotion of its game Ubisoft Portal dedicated to Wii U games.

“Official Website”means the official Ubisoft page of theWii U websiteavailable at and managed by UBISOFT.

“Competition Page” means the tab dedicated to Competition located on the Official Website page.

3.conditions of entry

Entry to the Competition is open to any individual resident in the United Kingdom(Great Britain and Northern Ireland)holding a Facebookaccountwith the exception of those individuals working on the organisation of the Competition and the staff of UBISOFT or any company which is controlled by, controls or is controlled jointly with UBISOFT and their families (having the same name and address).

You must be at least 18 years of age or older to participate the Contest.

Entry to the Competition is restricted to one entry per household (having the same name and address) and per person irrespective of the number of email addresses which he/she may have. Entrants making multiple entries, in particular via different email addresses, will be barred from the Competition.

4.Competition details

The Competition will start on November 15th 2012 at6pm Paris timeand will close December 9th 2012 at 11:59pm Paris Time,as per the date and time of receipt by UBISOFT of the electronic participation as registered by the computer program.

To enter the Competition, (i) go to the Official Website, (ii) sign in with your Facebookaccount,provided that it does not does not infringe the rights of any third party and in particular does not constitute an infringement of intellectual property rights, is not manifestly unlawful, aggressive, defamatory, pornographic, obscene, vulgar, racist, liable to incite hatred, sexually explicit, violent or a threat to public order and subject to UBISOFT’s moderation and verification.

No other methods of entry will be accepted. Only one entry per Facebookaccount and email address will be accepted. All entrants must have an existing Internet account and a valid email address at the time the Competition commences.

Entries that do not comply with theRules herein may be disqualified. Any attempted form of entry other than as described herein is void. Ubisoft, in accordance with the Competition rules and regulations, will determine in its sole discretion, what constitutes a valid entry. All materials submitted to Ubisoft shall become the sole property of Ubisoft and will not be returned or acknowledged. By entering and participating in the Competition you agree that you shall relinquish any and all rights to the entries that you submit and that Ubisoft shall have the unqualified right and perpetual license to exploit such entries in any way it deems fit, for any purpose, without any compensation to you for use of the same.

Ubisoft reserves the right to cancel or modify the Competition if fraud or technical failures destroy the integrity of the Competition as determined by the Ubisoft, in its sole discretion, and to award the prizes based on eligible entries received prior to the cancellation.

BY ENTERING, ALL PARTICIPANTS AND/OR ENTRANTS RELEASE UBISOFT FROM AND AGAINST ALL CLAIMS AND DAMAGES ARISING IN CONNECTION WITH EACH ENTRANT'S PARTICIPATION AND/OR ENTRY IN THE COMPETITION AND/OR HIS/HER RECEIPT OR USE OF THE PRIZES AWARDED IN THIS COMPETITION.

Ubisoft is not responsible for problems downloading or uploading of any Competition-related information to or from the web site or for any other technical malfunctions of electronic equipment, computer on-line systems, servers, or providers, computer hardware or software failures, phone lines, failure of any electronic mail entry to be received by Ubisoft on account of technical problems, traffic, congestion on the internet or the web site, or any other technical problems related to web site entries including telecommunication miscommunication or failure, and failed, lost, delayed, incomplete, garbled or misdirected communications which may limit an entrant’s ability to participate in this Competition.

5.Selection of winners

The winner will be selected by random drawing by Ubisoft.

The Winner will be notified personally by e-mail sent to the e-mail address provided through his/her participation to the Competition, from December 14th 2012.

In the same email, the winner will be required to provide his/her postal address in order to send him/her the Prize by postal mail.

If the winner has not received his/her prize twenty one (21) days after the date of the notification email, he/she then has thirty (30)days following the disclosure of the winner list on the Competition Page to claim the prize. At the end of this period the winner forfeits his/her right to the prize initially awarded.

Under no circumstances may UBISOFT be held responsible for any loss of or damage to prize in the post and/or for any failure of the postal services.

6.Competition prizes

Only the prizes listed below will be awarded in this Competition.

The prizes will be distributed as follows:

-1 x Wii U bundle including 1 x black and 32 Go Nintendo WiiU platform and 1 x Zombi U™game; and

-1 x game YourShape®on Wii U; and

-1 x game Sports Connection™; and

-1 x game Assassin’s Creed®on Wii U; and

-1 x gameRabbids®Land on Wii U; and

-1 x game Rayman® Legends; and

-1 x game Marvel™Avengers: Battle for The Earth on Wii U; and

-1 x game Just Dance® 4 on Wii U

For a total VAT priceof € 908,91 (nine hundred eight euros and ninety one cents)

The indicated value of the prize represents the full retail price (including VAT) commonly charged or estimated on the date these Conditions were drawn up. It is indicated for information only and may vary.

7.conditions governing the awarding of prizes

No more than one prize will be awarded per household (having the same name and address). Before receiving its prize, the winner must fulfil the conditions set out in the Rules.

Winner may not dispute the prize. The prize will not be exchanged for its value in cash, for other goods or exchanged under any circumstances. However, where UBISOFT is unable to deliver a prize won, it reserves the right to replace the prize announced by prize of equivalent value or with similar characteristics. The winners waive their right to claim damages from UBISOFT for any prejudice suffered by their acceptance and/or use of a prize.

8.Competition rules

The Competition Rules are submitted to Maître Jacky KRIEF – Bailiff – 1, allée Léon Gambetta, BP 84, 92110 Clichy Cedex, France.The Rules can be consulted on the Official Competition page. A full set of the Competition Rules will be sent free of charge to any person sending an appropriate written request and quoting the name of the Competition and his/her full name and address to: Ubisoft EMEA, Digital Marketing Team, Competition “WiiU Portal”, 28 rue Armand Carrel, 93108 Montreuil sous Bois, France.

UBISOFT reserves the right as and when necessary to postpone, modify or cancel the Competition, to change the entry period and to settle all disputes arising in relation to the organisation of the Competition once and for all. UBISOFT shall not be held liable if it is unable to meet any of its commitments arising out of these Rules due to circumstances which are unforeseen, inevitable or beyond its control.

9.Personal data protection

The information contained in the Competition is intended for UBISOFT. UBISOFT informs the entrants that any personal data collected in relation to the Competition will be processed automatically and stored in a computer file which it reserves the right to use or sell.

If an entrant is chosen as a winner, he/she shall authorise UBISOFT to use his/her full name and email address freely and free of charge in publicising the Competition and/or the results on any medium for a period of two (2) years from the announcement of the winners.

10.Limitation of liability

Entry to the Competition implies knowledge and acceptance of the features and limits of the Internet, particularly in relation to technical performance, the response times involved in consulting, retrieving and transferring information, the risk of service interruptions and, more generally, the risks involved in connecting to and sending information via the Internet, the lack of protection afforded to certain data against possible abuse and the risk of viruses circulating on the Internet.

As a result, UBISOFT may under no circumstances be held liable for technical problems including but not restricted to the following:

  • the transmission and/or receipt of data and/or information via the Internet;
  • Internet failures preventing the proper organisation or operation of the Competition;
  • the failure of any receiving hardware or communications lines;
  • the loss or any email or, more generally, the loss of any data;
  • delivery problems (including transport and post);
  • the operation of any software;
  • the consequences of any virus, computer bug, malfunction or technical failure;
  • any damage caused to an entrant’s computer;
  • any technical, hardware or software failure of any nature preventing or restricting

entry to the Competition or damaging an entrant’s system.

11.applicable law and competent courts

To the extent permitted by law, these Rules and this Competition are governed by French law and is subject to the competent courts in the country in which the Competition is organised. Furthermore, participation in the Competition implies the full and unreserved acceptance of these Rules in their entirety, the rules of ethics and etiquette in force on the Internet, and any other laws, rulings and legal notices that are applicable in France.
