Board Member
ROLE DESCRIPTION
POST: Board Member REMUNERATION: £2,500.00p/a
ROLE PURPOSE:To further the aims of Ring Stones, making sure it operates within the law, and its’ permitted objects as set out in the Memorandum and Articles of Association.
With other Board Members, direct and control the affairs of the organisation.
KEY DUTIES AND RESPONSIBILITIES:
The purpose of a Board is to direct the Company’s affairs – management is delegated to the Company’s staff within a framework of controls established by the Board. In relation to its strategic and leadership function, the key duties are as follows and are undertaken by the Board as a whole:
KEY DUTIES:
- To take part in formulating and regularly reviewing the strategic aims of the Company.
- To ensure that the policy and practice of the Company are in keeping with its aims.
- To monitor the performance of the Company against plans, budgets, controls and targets, taking into account customer feedback and the performance of comparable housing associations.
- To ensure that the Company functions within legal and financial requirements.
- To ensure that the Company is adequately resourced to meet its business objectives.
- To identify and manage the risks associated with the Company strategy.
- To formulate a Growth Group Strategy and appraise and monitor its delivery.
RESPONSIBILITIES:
The essential responsibilities of the Board and Board Members are as a minimum, to:
- Uphold the values and objectives of the Company;
- Uphold the Company’s core policies (Health and Safety/Equality and Diversity etc.)
- Contribute to and share responsibility for the Board’s decisions, including its duty to exercise reasonable care, skill and independent judgement as any prudent person would in the conduct of their own business affairs;
- Declare any relevant interests;
- Prepare for and attend meetings, training sessions and other events;
- Attend and participate in any reviews linked to individual performance or that of the whole Board;
- Represent the Company as appropriate and where authorised, including any public and publicity events;
- Respect confidentiality of information;
- Ensure that proper arrangements are in place for accurate financial accounting of the Company’s affairs, and making the necessary financial reports to Companies House;
- Work for and promote, the best interests of the Company, avoiding any activity that may bring the Company into disrepute;
- Foster effective team working with the Board/Committee and with staff;
- Assist the Chair to manage the meetings efficiently with regard to timeliness and effective decision making; and

Holders of public office are accountable for their decisions and actions to the public and must submit themselves to whatever scrutiny is appropriate to their office.

Holders of public office should be as open as possible about all the decisions and actions they take. They should give reasons for their decisions and restrict information only when the wider public interest clearly demands.
