Rights Holder Signature

Copyright agreement for previously published work.
The following is an agreement between ______(the “Rights Holder”) andthe Center for Latin American and Caribbean Studies at the University of Michigan (“the Licensee”) which governs ______(the “Work”).

Whereas the parties desire to promote effective scholarly communication that promoteslocal control of intellectual assets, the parties for valuable consideration agree as follows.
A. RIGHTS HOLDER GRANT OF RIGHTS
The “Rights Holder” grants to the “Licensee,” during the full term of copyright andany extensions or renewals of that term, the following:
1. An irrevocable non-exclusive right create or commission translation(s) of, the Work into ______, and to reproduce, republish, transmit, distribute, and otherwise use the translation(s) of the Work, for non-commercial purposes, in electronic and print editions and in derivative works throughout the world, and in all media now known or later developed.
2. An irrevocable non-exclusive right to create and store electronic archival copiesof the translation(s) of the Work, including the right to deposit the translation(s) of the Work in open access digital repositories.
3. An irrevocable non-exclusive right to license others to reproduce, republish, transmit, and distribute the Translation(s), under the condition that the Authors, Rights Holder, and Licensee are attributed, no derivative works are created, and the work is not used for commercial purposes. (Currently this is carried out by publishing the content under a Creative Commons Attribution-NonCommercial-NoDerivs 3.0 license.)Copyright in the Work remains with the Rights Holder.
B. CORRESPONDING LICENSEE’S DUTIES
1. When distributing or re-publishing translation(s) of the Work, the Licensee agrees tocredit the Rights Holder as the place of first publication, as follows:

C. CORRESPONDING RIGHTS HOLDER’S WARRANTY
The Rights Holder warrants that he or she has the full power to make this Agreement.
The Rights Holder agrees to hold the Licensee harmless from any breach of the aforestated representations.
D. ENTIRE AGREEMENT
This agreement reflects the entire understanding of the parties. This agreement may beamended only in writing by an addendum signed by the parties. Amendments areincorporated by reference to this agreement.
