Re:Research Project Confidentiality Agreement and Undertaking

Confidential information regarding the Watson Headache® Approach and related research activity ("ConfidentialInformation")conducted as a collaborative research project by theWatson Headache® Institute and the University of South Australia (“Project”)

I refer to communications in which you agreed to confirm to Watson Headache® Institute("Institute") the understanding specified below which you, your organisation identified above (if any) and I have regarding the Confidential Information. References in this letter to your organization, include your company (if any) and any related company, trust, partnership or affiliated entity, as the case may be.

The date of this agreement and the undertaking is the above date of this letter.The parties to it are the Instituteand I as well as you and your organisation (if any). This agreement will remain in force for a period of 7 years from the date of this agreement.

Project participation obligations: The Project requires that all participants applyprofessional discretion and accept legal responsibility for their speech, behaviour and action.

What you may say: You are required to be circumspect as regards your participation in the Project. In the event you are requested by friends, family, staff, the public, the media or other third partiesto make any comment you are authorised to state only words to this effect, and no more: “I am a participating practitioner in a research project with the Watson Headache® Institute which is working with the University of South Australia.For further information contact the Watson Headache® Institute.

At the end of the Project we will advise what you can then say.

What you must not do: Accordingly you and your organisation agree and undertake: (a) to not make or issue any press release, interview, marketing material or public statement about the Project without prior written approval;(b) to not disclosure your involvement in or any information about the Project to any third party without the prior written approval of the Institute; and (c) to take all reasonable steps to maintain strict confidence and secrecy as regards the Confidential Information andthe business, affairs and assets of the Institute.

What you acknowledge: As a participantwith the Institute in the Project you acknowledge that the Institute and the University respectively have Confidential Information that: (1) has been developed over some time and at some cost; (2) that the Confidential Information, whether written or oral, is secret and confidential information; and (3) that the Confidential Information is not known to you or your organisation and is not in the public domain on the date of this agreement and undertaking.

General: This agreement and undertaking comes into force on your signature below.The agreement is made for good and valuable consideration, the receipt and sufficiency of which is acknowledged.It is legally enforceable by obtaining an injunction against any threatened breach of this agreement or of duties under confidentiality law.

This agreement and undertaking must be interpreted and governed by the law of the State of South Australia and the Commonwealth of Australia as applicable.If a dispute arises it must be subject to the exclusive jurisdiction of the courts of South Australia and the Commonwealth of Australia.

You must indicate acceptance of the above to continue participation in the Project.Please signthis agreement and undertaking below and return it to us by scanned PDF, post or by hand. Keep a copy for your records.
