CONFIDENTIALITY AGREEMENT

Re: Confidentiality Agreement for 806 Harold L. Dow Highway/Route 236, Eliot, ME

We request that Colliers International, as Agent of the Property Owner in the sale of a gas station and convenience store (“Property”), furnish the undersigned certain confidential financial information concerning the Property.

We understand and agree that the material to be provided by Agent is confidential, furnished solely for the purpose of considering a purchase of the Property and is not to be used for any other purpose, duplicated or made available to any other person without the express written consent of the Agent; that the material is based in part upon information obtained from the Property Owner and other sources the Agent deems reliable; and that no warranty or representation is made by the Agent or Property Owner as to the accuracy or completeness of the information contained therein or which may be delivered subsequently. We shall make our own investigations, projections and conclusions without reliance upon the material contained herein.

Further, we understand and agree that the Property Owner expressly reserves the right, at its sole discretion, to reject any or all expressions of interest or offers to sell all or a portion of the Property and/or to terminate discussions with any entity at any time with or without notice; that the Agent and Property Owner shall have no legal commitment or obligation to any party reviewing the confidential information or making an offer to purchase the Property unless and until a written agreement for the sale of the Property has been fully executed, delivered, and approved by the Property Owner and any conditions to Property Owner’s obligations thereunder have been satisfied or waived; and that the Agent is not authorized to make any representations or agreements on behalf of Property Owner.
