AMOUNT OF CONTRACT:
$ 300.00
TERMS AND CONDITIONS:
- GENERAL TERMS SUBCONTRACTOR agrees to furnish, or cause to be furnished, all materials and perform, or cause to be performed, all work as set forth above in accordance with plans and specifications provided in written estimates, and initialed by the parties hereto in accordance with all applicable building and zoning codes. SUBCONTRACTOR shall perform said work and complete said work in a timely manner.
- PAYMENT The contract price shall be paid by the GENERAL CONTRACTOR as follows: Terms of invoice payments are invoices must be turned in by the 20th of each month.. Payments will not be released until all required documentation is current and on file as well as the conditions on The Master Sub contract Agreement are met.
- LIEN WAIVER SUBCONTRACTOR upon payment in full and upon the request of GENERAL CONTRACTOR shall furnish a full and final waiver of mechanic’s lien, and full and final waivers of mechanics liens for all labor and materialmen of SUBCONTRACTOR.
- LIMITED WARRANTY SUBCONTRACTOR warrants and undertakes to correct any defects of workmanship and materials as distinguished from ordinary wear and tear for one year from the date of completion of the work. THERE ARE NOT ANY OTHER WARRANTIES, EXPRESS OR IMPLIED, GIVEN BY SUBCONTRACTOR FOR THE WORK TO BE PERFORMED HEREUNDER, ANY AND ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, HABITABILITY OR FITNESS FOR A PARTICULAR PURPOSE ARE HEREBY EXCLUDED. Any warranty claim by GENERAL CONTRACTOR against SUBCONTRACTOR must be received in writing by SUBCONTRACTOR prior to the expiration of the term of the warranty.
- ALTERATIONS, CHANGES, ADDITIONS At any time before completion of the work, GENERAL CONTRACTOR may order additions, omissions, or alterations to or in work, but no such change will be made except by written agreement signed by GENERAL CONTRACTOR and SUBCONTRACTOR, including cost adjustment and additional time, if any.
- LIABILITY FOR INJURY SUBCONTRACTOR agrees to indemnify and save harmless GENERAL CONTRACTOR from any and all liability for loss, damage, injury or death to any person and/or property arising out of or in connection with the work, materials, labor and equipment to be provided hereunder by SUBCONTRACTOR, its agents, employees, contractors, SUBCONTRACTORS, or their agents and employees.
- INSURANCE
a)SUBCONTRACTOR shall, during the continuance of the work under this contract, including extra work in connection therewith:
i)Maintain workmen’s compensation and employers’ liability insurance in amounts sufficient to protect itself from any liability or damage for injury (including death) to any of their employees, including any liability or damage which may arise by virtue of any statute or law in force or which may hereafter be enacted.
ii)Maintain public liability insurance in the amount of $2,000,000.00 to protect itself against all risks of damage or injury (including death) to property or persons wherever located, resulting from any action or operation under the contract or in connection with the work.
iii)Maintain automobile liability insurance, including property damage, covering all owned or rented equipment used in connection with the work.
b)No change or cancellation in such insurance shall be made without 30 days’ prior written notice to GENERAL CONTRACTOR.
c)Compliance of GENERAL CONTRACTOR with the foregoing insurance requirements and furnishing certificates therefore shall not relieve SUBCONTRACTOR of its liabilities and obligations under this provision or under paragraph 5 hereof.
- DEFAULT BY SUB CONTRACTOR If SUB CONTRACTOR shall default hereunder, GENERALCONTRACTOR, may at its option, terminate this agreement by written notice to SUB CONTRACTOR and seek all remedies at law or in equity. All amounts due hereunder to GENERAL CONTRACTOR shall bear interest at 1.5% per month until paid. SUB CONTRACTOR hereby agrees to pay all costs of collection of any amounts due GENERAL CONTRACTOR hereunder, including reasonable attorneys fees and court costs.
- FORCE MAJEURE The time for completion shall be extended for the period of any reasonable delay which is due exclusively to causes beyond the control and without the fault of GENERAL CONTRACTOR, including acts of God, fires, floods, material shortages, inclement weather, and acts or omissions of the SUB CONTRACTOR with respect to matters for which SUB CONTRACTOR is solely responsible.
- NOTICES All notices shall be in writing and deemed served if made by personal service. Federal Express delivery, or Certified Mail, Return Receipt Requested, to the following addresses or to such other address as a party hereto shall notify the other in writing: To SUB CONTRACTOR at 2329 ELM ST RIVER GROVE, IL 60171 and to GENERAL CONTRACTOR at 1155 Bowes Rd., Elgin, IL 60123.
