This Qualification Form is required for participation in the Auction to purchase Solar Renewable Energy Certificates (“SRECs”) received by the New Jersey Electric Distribution Companies (the “EDCs”) through their solar programs. The EDCs are Atlantic City Electric Company (“ACE”), Jersey Central Power & Light Company (“JCP&L”), Public Service Electric and Gas Company (“PSE&G”), and Rockland Electric Company (“RECO”).
Before completing this Qualification Form, please review the SREC Auction Manual and the Master Solar Renewable Energy Certificates Agreement (“Master SREC Agreement”) so that you understand the conditions under which the Auction will be held.

INSTRUCTIONS FOR QUALIFICATION FORM
To participate in the SREC Auction (“Auction”), an Applicant must submit two (2) original completed Qualification Forms with original signatures to become qualified to proceed further in the Auction process. The Applicant will then be required to provide bid assurance collateral and a signed Master Solar Renewable Energy Certificates Agreement to become qualified to bid in the Auction.
Unless specifically designated as “optional”, all fields are required. Please submit two (2) original completed Qualification Forms with original signatures by 12PM (noon) Eastern Prevailing Time on June 24, 2011 to:

Qualification Forms must be submitted by hand delivery or overnight delivery service.

Photocopies and facsimiles of completed Qualification Forms will not be accepted.
Review of the Qualification Forms will proceed as follows:
· Upon receipt of the Qualification Forms, the Auction Manager faxes or emails (at the Applicant’s option) a notice that includes: (i) the date on which the Qualification Forms were received; and (ii) an assessment of the Qualification Forms. This assessment states either that the Qualification Forms are complete or the assessment lists items that are deficient or require clarification. In this latter case, the Applicant has until 6PM on June 27, 2011 to cure any deficiencies.
· The Auction Manager notifies each Applicant of whether it has qualified to proceed further in the July 2011 Auction no later than 6PM on June 28, 2011. This notification is made by email or fax, at the Applicant’s option.
· If an Applicant fails to qualify, the Auction Manager returns one (1) copy of the Qualification Form by overnight delivery service. The Auction Manager will not consider the bid assurance collateral or Master SREC Agreement from a prospective bidder that fails to qualify to proceed in the Auction. Such a prospective bidder may not submit bids in the Auction.

2. PJM Environmental Information Services (“PJM-EIS”) Generation Attribute Tracking System (“GATS”) Account Information

3. Representations
The representations below, signed by the Representative named above, are required.
I certify that:
(a) I understand and agree to the rules of the Auction as provided in the SREC Auction Manual.
(b) I certify that the submission of any bid in any round of the Auction is a binding and irrevocable offer by the Applicant to purchase SRECs at the prices of the round.
(c) I certify that if the Applicant is a winner at the Auction, the Applicant will partially execute all necessary Transaction Confirmation Letters (“Confirmations”) within three (3) business days of the close of the Auction and will pre-pay the full amount to purchase the SRECs won at the final Auction prices within five (5) business days of the close of the Auction.
(d) I agree that failure to execute the necessary Confirmations or to provide payment of the full amount to purchase the SRECs won at the final Auction prices within the specified timeframe will result in forfeiture of any posted bid assurance collateral and may result in other sanctions or penalties.
(e) I certify that the Applicant is bidding independently and that it is not part of a bidding agreement, a joint venture for purposes of participating in the Auction, a bidding consortium, or any other type of bidding arrangement related to bidding in the Auction.
