Private Group by Association/Membership

WHISPERS MEMERSHIP AGREEMENT

Whisper (aka Whispers Vegas, whispers.vegas, whispersvegas.com, whispers.eventswhispers.party) is privategroup by association,online business doing business on the Internet, which hosts regular events, parties, travel trips, and other activities (herein “Event(s)”) that is not open to the general public. Group participation is validated by the participation in the online association. Events may be held at private homes, commercial venues, public venues, travel destinations, and other potential locations. Upon entering into this agreement with Whispers all participants engaging in this agreement agree to the association’s rules and policies pertaining to behavior, membership dues, confidentiality, and code of conduct.Whispers hostEvents for those who meet the membership requirements of the online social group sponsored by Whisperswhich may be heldat a private residence or commercial venue.

Private Group by Association/Membership

Whispers is a private member’s only group by association of which the association is defined as adult couples who wish to date other adult couples or groups of couples ostensibly referred to as “Lifestyle Couples”. Members are not required under any circumstances to interact with other couple at any level other than that of a social discord, communicating amongst other likeminded couples in a positive way. Part of this association also makes it clear that those seeking membership, by signing this agreement state that they are not offended by sexual discussions, partial nudity, nudity, the possibility of witnessing a sexual act, but are at no time required to participate in such.

Ask First & No-Means-No Behaviors

Unwanted sexual advanced are prohibited and not tolerated at any Whisper’s event and are grounds for expulsion, possible suspension of membership or termination of membership without refund from an event. “Ask first” and “no means no” are required adherence behaviors required to attend events and participate in events.

Terms & Condition of Membership

Whispersis a private member’s only group association and online service provided only for individuals 21 years of age and older for the purposes of communicating online or in person with other adults to develop a network of friends and acquaintances for social reasons. As part of this membership, Whispers provides invitations and access to private parties held at private residencesor commercial venues. Any disagreements which arise from this agreement would be adjudicated in Clark County, Las Vegas. As a condition of membership, all memberships must adhere to the rules, policies, and general code of conduct as set forth by the organizers of Whispers. Such rules, policies, and general Code of Conduct may change without notice. A copy of such rules, policies and general code of conduct is always available upon request. In addition, according to a schedule provided by Whispers, a membership fee is due based on a schedule published on the web site and available from Whispers upon request. To attend events and to access the Estate a member must be in good standing with the required membership fees and in subjective good standing with the general code of conduct. Payments of membership fees are not mandatory.Membership requires that you maintain a valid email account, if you do not have an email account, Whispers shall provide you a whispersvegas.com or lifestylelive.net email address free of charge.Proof of Age must be presented upon signing this agreement. Members may terminate their membership at their choice at any time and for any reason.

Right to Deny, Suspend or Revoke Membership

Whispers as a private member’s only group by association, reserves the right to deny membership at any time for reasons and without cause. Whispers may also revoke any couple or person’s membership without cause. Whispers shall retain the right to suspend any membership on a temporary basis based on the recommendation of the staffs, volunteers, Director of Membership or the Membership Committee.

Privacy & Non-Disclosure

A standing and irrevocable policy of Whispers pertains to the privacy of all parties to this agreement and which is a specific agreement of non-disclosure. Upon becoming a member or attending a party or event as a guest, all parties agree to a strict policy of non-disclosure. Such non-disclosure includes an agreement not to disclose; the names of other members, who attends parties and activities produced by Whispers, what activities occurred at the party, the location of the parties, and the names and activities of those hosting the parties and events or volunteering to assist with the organization and execution of the parties or events. Such non-disclosure also applies to the recording of conversations or activities either by taking digital or film pictures, recording audio, or creating video recordings with or without audio which are strictly forbidden at any time for any reason.

This agreement also pertains to all forms of digital communications including the web site, e-mails, and information posted on both the group association or Estate web site, blogs, forums, or other social networking sites whereby all parties agree not to forward, post, repost, or transmit in any digital format, any such materials. As part of this agreement, parties in violation to this agreement are responsible for any and all reasonable damages caused by the disclosure, including but not limited to attorneys’ fees, and any costs associated with recovering any digitally transmitted, posted, or re-posted copies of any such disclosures. This nondisclosure agreement remains in effect even after the termination of a membership and never expires for any reason in order to protect the privacy in accordance with Nevada law of all members and guests.

Press, Bloggers or Others Engaged in Public Reporting, Government, or Law Enforcement

While members of the press, bloggers, government officials, law enforcement or others engaged in public reporting are always welcome in a non-professionalcapacity to attend events as guests, they hereby agree not to report on the activities of those in attendance, information about the venue, the staff, management, ownership, and volunteers at any time under any circumstances which is also set forth in the non-disclosure section herein. If you are with the press and desire to do a story or interview, it must be pre-approved by both the venue owner and the event management company. Signature below is an agreement not to report on the activities at any event.

Venue Policy, Event Policy & Code of Conduct

In addition to this agreement members and guests are expected to adhere to all event and venue policies and the “Code of Conduct” for all events. This information is available upon request. It may be subject to change without notice so members should request copies. Notices of change will go out to all members via email and will be printed in the Event Newsletter.

Disclaimer and Waiver of Liability

Members, guests, and volunteers herein agree to release from any and all liability and hold harmless Whispers, its owners, staff, other members, and volunteers from any liability. The undersigned understand that activities happening on the premise and being a member have their own risks including but not limited to; contraction of sexually transmitted diseases, injury or death from using the pool, hot tub, or sexual appliances provided, food poisoning, accidents on the property, accidents in route or leaving the property, issues pertaining to the use of alcohol or other intoxicants including accidents or incidents involving intoxication driving or otherwise, incidents involving protesters, and other unforeseen occurrences.

Email Address

A valid email address is required for membership. If you do not have an email address one can be provided for you. This is done both to validate members but also to communicate any changes in membership status, changes in policy, or the Code of Conduct.

Termination of Membership

Either party may terminate the membership at any time by notification via e-mail or in person at any event.
