Notes on cancellation:

You have a right to cancel your booking with us (and obtain a full refund) for a period of 14 days from whenCR-UK has provided you with written confirmation that you have a place on the requested workshop. To do this, you must tell CR-UK within the 14 day period that you wish to cancel by:

CR-UK will refund you not later than 14 days after the day on which it is informed of your cancellation. CR-UK will make the refund using the same means of payment as you used for your initial transaction, unless you request otherwise.

TERMS AND CONDITIONS FOR THE PROVISION OF TRAINING SERVICES

These Terms and Conditions should be read in conjunction with the ‘Talk Cancer’ and ‘Talk Cancer: Train the Presenter’Cancer Awareness Training Workshop Booking Form‘ (the “Booking Form”). Together with the Booking Form and the attached cancellation form,these Terms and Conditions form the agreement (the “Agreement”) between the parties (as defined below).

PARTIES (and each a “Party”):

(1)Cancer Research UK, a company limited by guarantee registered in England and Wales with company number 4325234 and a registered charity in England and Wales with charity number 1089464 and in Scotland with charity number SC041666 and in the Isle of Man with charity number 1103 whose registered office is at Angel Building, 407 St John Street, London EC1V 4AD (“CR-UK”); and

(2)The trainee named on the Booking Form (the “Trainee”).

WHEREAS:

  1. The Traineewishes to attend a‘Talk Cancer’ or ‘Talk Cancer: Train the Presenter’cancer awareness training workshop delivered by CR-UK.
  2. CR-UK has agreed to deliver a‘Talk Cancer’ or ‘Talk Cancer: Train the Presenter ‘ cancer awareness training workshop’ to the Trainee.
  1. Interpretation

1.1“Booking Form” means the booking form for Workshops appended to these terms and conditions.

“Cancellation Period” has the meaning given to it in clause 3.3.

“Confidential Information” means information relating to CR-UK’s business affairs or finances received by the Trainee as a result of this Agreement.

“Course Materials” means the materials used for the Workshop and/or distributed to Workshop attendees (including hard and electronic copies of a presentation in the case of ‘Talk Cancer: Train the Presenter’ training).

“Intellectual Property Rights” means all patents, rights to inventions, utility models, copyright and related rights, trade marks, service marks, trade, business and domain names, rights in trade dress or get-up, rights in goodwill or to sue for passing off, unfair competition rights, rights in designs, rights in computer software, database right, topography rights, rights in confidential information (including know-how and trade secrets) and any other intellectual property rights, in each case whether registered or unregistered and including all applications for, and renewals or extension of, such rights, and all similar or equivalent rights or forms of protection in any part of the world.

“Payment” means the total amount due from the Trainee as stated in the Booking Form in payment for the delivery of the Workshop by CR-UK.

“Reimbursement” has the meaning given to it in clause 3.4 below.

“Trainee” means the individual listed on the Booking Form.

“Workshop” means the training workshop set out in the Booking Form.

1.2A person includes a natural person, corporate or unincorporated body (whether or not having separate legal personality) and that person’s legal and personal representatives, successors and permitted assigns.

1.3The Booking Form and attached cancellation form forms part of this Agreement and shall have effect as if set out in full in the body of these terms and conditions. Any reference to this Agreement includes the Booking Form and attached cancellation form.

2.Duration and Termination

2.1CR-UK shall deliver the Workshop to the Trainee on the terms and conditions set out in this Agreement.

2.2This Agreement shall take legal effect once CR-UK has provided the Trainee with written confirmation that the Trainee has a place on the Workshop and shall terminate upon completion of the Workshop.

2.3Without prejudice to any other rights or remedies which CR-UK may have, CR-UK may terminate this Agreement without liability to the Trainee immediately on giving written notice to the Trainee if:

2.3.1 the Trainee commits a breach of any of the terms of this Agreement and if such a breach is remediable fails to remedy that breach within 14 days of the Trainee being notified in writing of the breach; or

2.3.2 the Trainee repeatedly breaches any of the terms of this Agreement in such a manner as to reasonably justify the opinion that its conduct is inconsistent with it having the intention or ability to give effect to the terms of this Agreement.

2.4On termination of this Agreement under clause 2.3 above, the Trainee shall immediately pay to CR-UK all of CR-UK’s outstanding invoices and, in respect of any Workshop supplied but for which no invoice has been submitted, CR-UK may submit an invoice, which shall be payable immediately on receipt.

2.5The provisions of clauses 2.4, 2.5, 3.2, 5.2, 7, 8 and 12shall survive the termination or expiry of this Agreement however arising.

  1. Cancellation

3.1CR-UK reserves the right to amend or cancel any Workshop, Workshop time, Workshop date or Workshop venue. If CR-UK does this, it will either offer the Trainee attendance at an alternative workshop or a refund of any Payment already made by the Trainee.

3.2Subject to clauses 3.3 and 3.4 below, where a Trainee cancels a Workshop booking, the Trainee will be liable for the following charges. All cancellations must be received in writing:

3.3Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, the Trainee has a cancellation cooling off period whereby the Trainee has a right to cancel this Agreement for a period of 14 days from when CR-UK has provided the Trainee with written confirmation that the Trainee has a place on the Workshop(the “Cancellation Period”). To cancel this Agreement, the Trainee must tell CR-UK that he wishes to cancel within the Cancellation Period. The Trainee can do this by:
• Submitting the attached cancellation form to the following address: Cancer Research UK, Health Community Engagement team, Angel Building, 407 St John Street, London EC1V 4ADor by email to ; or
• emailing us at calling us on0203 469 8111, providing us with the name and date of the Workshop you have booked.
To meet the cancellation deadline, it is sufficient for the Trainee to send their communication concerning their exercise of the right to cancel before the Cancellation Period has expired.

3.4 If the Trainee cancels this Agreement during the Cancellation Period, CR-UK will reimburse to the Trainee all Payments received from the Trainee (the “Reimbursement”).

3.5CR-UKwill make the Reimbursement without undue delay, and not later than14 days after the day on which CR-UKis informed about the Trainee’s decision to cancel the Agreement.

3.6CR-UK will make the Reimbursement using the same means of payment as the Trainee used for his initial transaction, unless the Trainee expressly agreed otherwise.

3.7CR-UK cannot provide a Workshop to the Trainee before the end of the Cancellation Period unless the Trainee has made an express request.

4.Services

4.1CR-UK shall deliver the Workshop on the dates and at the locations set out in the Booking Form.

4.2CR-UK shall have the right to alter and amend the content of the Course Materials and the Workshop as it sees fit and in accordance with developments in the field of cancer research.

4.3In the case of ‘Talk Cancer- Train the Presenter’ training, the Workshop and Course Materials are only to be used to deliver a presentation and inform others, and specifically not to provide any diagnostic or other medical advice or to train others about cancer or health in general.

5.Trainee’s Obligations

5.1The Trainee warrants that he is at least 18 years old and is legally capable of entering into a binding contract.

5.2The Trainee shall not refer to this Agreement, CR-UK or the Workshop in any advertising or marketing materials without obtaining CR-UK’s prior consent.

6.Payment

6.1The Trainee will pay CR-UK the Payment via credit or debit card payment or may request an invoice.

6.2Invoices are due for payment within 30 days of issue by CR-UK.

7.Intellectual Property

7.1As between the Trainee and CR-UK, all Intellectual Property Rights and all other rights in the Course Materials and the Workshops shall be owned by CR-UK. No content in whole or in part of the Course Materials may be copied, reproduced, uploaded, posted, displayed, linked to or used in any way without prior written permission of CR-UK. Any such use is strictly prohibited and will constitute an infringement of the copyright and other Intellectual Property Rights of CR-UK.

7.2The Course Materials are intended for use by the Trainee only and must not be passed on to any third parties.

  1. Limitation of Liability
  2. Subject to clause 8.3, CR-UK’s maximum aggregate liability arising:
  3. under or in connection with this Agreement (whether arising in contract, tort including negligence, restitution, breach of statutory duty, misrepresentation or otherwise); or
  4. out of the Trainee’s attendance or non-attendance at the Workshop; or
  5. out of any use made by the Trainee of the Course Materials or any part of them; or
  6. out of any representation or statement made in the Course Materials or at the Workshop

shall be limited to the value of the Payment.

8.2All warranties, conditions and other terms implied by statute or common law are, to the fullest extent permitted by law, excluded from this Agreement.

8.3Nothing in this Agreement shall exclude or in any way limit CR-UK’s liability for :

8.3.1fraud or fraudulent misrepresentation;

8.3.2death or personal injury caused by its negligence;

8.3.3any breach of the Trainee’s statutory rights under sections 49-52 of the Consumer Rights Act 2015; or

8.3.4any other liability to the extent such liability may not be excluded or limited as a matter of law.

9.Data Protection

9.1 By providing personal data when booking onto a Workshop, the Trainee confirms that he consents to such data being used by CR-UK for the purposes of organising and administering the Workshop.

10.Assignment

Neither Party shall be entitled, without prior written consent of the other Party, to assign, transfer or subcontract its rights or obligations under this Agreement.

11.Rights of Third Parties

A person who is not a Party to this Agreement shall not have any rights under or in connection with it or under the Contracts (Rights of Third Parties) Act 1999 to enforce any of its terms.

12.Confidentiality

12.1The Trainee agrees to treat all Confidential Information as secret and confidential and shall not at any time or for any reason disclose (or permit to be disclosed) to any person or persons any Confidential Information and shall not otherwise make use of any Confidential Information or permit any Confidential Information to be made use of.

12.2The provisions of this clause 12 shall not apply to information which:

12.2.1 is in the possession of and is at the free disposal of the Trainee or is published or is otherwise in the public domain prior to receipt of such information; or

12.2.1 is or becomes publicly available on a non-confidential basis through no fault of the Trainee; or

12.2.3 is received in good faith by the Trainee from a third party who on reasonable enquiry claims to have no obligations of confidence to CR-UK in respect of it and imposes no obligations of confidence upon the Trainee.

13.Severance

If any part of the Agreement is founds to be enforceable as a matter of law, the enforceability of all other parts of this Agreement will not be affected.

14. Variation

Please note that CR-UK reserves the right to amend these terms and conditions from time to time.

15. Waiver

If CR-UK fails to insist upon strict performance of any of the Trainee’s obligations under the Agreement or if CR-UK fails to exercise any of the rights or remedies to which CR-UK is entitled under the Agreement, this will not constitute a waiver of such rights or remedies.

16. Entire Agreement

The Parties acknowledge that this Agreement contains the whole Agreement between the Parties and supersedes any previous arrangement, understanding or agreement between them relating to the subject matter of this Agreement.

15.Governing Law

This Agreement is governed by the law of England and Wales and the Parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.
