Interpretation: / £28.88 per hour, minimum 1 hour – (please note that this figure includes an administration charge. All requests are subject to travel time and mileage).
If the session is longer than one hour, the fee is £14.44 for every additional half hour or part of a half hour.
Travel: / £9.20 per hour.
Mileage: / £0.40 per mile2
Telephone Interpreting: / £0.42 per minute (minimum of 30 minutes)

TERMS AND CONDITIONS

1.In these conditions: -

“Agreement” / - / means this the Request Form and Conditions
“Conditions” / means the terms and conditions within this Agreement
“Confidential Information” / - / means any information which has been designated as confidential by either party in writing or ought reasonably to be considered as confidential (however it is conveyed or on whatever media it is stored) including information subject to the provision of the Service, information which relates to secrets, intellectual property rights and all personal data and sensitive data within the meaning of the Data Protection Act 1998
“Council” / - / means North Yorkshire County Council
“Intellectual Property” / - / means all copyright and related rights, trademarks, service marks, trade, business domain names, rights in goodwill or to sue for passing off, rights in designs, database rights, moral rights, rights in confidential information and any other intellectual property right.
“Premises” / - / means the location identified on the Request Form where the Service shall be provided
“Public Body” / - / means the body identified on the Request Form
“Request Form” / - / means the attached form requesting the provision of the Service
“Service” / - / means the interpretation or translation service supplied under this Agreement in accordance with the Request Form and “Services” will be construed accordingly

2.English law applies tothis Agreement.

3.TheseConditions apply to the provision of the Service to the Public Body by the Council. All other terms and conditions are excluded.

4.No variation ofthese conditions shall be effective unless agreed in writing between the Public Body and the Council.

5.TheService must be of the type specified in the Request Form.

6.TheService shall, so far as is reasonable, be provided at such times and in such a manner as the Public Body may request, on the Request Form, and with the skill, care and diligence to be expected of a competent provider of services of a similar kind to the Service.

7.TheCouncil may sub-contract the Service (in whole or in part) without the Public Body’s consent.

8.ThePublic Body may cancel this Agreement at any time; however, if less than 24 hours notice is given of the cancellation Clauses 9 & 10 shall survive termination.

9.ThePublic Body will pay the amounts set out in the Request Form for the Service in addition to any VAT chargeable via BACS transfer to an account nominated by the Council.

10.Invoices shall be paid by the Public Body within 14 days of receipt.

11.TheCouncil and Public Body shall comply with all relevant anti-discrimination legislation, including but not limited to Equality Act 2010.

12.Health and Safety

ThePublic Body shall comply with the requirements of the Health and Safety at Work Act 1974 and ensure that the Premises are suitable for the provision of the Service.

13.Data Protection & Freedom of Information

Both Paritiesattention is drawn to the Data Protection Act 1998 (‘DPA’).

Each Party acknowledges that the other is subject to the requirements of the Freedom of Information Act 2000 "FOIA” and shall assist and cooperate with the other (at their own expense) to enable the other to comply with any information disclosure requirements.

WE ASK THAT ALL PUBLIC BODIES SIGN THE ATTACHED DOCUMENT RELATING TO DATA PROTECTION BY WHICH THEY ARE CONSENTING TO INTERPRETERS AND TRANSLATORS ACCESSING AND THEREFORE TRANSLATING, FROM TIME TO TIME, SENSITIVE MATERIAL.

14.Indemnity and Insurance

The Public Body shall indemnify the Council against all claims, costs, damages, losses and expenses arising out of the provision of the Service save that the Council shall be responsible for its own negligence.

Each Party shall take out and maintain appropriate insurance against its liabilities under this Condition.

15.DBS Checking

TheCouncil shall take reasonable steps to ensure a North Yorkshire County Council DBS check is carried out on all individuals engaged to provide or supervise the provision of the Service if this is a statutory requirement.

In all cases the Public Body shall ensure that any individual providing the Service in accordance with this Agreement is supervised when working with children and vulnerable adults.

16.Confidentiality

The Councilundertakes to use reasonable endeavours to prevent the release of confidential information to any third party. The Council further undertakes not to use any Confidential Information it receives in connection with this Agreement otherwise than for the purposes of this Agreement.

17.Intellectual Property

Any and all Intellectual Property created in connection with the Service shall be the property of the Public Body and the Council undertakes to use reasonable endeavours to ensure that any such Intellectual Property vests in the Public Body.

18.Complaints

If the Service fails to meet the standards required by these Conditions the Public Body shall follow the Local Authorities complaints procedure in addition to any other available course of action it may wish to take.
