Pursuant to Section 3.4 of the Bylaws of Great Falls Chase Homeowners Association, Inc. (“Bylaws”), I/we, the Owner(s) and Member(s) of the Great Falls Chase Homeowners Association, Inc, (the “Association”), in accordance with provisions of the Bylaws and Virginia law, hereby grant my/our proxy toTeresa Whitmore, TWC Association Management (the Association’s Managing Agent) or, any Officer of the Association present at the Annual Meeting if Ms. Whitmore is not present at the Annual Meeting, for the sole purpose of casting my/our votes for the following candidates as instructed below for the Board of Directors at the 2015Annual Meeting scheduled for April15, 2015, and any recess or continuation of this meeting, or subsequent meeting if a quorum is not present at the meeting. 2015 ANNUAL MEETING

INSTRUCTIONS FOR PROXIES

  1. Use the proxy only if you do not wish to vote in person or are unable to attend the Annual Meeting,
  1. Print Owner’s name and lot address in Great Falls Chase.
  1. The proxy must be signed and dated by the Member or a person authorized by the Member (on in cases where the Member is more than one person by and on behalf of all such persons). Members of the Great Falls Chase Homeowners Association, Inc. are Owners of Lots if Great Falls Chase. Thus, a proxy may be signed and dated by one or more Owners of record of aLot, but the signature by one of theOwners of aLot is sufficient.
  1. The proxy may be revoked only by actual written notice to the President of Great Falls Chase Homeowners Association, Inc. (or such other person presiding over the meeting if not the President).
  1. The proxy for the Annual Meeting is an instructed proxy, which means that the Proxy Holder will vote the proxy as instructed by the Owner.Please check the appropriate boxes next to the names of up to seven candidates or the write-in space (and print the name of the write-in candidate). Please note that Section 3.4 of the Bylaws imposes certain restrictions with respect as to who may serve as a Proxy for an Owner. This section provides that no person other than the Declarant, a Mortgagee, the Managing Agent or an Officer shall cast votes as a proxy for more than five Lots not owned by such Person.For this reason, Teresa Whitmore, Community Manager, TWC Association Management,(the Association’s Managing Agent)isnamed as the proxy. If Ms. Whitmore is not able to attend the Annual Meeting, than any Officer of the Association present at the meeting will serve as the proxy. Regardless, the person serving as the proxy shall only cast votes as instructed by the Member/Owner issuing the proxy.
  1. Please note that if you choose to vote for a write-in candidate, the candidate must meet the qualification in Section 5.3 of Amended and Restated Articles of Incorporation. In addition, nominations will be taken from the floor only in accordance with the procedures noted in Section 5.3(b) of the Amended and Restated Articles of Incorporation.
  1. The proxy must be filed with the Secretaryof Great Falls Chase Homeowners Association, Inc.before the commencement of the AnnualMeeting on April 15, 2015. Proxies will be accepted during the registration period at the meeting site. However, if possible, please mail, fax or deliver the proxy to: Secretary, Great Falls Chase Homeowners Association, Inc., c/o of Teresa Whitmore, Community Manager, TWC Association Management, 397 Herndon Parkway, Herndon, Virginia 20170, (703) 437-5800, (703) 471-6578 (fax). The proxy must be received at the office of TWC Association Management on or before noon, on April 15, 2015.
