Notice of Tender by Invitation of Plot 2-3,2-4 of Century Avenue, Pudong New Area, Shanghai

Shanghai Lujiazui Finance & Trade Zone United Development Company Limited (the “Company”) will organize a tender by invitation for the land-use-right transfer and equity/contractual development of Plot 2-3, 2-4 of Century Avenue, Pudong New Area, Shanghai. To determine intended bidders, the Company issues this notice as follows:

  1. All applicants who meet the requirements of bidding application and intend to participate in the biding for Plot 2-3, 2-4 of Century Avenue, Pudong New Area, Shanghai, are eligible to lodge their bidding application to the Company.
  1. The Company has the privilege of sending bidding invitations of Plot 2-3, 2-4 of Century Avenue, Pudong New Area, Shanghai, to successful applicants based on application documentation submitted by the applicants. The Company also has the privilege of sending bidding invitations of Plot 2-3, 2-4 of Century Avenue, Pudong New Area, Shanghai, to any potential applicants who, at the sole discretion of the Company, are eligible for the bidding.
  1. Requirements of the Bidder:
  1. Enterprises established under the laws of the People’s Republic of China with one of the following conditions are allowed to take part in the bidding:

1)Real estate development enterprise with first-level real estate development license;

2)Listed or foreign-invested company with real estate development license and relevant development experience in commercial and office properties of large and similar scale as the subject project;

3)Real estate development enterprise with second-level (including or above) real estate development license and relevant development experience in commercial and office properties of large and similar scale as the subject project.

  1. Overseas legal persons shall have experiences in developing or managing commercial and office properties of large and similar scale as the subject project.
  2. Natural person is not eligible to bid.
  1. For affiliated enterprises (directly or indirectly owns 50% or above equity interests or voting powers), only one institution is allowed to apply for the bidding.
  1. Deadline for the Submission of Bidding Applicationand Date for Issuing Bidding Invitation
  1. Deadline for the Submission of Bidding Application: Bidding Application Form shall be submitted to the Company at the address of No. 981, Pudong Avenue, Shanghai by 16:00, January 31, 2005, together with the required documentation as follows.

1)Bidding Application Form (original copy)

2)Applicant’s past performance documents

3)Applicant’s legal status documents

4)Applicant’s financial statements

The above documentation is not returnable whether or not the application isaccepted.

  1. The Company will send “Bidding Invitation of Plot 2-3, 2-4 of Century Avenue, Pudong New Area, Shanghai” to applicant’s address indicated in Bidding Application Form by February 28,2005 via fax, letter or courier. The Company will otherwise notify applicants to whom the Company decides not to send out Bidding Application Form.

All application documents shall be written in Chinese, using A4 or A3 paper; Original copies of all documents, certificates and relevant materials shall be enclosed unless photocopies are allowable as indicated. All photocopies shall be affixed with corporate chops and certified to be identical with the originals.

  1. Applicants are liable for all fees occurred during the procedure of application and the Company is not liable to pay.
  1. For applicants who are overseas legal persons, relevant documentation shall be translated into Chinese and applicants shall be responsible for the accuracy and integrality of the translation.

Bidding Application Form

Shanghai Lujiazui Finance & Trade Zone United Development Company Limited:

1、Subject to the Notice of Tender by Invitation issued by your company, I (we) apply for participating the bidding ofland use right transfer and equity/contractual development of Plot 2-3,2-4 of Century Avenue, Pudong New Area, Shanghai.

2、I (We) have submitted the following documents in accordance with the requirements under “Notice of Tender by Invitation of Plot 2-3,2-4 of Century Avenue, Pudong New Area, Shanghai”:

1)Bidding Application Form (original copy)

2)Legal status of the applicants:

  1. Photocopy of the latest valid business license; overseas legal person and organizations may provide any effective documentation which is legally comparable to domestic business license or enterprise code certification;
  2. Photocopies of legal representative’s certificate and identification card / passport;
  3. If the legal representative authorizes an agent to sign relevant documents on behalf of him/her, notarized power of attorney signed by the legal representative and affixed with corporate chop as well as the photocopy of identification card of the authorized agent shall be provided;
  4. Photocopy of real estate development license shall be submitted. Overseas legal person and organizations arenot required to provide this documentation. However, equivalent license can be provided if applicable.

3)Applicant’s past performance material

  1. The completed and incomplete construction volume which are developed by the applicant solely (or in which the applicant owns 50% or above equity interests) from January 1, 2001 to December 31, 2004 and related certificates (corporate chops are necessary) shall be provided. Calculation of completed construction volume for domestic enterprise shall be base on figures of completed gross floor area recorded in the “Construction Quality Examining Certificate” or the “Completion Examining Record Table” which were issued by the government.
  2. Basic information of no less than three long-term and wholly-managed office or commercial properties including project name, location, size and performance (please refer to “Bid Applier’s Past Performance Form” as attached)shall be provided.

4)Applicant’s Financial Statement

  1. The applicant shall submit both financial report and audit report of the previous year, together with the balance sheet, profit-loss sheet and cash flow sheet of the previous month of application date (all sheets shall be affixed with corporate chops). The ownership equity is based on balance sheet, calculated by the figures recorded in the audit sheet of the previous year. The newly founded enterprises’ ownership equity will be calculated according to the data in audited financial report.
  2. Bank Statement: Applicants shall provide bank credit rating certificates. Only credit ratingcertificate issued by the People’s Bank of China or institutions authorized by the People’s Bank of Chinaare acceptable for domestic enterprises while statements provided by other banks or institutions are onlyfor reference; overseas legal person and organizations shall submit “Credit Rating Certificate” issued by the professional credit valuation institutions or by banks or other relevant institutions.

3、I (We) understand that the Company shall have the sole discretion in choosing any eligible bidders to send the bidding invitation and I (we) have no right to require any explanation from the Company.

4、I (We) confirm and guarantee that the bidding applicant, the bidding invitation accepter and the bidder are one and same legal entity.

5、I (We) agree that the bidding invitation sent by the Company doesn’t represent the acceptance, consent or admission to accuracy, effectiveness and integrality of any documentation I (we) submitted. I (We) guarantee and shall be responsible that all commitments we made and documentation we provided in the bidding application are true, effective and complete.
