MOTION TO INTERVENE by SOUTHERN CALIFORNIA EDISON COMPANY

Pursuant to Rules 211 and 214 of the Rules and Regulations of the Federal Energy Regulatory Commission (“Commission” or “FERC”), 18 C.F.R. §§ 385.212 and 385.214 (2005), and the Notice of Filing dated December 4, 2006, Southern California Edison Company (“SCE”) hereby respectfully requests permission to intervene in the above-captioned proceeding and on the North American Electric Reliability Council and the North American Electric Reliability Corporation’s(“NERC”) proposed Delegation Agreement between itself and the Texas Regional Entity, a divisionof ERCOT

I. MOTION TO INTERVENe

On November 29, 2006 NERC submitted for Commission approval for approval of a uniform Compliance Monitoring and Enforcement Program and the revised pro forma delegation agreement. On that same day, NERC also submitted eight delegation agreements.[1]

SCE is a wholly owned subsidiary of Edison International whose principal place of business is 2244 Walnut Grove Avenue, Rosemead, California91770. SCE is a transmission owner, distributor and retail electric service provider. SCE is subject to the Commission’s jurisdiction and is a Class 1 member of the Western Electricity Coordinating Council (“WECC”). SCE will be subject to the reliability standards and rules promulgated by the Commission-approved ERO and its Commission approved Regional Reliability Organization, which will likely be WECC. However, Commission decisions as to any of the Regional Entities, and their Delegation Agreements will may affect WECC governance and administration. As such, SCE has an immediate interest in the outcome of this proceeding.

SCE’s interests cannot be represented by any other party and, consequently, SCE respectfully requests that the Commission grant permission to intervene in this proceeding. SCE hereby reserves their right to raise substantive issues regarding all aspects of this proceeding, and to file separate and additional comments, as warranted by the proceeding. SCE designate the following persons for service on the Commission’s service list in this proceeding and/or for communications regarding the instant filing:
