METCOM EXCESS AGENCY SYSTEM ACCESS PORTAL, “ASAP” AGREEMENT

referred to as the “broker, or “you”, and:

McCloskey Surplus and Excess, Inc. t/a Metcom Excess referred to as the “Company” or “we”.

As an addendum to the Brokerage Agreement between us, by signing this agreement, you become eligible to participate in Metcom Excess’ Agency System Access Portal, known as “ASAP”.

I. BROKER’S AUTHORITY

You have the authority to electronically interface with the Company through the ASAP Brokerage Portal.

You do not have the authority to bind any risk through the ASAP Brokerage Portal. All indications and endorsement requests performed through the system must be approved by the underwriter at the Company.

II. BROKER’S RESPONSIBILITIES

You will maintain the confidentiality of any and all information obtained through the

ASAP Brokerage Portal.

You will use the information solely for the purpose of the authority granted in your

Brokerage Agreement.

You will not disclose the information to any unauthorized person or entity, unless

required or permitted by law.

You will comply with any applicable laws or regulations, including applicable privacy

laws relating to access to disclosure of information accessed through the ASAP

Brokerage Portal.

You will maintain the appropriate security measures to ensure that only your authorized

employees have access to ASAP Brokerage Portal and that these employees are

informed of the confidential nature of the information.

You will be responsible to disable any Agent employee authorized to use the ASAP Brokerage Portal at termination or for any reason you feel any breach in confidentiality or security may occur.

You will notify us immediately of any breach in the confidentiality or security of the use of

the ASAP Brokerage Portal.

III. OUR RESPONSIBILITIES

We will provide user identification, passwords, certificates and any other data necessary to

restrict the access to the ASAP Brokerage Portal to only the member of your staff who you designate. We will allow one admin account per agency to manage their users passwords and account status.

We will provide thirty (30) days written notice of any modification in this agreement.

IV. TERMINATION

This agreement may be terminated or modified by us by providing thirty (30) days written

Notice. In the event of the termination of your Agency Agreement, this agreement will

terminate without any further notice.
