  • Acting for Emaar Properties PJSC in connection with issues arising from its investment of US$150 million in wholly-owned subsidiaries of its joint venture company in India, Emaar MGF Land Ltd.
  • Acting for General Enterprise Management Services Limited (GEMS) in their joint bid (with Pequot) to acquire Aircel Televenture. The transaction signed but the bid was ultimately trumped by a higher bid from Maxis M.V.
  • Acting for Neptune Orient Lines /APL in its successful negotiations to secure a significant integrated logistics hub in India, in joint venture with the Container Corporation of India (CONCOR).
  • Acting for a foreign shipping multinational, in successfully securing on a quasi privatization basis, an exclusive berth and slot arrangement as well as dedicated use of strategic facilities in Bombay Port.
  • Acting for a consortium comprising leading insurance multi-nationals and a leading Indian conglomerate, in regulating their interests and establishing a joint venture to apply for a general insurance business licence in India.
  • Acting for Mitsubishi Motor Corporation (MMC), Japan for conducting the due diligence of Chennai Car Plant (CCP) of M/s Hindustan Motors Limited (HML) in its proposed acquisition of CCP.
  • Acting for M/s Ajax Tocco Magnethermic in its acquisition of Specific assets of Pillar Induction (India) private Ltd and transfer of employees of Vidyut Agni Sales and Services Pvt Ltd.
  • Acting for The Bank of Rajasthan Ltd (BOR) in its acquisition of some of the Non Performing Assets (NPAs) of ICICI bank Ltd. The project was later aborted by BOR.
  • Acting for Suzhou Jiangnan Jiajie Elevator Group Co. Ltd in setting up a JVC named as SJEC JOHNSON ESCALATOR PRIVATE LIMITED with Johnson Lifts Pvt Ltd for manufacturing, selling, escalators, travelators, moving walks, passenger conveyor and other hauling equipments of various types
  • Acting for Nagarjuna Oil Corporation Ltd (NOCL) in setting up a JVC with L&T Power Development Ltd for setting up a captive cogeneration plant for supply of power and utilities including steam to the refinery complex of NOCL
  • Acting for mJunction services Limited for conducting the due diligence of IPFonline Limited in its proposed acquisition of IPF.
  • Acting for Ascendas Pte Ltd in a due diligence of IREO Management Private Limited in a proposed acquisition.

  • Corporate counsel to GEMS in relation to three private equity transactions in India, including advising on equity and debt funding aspects, FCCB structuring and M and A aspect, together with the use of Mauritius holding structures.
  • Acting for Hitachi in restructuring its equity interest in a listed Indian company.
  • Acting for MarathonAsset Management in a proposed private equity investment in a group of Indian companies.

Capital Markets

  • Acting for a major Swiss Bank in securing an Indian stock exchange license and advising on various securities matters in India arising from the license.
  • Counsel to the major foreign private equity house involved in promoting the establishment of a foreign bank in India.

Project Financing

  • Acting for a German co-generation power plant manufacturer in relation to its participation in a 100W IPP project in Uttar Pradesh.
  • Acting for a major US energy company in its proposed refinery project in India which subsequently aborted.
  • Acting for a transportation company as sponsor in negotiating its participation as LNG carrier for a LNG Receiving Terminal in Tamil Nadu to be utilized at a 200W integrated power plant.
  • Acting for a leading port operator in connection with evaluating 2 separate privatization port opportunities in India.
  • Acting for Nagarjuna Oil Corporation Ltd (NOCL) for setting up a refinery in Cuddalore, Tamilnadu.

  • Acting for Verizon Data Services India Pvt Ltd in its lease with K Raheja Corporation and Arihant Foundations and Housing Ltd.
  • Acting for Hindustan Telecom Ltd (HTL) in conducting an e-auction of 10.5 acres of land located in prime area of Chennai, India. It is the second biggest e-auction conducted in India so far.
  • Acting for AC Neilsen in its Lease with Sterling Group of Companies.
  • Acting for Maruwa Electronic (India) Pvt Ltd in its property matters.
  • Acting for Wilson India Pvt Ltd in its loan documentation and a mortgage over an immoveable property.

Dispute Resolution

  • Acting for a major US NYSE company in connection with issues arising from its acquisition of an Indian manufacturing operation. Thereafter advising on strategic and tactical issues arising from threatened public interest litigation arising from certain contamination / environmental issues. This transaction ensued over two-and-a-half years and was ultimately successfully resolved to clients’ full satisfaction.
  • Acting for a Dubai-based real estate and resorts group in its disputes with Indian resort developer, including representations in arbitration proceedings, including drafting of pleadings and documentation.
  • Acting for Lemcon Construction Pvt Ltd in its arbitration dispute with NOKIA and KIRBY systems Pvt Ltd before the High Court of Madras which was successfully litigated to the satisfaction of the client.
  • Acting for The Bank of Rajasthan Ltd (BOR) in its recovery proceedings against various corporate defaulters and successfully litigated before various forums in India.
  • Successfully litigated a major banking matter while acting for Mediaimage.com, USA before the DRAT, Chennai against State Bank of India and M/s Compudyne Winfo Systems Limited.
  • Acting for Ford India Private Limited in its product liability cases filed by various customers.
  • Acting for Software Technology Parks of India (STPI) in its arbitration dispute before the High Court of Madras
