ArticleI–Name

The name of this organization shall be the “Kell HS Wrestling Booster Club-Longhorn

Wrestling”locatedinthecityofMariettaStateofGeorgia,hereinafterreferredtoasthe“Club”.

ArticleII–Purpose

TheClubisanonprofitorganization (notfiled)establishedtopromoteinterestinthewrestling program atKellHighSchool,tolendmoralandfinancialsupporttoallphasesofthewrestling program atKellHighSchool,tocooperateandwork,inallpossiblewayswiththeCoachesand Staff,andtopromoteexcellenceinallScholasticandAthleticendeavorsatKellHigh Schooland thesurroundingcommunity.

ArticleIII–OperatingAuthority

TheClubshallhavenoauthoritytodictateorinterfereinanywaywiththeLonghorn Wrestling Staff, itspolicies,orthose oftheSchoolAdministration.TheWrestlingStaffincludes(butisnot limited to)theHighSchool HeadCoach, hisAssistants,aswellastheapprovedJunior Longhorn Coaches.

ArticleIV–Membership

Section1. Membership:Membershipshallbegrantedtopersonswithchildreninvolvedin the wrestling program at Kell High School and the Junior Kell wrestling program, thewrestling coachesatKellHighSchoolandcoaches fortheKell Juniorwrestlingprogram,andcorporateandcommunitysponsorswillingto abidebytherulesofthisClub.Membership periodshallbefromOctober1to September30.

Section2. VotingMembers:VotingmembersshallbelimitedtotheparentsofVarsity wrestlers, JuniorVarsitywrestlers,wrestlingmanagers, JuniorLonghorn wrestlers,corporatesponsors,andcommunitysponsorsingoodstanding.

Section3. InGoodStanding:AnymemberoftheClub,whoseduesforthecurrentyear havebeenpaid,shallbeconsideredaVotingMember ingoodstanding(ifunable topayduesotherarrangementscanbeworkedoutthroughtheTreasurer & President).Voting Membershipintheclubisnottransferable.

Section4. CorporateandCommunityMembers: Individualsand/orbusinesseswithinthe AtlantaareainterestedintheLonghornwrestlingprogram shallbeeligiblefor membership baseduponexamination andapprovalbytheKellLonghorn WrestlingBoardofDirectors.

Section5.RightsofVotingMembers:VotingMembersshallbeentitledto:

A. VoteonallmattersrequiringavotebyVotingMembersoftheClub.

B. Eligibility for election or appointment to any office, committee or the

ExecutiveBoard,exceptingtherestrictionfortheofficeofPresident. C. Notificationofmeetings.

D. AdmissiontoanymeetingoftheClub.

E. SuchotherrightsastheExecutiveBoardmyfromtimetotimedetermine.

Section6.Dues

A. Duesfor membershipin theClubshallbe recommendedandapprovedbythe

ExecutiveBoardafterreviewofthebudgetforthecomingyear. B. ThefiscalyearfortheClubwillbeginAugust1andendJuly31.

ArticleV–By-LawsChangesorAmendments

Section1. Theby-lawsmaybeamendedbya2/3voteoftheVotingMembershippresentat a GeneralMembershipMeeting.

Section2. Anyproposedchangesoramendmentstotheby-lawsmustbepresentedtothe GeneralMembership ataregularmeetingandsubmittedinwritingtothe Presidentat thatmeeting. TheSecretarywillmailor emaila copy of the proposedchangeoramendmenttotheGeneralmembership intimeforthemto review the proposal before it is voted on at the next General Membership Meeting.

ArticleVI–Meetings

Section1. Meetings:Thereshallbeaminimumofthree(3)GeneralMembership Meetings of theClubduringthefiscalyear.Theday,timeand placeshallbe determinedby theExecutiveBoard.

Section2. AnnualMeeting:TheAnnualMeetingoftheClubshallbeheldatthebeginning ofthefiscalyear.

Section3.ExecutiveBoardMeetings:

A. ExecutiveBoardMeetingswillbescheduledasneeded.

B. SpecialMeetingsofthe ExecutiveBoardmay becalleduponrequestofthree

(3)or morevotingmembersoftheExecutiveBoard.

C. AquorumforthetransactionsoftheExecutiveBoardbusinessshallbeone half(1/2)oftheofficerspresentatthemeeting.Votingmaybedoneby proxyandamemberrepresented byawrittenproxyshallbecountedin achievinga quorum.

Section4. Procedure:ThecurrenteditionsofRobert’sRulesofOrderNewlyRevisedshall governinallcasesinwhichitisnotconsistentwiththeseby-laws.

ArticleVII–OfficersoftheOrganization

Section1.OfficerstobeelectedfromtheGeneralMembershipare:

President VicePresident

ConcessionChairperson Treasurer Fund-RaisingChairperson Secretary TournamentChairperson

ElectedOfficersshallconstitutetheExecutiveBoard.

Section2. Eachofthese positionshasone(1)vote. Intheevent thattwo(2)ormore people are elected to serve in one position, their vote shall be divided into equal portions,nottoexceedone(1)votelimitperperson.

Section3.Officersshallbeelectedannually bythevotingmembersattheAnnualMeeting.

ThePresidentandTreasurerwillbeelectedfortwoyearsandtheVicePresident andSecretaryforoneyear.

Section4. Officersshallholdofficeuntil:(a)thesuccessorisdulyelected,(b)deathor disability,(c)resignation or(d)removedfromofficebya2/3majorityofall votingmembers.

Section5. Avacancyfor anyreasonshallbefilledbyappointmentofthe remainingofficers untilthenextAnnualMeeting.

Section6.Other Officerswillbe – Varsity Head Coach should be an ex-officio, non-voting member of the Booster Organization

Section7.TheOfficersretainthesamevotingprivilegesasotherVotingMembersofthe

club.

Section8.Qualifications:ThePresidentmusthaveservedatleastonetermontheExecutive

Boardpriortoelection OR has been approved and slated by the current President and HS Head Coach

Section9: Nominations/VolunteersforOfficerswillbeacceptedfromtheflooruptoand including theAnnualMeetingofeachfiscalyear. ElectionofnewOfficerswill take place after discussion during the Annual Meeting of each fiscal year. ElectedOfficerswillassumetheirpositionatthecloseoftheAnnualMeeting of eachfiscalyear.

Section10: Nomineesmustreceiveapluralityvoteofthememberspresenttobeelectedto theofficeforwhichnominated.

Section11:Officersmaysucceedthemselves.

ArticleVIII–DutiesofOfficers

Section1.DutiesofPresident

A. Presideatall Clubmeetings.

B. IntheabsenceofthePresidentandVice President,designatearepresentative topresideoverthemeeting. Ifnorepresentative isdesignated,the membershippresentwillselectoneoftheirmemberstopreside.

C. AppointallcommitteesnecessarytoreachthegoalsoftheClub.

D. Presentan annualreportoftheaffairsof theClubtotheGeneralMembership atthescheduledAnnualMeeting.

E. Provideleadershipfor theCluband workdirectlywiththe Principal,Athletic Director,AthleticCoordinator,CoachesandCommitteeChairpersons to assureobjectivesoftheClubare met.

F. Serveasadvisortoallcommittees.

G. Designatecheck-signingauthoritytotheTreasurerandoneotherExecutive

BoardmemberfordisbursementofClubfunds.

H. CausealloftheaccountsoftheClubtobeauditedbyareputableauditorat leastonceannually. Anaudit shallalsobemade ifandwhen theTreasurer becomesentrustedwiththefundsoftheClub.

I.Work withVarsityCoachesinpreparingandsubmittingabudget totheClub forapproval. Implementationofbudgetfundsrequirespre-approvalofthe PresidentinconjunctionwiththeTreasurer.

J.AuthorizeClubexpendituresupto$1000.00withoutpriorExecutiveBoard approval(requiresHighSchoolHeadCoach’sapproval).

K. AnyotherdutiesdeemedappropriateandapprovedbytheExecutiveBoard. Section2. DutiesoftheVicePresident

A. Presideatall meetingswherethePresidentisabsent.

B. AssistthePresidentingeneralsupervisionovertheaffairsoftheClub.

C. Assistthe Presidentinthecompilingof abudgetwiththe aid and approvalof theExecutive Board,VarsityCoachesandtheTreasureratthebeginning of thefiscalyear.

D. Assistinanydutiesassignedby thePresidentorExecutiveBoard.

E. AssisttheTreasurerwithrecordkeeping,depositingandproperdisbursement ofClubfunds.

F. ServeasTreasureratClubmeetingsduringtheabsenceoftheTreasurer.

G. AnyotherdutiesdeemedappropriateandapprovedbytheExecutiveBoard.

Section3.DutiesoftheSecretary

A. Reporttheminutesofallmeetings.

B. PrepareandmailallClubcorrespondence.

C. Maintaintheby-lawsoftheClubandassuredistributionoftheby-lawsto membersandprospectivemembers.

D. AnyotherdutiesdeemedappropriateandapprovedbytheExecutiveBoard. Section4. DutiesoftheTreasurer

A. ReceiveandmakeproperdispositionofallClubfundsandbepreparedto reportatanymeetingofthefinancialstatusoftheClub.

B. Keepaccuraterecordsofallfinancialtransactionsandmakethoserecords availableforaudit,uponrequest.

C. Maintaincheck-signingauthorityfordisbursementofClubfunds.

D. ServeasSecretaryat meetingsintheabsenceoftheelectedSecretary. E. DepositfundsinabankapprovedbytheOfficersoftheClub.

F. Work withVarsityCoachesinpreparingandsubmittingabudget totheClub forapproval. Makerecommendations atmeetingsforapprovaloflarge expendituresnotintheoriginalbudget. Supportrecommendations with appropriateresearchonneeds,pricing,bids,suppliers,etc.

G.Implementation ofbudgetfundsrequirespre-approvalofTreasurerin conjunctionwiththePresident.

H. AnyotherdutiesdeemedappropriateandapprovedbytheExecutiveBoard.

I. No cash will be excepted without a receipt of payment

Section5. DutiesofConcession Chairperson: Beresponsibleforoperatingandmaintaining concessionstand(s)beforeandafterwrestlingsponsoredevents.

Section6. DutiesofFund-RaisingChairperson:Beresponsiblefor allfund-raisingactivities notcoveredbyanotherofficer.

Section7. Duties of Tournament Chairperson: Be responsible for facilitating activities surrounding wrestling tournaments and celebrating the accomplishments of seniorwrestlersandmanagers.

ArticleIX–IndemnificationofOfficers

TheClubshallindemnifyandholdharmlesseachOfficeroftheClubfromandagainstanyand allclaimsand liabilitiestowhichthey maybeormaybecomesubjecttobyreasonofactingasan OfficeroftheClub,orbyreasonorallegedactsor omissionsasanOfficerasaforesaid,andshall reimburseeachOfficeroftheClubforalllegalandotherexpense,reasonably incurredin connection withdefendingagainstsuchclaimsorliabilities,provided,however,thatnoOfficer shallbeindemnifiedagainstorreimbursedforanyexpensesincurredduetonegligenceorwillful misconduct. Theforegoing rightsofOfficersshallnotbeexclusive ofotherrightstowhichthey maybeentitledlawfully.

ArticleX–By-Laws

TheClubshalladoptandmaintain by-lawsandshallfileacopytherefore ofanychanges thereaftermadeinsame,withthe schooladministration.Thissetofby-lawstakesprecedentover

anyandallpreviousby-laws.

Article XI – Miscellaneous

Section 1.What should happen to balance of monies should the Booster Organization disband or be disassociated from Kell High School: The funds in balance will be returned to the Wrestling Program and the Head Coach will pay out any overdue balance to vendors and or community sponsors (if any open balance remains)

Section 2. How to remove an officer during the year should the need arise: The removal of any officer will consist of a quorum vote of remaining Officers.

Section 3. How to resolve any disputes: Any open disputes will be tabled for a direct meeting

With the board and Head Coach & immediate staff to try and resolve or come to an

open and written agreement with any officer(s)

MissionStatement

Tosupervise,sponsorandfinanciallyassistadisciplinedandcompetitiveprogramofwrestling. Wewillendeavortodevelopinthemembers’theidealsofgoodsportsmanship,honestyand respectforauthorityandtostresstheconceptofparentsandchildrenworkingandplaying togetherinallClubactivitiessothatthefamilyandcommunitywillbestrengthenedinthe process.
