Explanatory Notes

Appointment of proxies

  1. As a member of the Guild, you are entitled to appoint a proxy to exercise all or any of your rights to attend, speak and vote at the above-mentioned meeting, and you should have received a proxy notice with the notice of meeting. You can only appoint a proxy using the procedures set out in these notes to the proxy notice.
  2. A proxy does not need to be a member of the Guild but must attend the meeting to represent you. To appoint as your proxy a person other than the Chair, insert their full name where indicated and delete the word ‘Chair’.
  3. If you sign and return this proxy notice with no name inserted, the Chair will be deemed to be your proxy. Where you appoint as your proxy someone other than the Chair, you are responsible for ensuring that they attend the meeting and are aware of your voting intentions. If you wish your proxy to make any comments on your behalf, you will need to appoint someone other than the Chair and give them the relevant instructions directly.
  4. If you do not give your proxy an indication of how to vote on any resolution, your proxy will vote or abstain from voting at his or her discretion. Your proxy may vote (or abstain from voting) as he or she thinks fit in relation to the limited range of additional resolutions which may be put before the meeting. These include for example:
  5. resolutions to deal with procedural aspects of the meeting such as the calling of a poll or a decision to adjourn;
  6. resolutions proposing amendments to the resolutions listed in the notice of the meeting, but note, the circumstances in which amendments can be made are very limited.

Method of appointment of proxy

  1. To appoint a proxy using the proxy notice, the notice must be completed and signed, and, you have three options of submission available to you:
  2. submit a hard copy proxy notice under paragraph 8 below;
  3. submit a copy of the proxy notice scanned and emailed to ur university email will confirm your name and address for identification purposes.
  1. For an electronic proxy appointment to be valid, your appointment must be received by the Guild no later than 9.00 amon 5th May2015.
  2. The email address n be used to notify the Guild of appointment of a proxy but should not be used for any other purposes unless expressly stated.
  3. As an alternative, you can submit a hard copy proxy notice which must be:
  4. completed and signed;
  5. sent or delivered to the Guild at 160 Mount Pleasant, Liverpool, L3 5TR UK; and
  6. received by the Guild no later than 9.00 am on 5th May2015.
  7. Any power of attorney or any other authority under which the proxy notice is signed (or a duly certified copy of such power or authority) must be included with the proxy notice.

Changing proxy instructions

  1. To appoint a different proxy simply submit a new proxy appointment using the methods set out above.
  2. If you submit more than one valid proxy appointment, the appointment received last before the latest time for the receipt of proxies will take precedence.

Termination of proxy appointments

  1. In order to revoke a proxy instruction you will need to inform the Guild by sending a signed and dated notice clearly stating your intention to revoke your proxy appointment by any of the methods set out in notes 5 and 8 above.
  2. Any power of attorney or any other authority under which the revocation notice is signed (or a duly certified copy of such power or authority) must be included with the revocation notice.
  3. Appointment of a proxy does not preclude you from attending the meeting and voting in person. If you have appointed a proxy and attend the meeting in person, your proxy appointment will automatically be terminated.

Communication

  1. Members who have general queries about the meeting should contact (no other methods of communication will be accepted).
  2. You may not use any electronic address provided either:
  3. in the notice of general meeting; or
  4. any related documents (including this proxy notice),

to communicate with the Guild for any purposes other than those expressly stated.

Please note:

Members are reminded of their obligation to ensure responsibility for the votes they cast, and that in passing a proxy to a third party, students are relying on the integrity of that individual. It is essential that members who are nominated to act on behalf of other members as proxies are aware of their responsibilities, and to ensure that all forms are completed accurately and legitimately by the member, and are delivered to the Guild within the prescribed time without exception. If any proxies are deemed to have been withheld or interfered with this could result in disciplinary action. You may choose to appoint the Chair, Harry Anderson, as your proxy; see the methods above to do this.
