Live Transfers USA Inc. represents and warrants that all campaigns or leads delivered under this agreement to you, the client, were obtained in a manner that complies with all State and Federal laws (including, but not limited to the new CAN-SPAM act of 2004). Company represents and warrants that information or material supplied to Live Transfers USA Inc. complies with state or federal laws or regulations.
AUTHORIZATION:
By signing this agreement you understand and agree to all terms and conditions of this Agreement. Also if paying by credit card, Client authorizes
Live Transfers USA Inc. to charge the credit card account that you have provided in this Agreement for the products and services as described in this document. If paying by check, Client authorizes Live Transfers USA Inc. to use Versa Check to regenerate a copy of the check for the amount mentioned above.

Attachment A
Live Transfers USA Inc. Services
This Attachment A (“Attachment A”) to the Live Transfers USA Inc. Insertion Order and Lead Generation Agreement (“Agreement”) shall be binding on the parties to this Attachment A. The terms of the Agreement shall be incorporated by reference into this Attachment. To the extent any terms herein are inconsistent with any terms in the Agreement, the terms of this Attachment A shall govern.
1. Services. Live Transfers USA Inc. shall provide the Live Transfers USA Inc. Services, as described herein. The details for each campaign shall be set forth in a separate Insertion Order in the form attached hereto.
2. Supplied Content and Materials.
2.1 Company warrants and represents that all subject matter material supplied by it to Live Transfers USA Inc. conforms to all state and federal laws and regulations. Live Transfers USA Inc. shall not be responsible to perform any due diligence relative to the subject matter material supplied by Company.
2.2 Each party shall approve all subject matter, form, size, text, graphics, images and typography prior to publication of such content. Unless otherwise authorized in advance, no changes to any content shall be made without the written consent of the parties.
2.3 Company grants to Live Transfers USA Inc. the right to place advertisements, subject to the terms set forth herein.
2.4 Company hereby indemnifies and agrees to save Live Transfers USA Inc. harmless from any claim for damages, violation of federal or state laws or regulations or otherwise arising from subject matter material supplied to Live Transfers USA Inc. by Company.
3. Material Changes. Company shall immediately notify Live Transfers USA Inc. of any material specification, image or content changes to the design and content of Company’s landing page(s). Immaterial specification changes including font size, grammar and spelling changes, as well as image resizing for browser resolution purposes do not require notification.
4. Payment.
4.1. Company agrees to pay for all advertising placed or published by Live Transfers USA Inc. in accordance with the terms of the Agreement and this Attachment. Payments shall be made to Live Transfers USA Inc. prior to receipt of leads.
4.2. In the event Company is in default of the Agreement due to nonpayment of invoices, Live Transfers USA Inc. shall have the right to require payment for further advertising under the Agreement upon such terms as Live Transfers USA Inc. a may see fit.
5. Term. The term of this Attachment A is for one transaction and will not re-bill unless client authorizes company to do so.
6. Miscellaneous.
6.1 This Agreement shall be binding upon and inure to the benefit of the undersigned Parties, their successors and assigns.
6.2 This Agreement shall be governed and construed under the laws of the State of Florida.
6.3 Live Transfers USA Inc. will provide Company with recommendations and suggestions, in certain instances, on campaign materials that it feels will produce the desired result but Live Transfers USA Inc. cannot predict or guaranty results and performance. Further, Live Transfers USA Inc. strongly advises Company to have its own compliance personnel review all materials that will be sent.
6.4 In certain cases the requested volume of leads will not be met due to uncontrollable factors. Transfers USA Inc. is not responsible and is not liable to provide a refund. The client must wait for all leads to be delivered which is up to 90 days.
