NATIONAL & STATE PARTNERSHIP

RESOLUTION

WHEREAS, the National Society of Professional Engineers (“NSPE”) was founded in 1934; and,

WHEREAS, NSPE was organized to be an association of individual Professional Engineers for common Objectives (see copy attached hereto); and,

WHEREAS, upon organization, NSPE adopted a constitution (the “Constitution” - see copy attached hereto) to govern the organization; and,

WHEREAS, the Constitution contemplated the relationship between the national organization and the respective state organizations (“Member State Societies”); and,

WHEREAS, Member State Societies were affiliate members of NSPE; and,

WHEREAS, Member State Societies were fully autonomous in all matters of state or local concern; and,

WHEREAS, NSPE is utilizing the vaguely defined term “state-centric” for the organization; and,

WHEREAS, the majority of Member State Societies are their own unique and individual non-profit corporations; and,

WHEREAS, the legal operating relationship between the Member State Societies and NSPE needs to be clearly defined in order to provide direction to NSPE in the development of its policies and practices.

NOW, THEREFORE BE IT RESOLVED in order to provide direction to NSPE in the development of its policies and practices, the following shall be AFFIRMED:

1.  Member State Societies at their own discretion shall remain unique and separate corporations or organizations.

2.  Member State Societies shall remain affiliate members of NSPE.

3.  Member State Societies shall be fully autonomous in all matters of state or local concern including but not limited to the business affairs of the respective Member State Societies

4.  Member State Societies shall work in partnership with NSPE for the benefit of the individual member.

5.  Member State Societies shall have equal rights with respect to other Member State Societies.

6.  That the adopted and affirmed principles contained herewith shall be the guiding principles for the working relationship between the national and state organizations.
