Johnny Winter Contract Show Requirements 2009 - 2010
Dear Promoter:
This letter, when accepted by you, shall constitute an agreement between yourselves and Johnny Winter.
- We hereby agree to furnish you the services of Johnny Winter (the Artist) to perform the concert engagement to be performed on the terms and conditions set forth herein.
- Stage is to be a minimum of 32’ x 20’ (10mt x 6mt) and at least 4’ (1mt) in height.
- You shall provide Four (4) able-bodied men, (including loaders and un-loaders) starting at load-in, who will be available throughout the show, and until the load-out is completed. There will be no exceptions made as far as the number of stage-hands.
- A Runner with a car should be available and report directly to Johnny Winter’s stage manager at load in.
- You shall provide two reserved parking spaces for the Artist’s bus. Bus should be as close to stage doors as possible.
- One dressing room will be required. Dressing room must be lockable and keys given to Production Manager upon his arrival. Dressing Room must be clean, and contain suitable rest rooms with towels and soap.
- You shall, at your sole cost and expense, secure a lighting company for the purpose of providing stage lighting.
JOHNNY WINTER SOUND REQUIREMENTS:
P.A.:
A high quality sound stereo system, 3 or 4-way system. The sound system should be of a size appropriate for the venue and should adequately cover all areas of the venue. It must be capable of sound level pressure of 115 dB SPL at the FOH desk position without noticeable limiting or distortion.

F.O.H. console:
Mixer:A high quality desk with a minimum of 32 channels inputs and 8 VCA, Midas, Yamaha (PM only), Soundcraft (Five, MH4) (analog console is preferred). The desk must be positioned in the centre of the house and safely protected from the people.
EQ:2 channels 1/3 Oct. (must be connected post master, NOT in insert) KT, BSS, XTA.
FX:3 units stereo reverbs: TC electronic, Lexicon PCM, Yamaha SPX.
1 unit delay TC electronic 2290 or D-two.

Stage requirements:
Purchaser will provide a 2.5mt x 2.5mt (8 feet x 8 feet) or (8 feet x 6 feet) x minimum of 0,3mt (1 foot) high drum riser. Riser deck should be carpeted. Front and sides of riser should have black scrim or border.
European purchaser will provide 2 converters (230/240 to 110/120 Volts). See the attached stage plot.

If you choose not to provide dinner, we will accept a buy out of $15.00 per person (8 x $15=$120.00)
BUSINESS REQUIREMENTS:
1)You represent and warrant that you carry public liability and property damage insurance with sufficiently high limits to adequately insure against bodily injury, death, or loss or damage to property in connection with any part of the performance.
2)You shall guarantee proper security at all times to insure the safety of the Artist and Artist’s staff and equipment before, during, and after each performance. Security is to include a guard and a key to Artist’s dressing room for the entire period that the doors are open.
3)The Artist expressly reserves all rights with respect to the broadcast, recording, or reproduction by any sight and/or sound device of any of the performances rendered hereunder. You shall not permit any person to record, broadcast, film or tape in any manner whatever, any of the performances (or any position thereof) rendered hereunder, without the express prior written consent of the Artist. The Artist and his designees shall have the right, without charge, by you or the performance hall, to record, film, or tape, in any manner whatever, any of the performances (or any portion thereof), rendered hereunder.
4)The name or likeness of the Artist may not be used or associated, directly or indirectly, with any product (whether sold at a concession or otherwise) or service without the Artist’s prior written consent.
5)You shall submit to the Artist, for the Artist’s written approval, all proposed radio, television, newspaper, and magazine interviews with the Artist I connection with performances to be rendered hereunder. You shall not make any commitments for personal interviews, personal appearances, or any other type of promotional activities for the Artist in connection with the performances to be rendered hereunder without the prior written consent of the Artist or the Artist’s representatives.
6)No master of ceremonies, announcer, or any other performing artist (including so-called opening act) shall appear without the prior written consent of Artist.
7)The Artist will be handling his own merchandising. You agree that the Artist or Artist’s designee shall have the right to sell souvenir programs, books, photographs, records, compact discs, and t-shirts on the premises of any place where a performance is to be rendered without any participation by you in the proceeds.
8)In the event of sickness, of or any accident to, the Artist, or if a performance is prevented or rendered impossible or infeasible by any cause beyond the control of the Artist, there shall be no claim for damages by either party hereto, and the Artist’s obligations with respect to such performance shall be waived. In that event, the money, if any, advanced to the Artist hereunder, shall be returned on a pro-rated basis. In the event that a performance is not rendered as a result of inclement weather, and in the event that Artist is ready, willing, and able to perform hereunder, then you shall pay to us the amount agreed to be paid.
9)Deposits must be made payable to Piedmont Talent Deposit Account. Balances and overages to the performance are due in United States currency, unless a written waiver has been obtained by Artist’s management. Any balance due to the Artist shall be paid prior to show time.
10)Artist shall be provided with 25 complimentary tickets per show.
11)In the event that you fail or refuse to comply with any of the material provisions of this agreement, {a} we may terminate this agreement without liability of any kind to you, {b} we and the Artist will have no further obligation to perform pursuant to the agreement, and {c} we may retain all amounts heretofore paid to us by you, {d} you shall remain liable for any additional compensation to be paid hereunder and {e} we and the Artist shall be entitled to exercise all of the remedies available to us or to the Artist.
12)You agree to indemnify and hold harmless the Artist, us, and any of our respective agents and employees from any and all liability, damage, cost, and expense including reasonable attorney’s fees, arising our of or in connection with any action, claim judgment or damage related to any breach by you of the terms of this agreement.
13)This agreement will be governed by and construed in accordance with the laws of the State of New York and constitutes the entire understanding between the parties hereto on the subject matter thereof. No waiver or modification of the terms shall be valid unless in writing, signed by the party to be charged, and only to set forth herein, and shall be inure to the benefits of the parties hereto and their successors and assigns, provided, however, that neither of the parties hereto shall assign this agreement without the written consent of the other.
