Dear Owners,

It’s time for Goldenwood Property Owners’ Association (GPOA)annual Owners’/Members’ meeting. Please be sure to mail in or bring your $60/year/lot dues to the meeting. The GPOA is a Texas non-profit corporation that was formed to administer the common affairs of the lots in Goldenwood subdivision and to provide for development of the highest quality to enhance the value of the investment made by Owners in purchasing Lots in the Subdivision. The annual Members’ meeting is an opportunity for the Board to update you on old and new business and for you to elect Owners to fill the 2 expiring terms of Trustees. Please be prepared to nominate Owners willing to serve.

Recent changes to Texas Homeowners Association law have imposed new administrative procedures on Associations and will make us less likely to establish at quorum at our initial date for the annual meeting. Therefore, we are pre-announcing a date the initial meeting will be ‘continued to’ if a quorum is not achieved at the initial meeting. The By-Laws waive the quorum requirements at the continued meeting.

Quorum Requirements: no minimum for lot’s represented but we hope all will be represented by proxy or in person.

Historically, the number of Owners current on their dues at the time of the Annual Meeting was allowed to be the basis for quorum determination and we typically needed about 30 lots represented. We often struggled to achieve those numbers. Under the revised law we now need a simple majority (58) of our 115 lots represented to constitute a quorum at our initial meeting which makes it unlikely that a quorum will be achieved. Therefore, it is likely the initial meeting will be continued until the 29th.

If you are present at the 27 May meeting and are unable to make the 29th, you will have an opportunity to provide input to the Board until 7:30 pm but no business can be conducted due to the lack of quorum. If you can’t make one of the meetings you are encouraged to provide your signed and dated proxy to a Board member or Owner that will attend the meeting. The aforementioned HOA law changes and the administrative burdens placed on the GPOA will be reviewed at the meeting. Theseadditional administrative procedures are the impetus forthe agenda item considering the hiring of a part time manager. This may be a part time job an Owner would like to be considered for or another alternative is to consider the resident manager of Goldenwood West who has expressed possible interest in such work.

Along with this letter is included a proposed agenda; the 2013 Minutes; the GPOA Fire Plan approved by North Hays County Fire Department; and a summary of APC restrictive covenants and request for compliance on violations on your lot that are visible from the street. Please contact the APC if you have questions about compliance or your strategy to comply. (e) Election of 2 Trustees for 2-year terms, Backus term is expiring and is willing to serve again, Baxter’s term is expiring and he is uncertain. (Please nominate any Owner willing to serve, please confirm they are willing serve prior to nominating).

(f) Unfinished business (Fire Plan, Enforcement matters, Entrance matters);

(g) New business (Review CCRs and possible rule changes, Consideration of hiring part time paid manager, Notice by email and website rather than snail mail, APC Enforcement, Tax Filing, other new business);
