Iunderstandthat,consistentwithapplicablelawsandregulations,IADTisgovernedinthehandlingofintellectualpropertybyitsofficialIPPolicy5 entitledIntellectualPropertyPolicyandProcedures,(acopyofwhichIhavereceived),andIagreetoabidebythetermsandconditionsofthisIPPolicyinthecourseofmyIADTactivitiesandintheworkthatIcarryoutontheProject.
Asageneralrule(andsubjecttotheexceptionssetoutinthisIPPolicy)anyintellectual property rightsinany material,(includinganycopyright(including rightsin computersoftwareandmoralrights),patent,designright,trademarkrights,brandrights,databaserights,knowhow, tradesecrets,confidentialinformationrightsindesign,semiconductor topographyrightsorother intellectualpropertyrightsorotherpropertyrights,whethervested,contingentorfuture anywhereintheworld),createdbymeinthecourseofmyworkwithIADT(andinparticularinthecourseofmyworkontheProject)arethepropertyof andvestsolelyandabsolutelyinIADT (“IADT IP”).
PursuanttotheIPPolicy,andinconsiderationofmyparticipationinprojects(andthe Project(s))administeredbyIADT,accesstooruseoffacilitiesprovidedbyIADTand/or otherconsideration,Iherebyagreeasfollows:
1.IwilldisclosetoIADTallpotentiallypatentableinventionsandotherIADTIP conceivedorfirstreducedtopracticeinwholeorinpartinthecourseofmy IADTresponsibilities,myparticipationintheProject(s)atIADT orwithmorethanincidentaluseofIADTresources. IfurtherassigntoIADTallmyright,titleand interestinsuchpatentableinventionsandotherIADTIPcreatedinconnection withIADTand/or theProject(s)andtoexecuteanddeliveralldocumentsanddo any and all such things necessary and proper on my part to effect suchassignment. Suchassignmentisnot inconsistentwiththetermsofmycontinuingemploymentoutsideof IADT(ifany)orwith anyotheragreementI have enteredinto.
2.Iwillnotuseanyinformationdefinedasconfidentialorproprietarybyanynon-IADTemployer(ifany) inthecourseofmyIADTresponsibilitiesandIwillnotdo consultingor researchworkforanynon-IADTemployer(unlesssuchworkisapproved ofin writing byIADT).

5 ThisIntellectual Property Assignment AgreementformsAnnexII oftheIADT IPPolicy.

3.IwillnotenterintoanyagreementcreatingcopyrightorpatentobligationsinconflictwiththisAgreement. IherebywaiveanymoralrightstowhichImaybe entitledunderanylegislationnowexisting orinfutureenactedinanypartoftheworldandfortheavoidanceofdoubtthiswaivershallextendtothelicenseesand successorsin title to the copyrightintheIADTIPand theProject(s).
4.ThisAgreementiseffectiveondateofmyIADThire,enrolmentorparticipationin projectsadministeredbyIADT,andisbindingonme,myestate,heirsand assigns.
5.[IherebyagreeandacknowledgethatinrespectoftheProjectandinrespectofmyassignmentofIPtoIADTinthisAgreement,myfullandfinalentitlementto payment,royaltyorotherincomearisingtherefromissetoutintheScheduletothisAgreementandIfurtheragreeandacknowledgethatIshallhavenoother entitlementorclaimagainstIADToranypartytowhomIADTassignsorlicencesthis IPin respectofpayment, royaltyorotherincomearisingtherefrom.]6
