The mission of the Inspire School of Arts and Sciences is to provide high levels of learning and support within a personalized environment that allows students to explore their interests and develop their talents.

Minutes – special session

1.  Call to Order 5:14 pm.

·  In attendance: Rob Reddemann, Gail Holbrook, Jerry Crosby, Kate McCarthy, Jana Gosselin, Linda Hovey, Debbie Travers

2.1  Discussion/Action: Consider approval of changes to the Charter

i.  Changes to Board Membership (attachments 1 & 2)

·  Jerry Crosby had a phone consultation with Jerry Simmons of Young, Minney Corr, LLC. Government Code Section 1090 has specific language regarding who should sit on Charter school Boards. See 4c. on attachment 2.

·  A teacher on board can’t vote on anything having to do with anything in the classroom: facilities, class size, calendar, what’s taught, textbooks.

·  Debbie remains a voice at Board meetings but will have no vote.

·  Debbie has been on Board since school’s inception. Is surprised by action and feels it’s a big loss. Will go with the will of the group.

·  Question: when will this all go in effect? Predicted by end of February.

Gail motions to end the practice of a teacher position on the board due to conflict of interest concerns related to new 501(c)3 status. Kate seconds. Approved unanimously.

ii.  Discussion/Action of Conflict of Interest

·  CUSD raised question about language stating that a CUSD representative “may serve” on the Board as a voting member. This language recommended by attorneys.

·  CUSD does not have a rep on any other charter board. Thought the flexibility is best.

·  A standing report every month from teachers would be a great way for the Board to hear a teacher voice.

Kate motions to adopt the proposed revision to the Board of Directors section of the Inspire Charter in order to establish an elected faculty representative who may speak and make recommendations at all open board meetings. Debbie seconds. Approved unanimously.
