IG Publishing E-Book License Agreement

This License Agreement (the “Agreement”) is made effective as of ______[date] (the "EffectiveDate") between IG Publishing Pte Ltd (the “Licensor”)and ______(the “Licensee”).

WHEREAS, Licensor has acquired certain rights from Publisher(s) to deliver the books or content (hereinafter the Licensed Materials) electronically through IP or Telecommunication networks.

WHEREAS, Licensee desires to licensethe Licensed Materials subject to the terms and conditions prescribed herein either on a perpetual or subscription basis.

1.Grant of License

1.1The Licensed Materials (see Appendix A) subject to this Agreement shall consist of content provided through theLicensor’s service.

1.2Licensee is hereby granted a non-exclusive right to use of the Licensed Materials and the right to provide the Licensed Materials to its Authorized Users in accordance with this Agreement.

1.3Licensee and its Authorized Users acknowledge that the copyright and title to theLicensed Materials and any trademarks or service marks relating thereto remain withthe Publisher. Neither Licensee nor its Authorized Users shall have right,title or interest in the Licensed Materials except as expressly set forth in this Agreement.

2.Access to Licensed Materials

2.1Licensor shall provide the Licensed Materials to the Licensee by means ofWeb Access.

2.2Licensor has the right to impose an annual service fee for the purpose of supporting the web access to the Licensed Materials.

2.3In the event If Licensor is no longer able to provide web access to the Licensed Materials, the Licensee may, at its option, acquire, load, and technically format on a server that enables access and use by Authorized Users through the Licensee’s internal secure network an electronic copy of the Licensed Materials, provided that the Licensee defrays the costs of preparing the data set sought, in accordance with the usage provisions of the Agreement, which provisions shall survive the termination of the Agreement. The electronic copy may not contain links and functionality associated with the online version.

3.Authorized Users

3.1Full time students, part time students,faculty members and staff of the Licensee.

3.2Authorized Users shall be granted access to the Licensed Materialsthrough Licensee’s defined IP Addresses or alternative secured authentication system which shall be provided by the Licensee to Licensor.

4.License Fees and Payment Terms

4.1Licensee shall make payment to Licensor for use of the Licensed Materials pursuant to the pricing set forth in the related Order Form.

4.2All Fees and charges are payable within 30 days from the date of the related invoice. Licensor reserves the right to charge up to 1.5% interest per month for any late payments.

5.Authorized Uses of Licensed Materials

5.1Authorized Uses. Licensee and Authorized Users may make use of the LicensedMaterials in accordance with the Fair Use Provisions of United States. Nothing in this Agreement is intended to limit in any way whatsoever Licensee's orany Authorized User's rights under the Fair Use provisions to use the Licensed Materials.

5.2Electronic Links. Licensee may provide electronic links to the Licensed Materials fromLicensee's web page(s) for the purpose of increasing theawareness and usefulness of the Licensed Materials to Authorized Users.

5.3Interlibrary Loan. The Licensed Materials are not allowed for Interlibrary Loan.

5.4Print Copy. Licensee and Authorized Users shall be allowed to print not more than 10% of the total number of pages of any given book or not more that a single chapter of any given book.

6.Restrictions on Use of Licensed Materials

6.1Unauthorized Use. Licenseeshall not knowingly permit anyone other than Authorized Users to use the LicensedMaterials.

6.2Modification of Licensed Materials. Licensee shall not modify or create a derivativework of the Licensed Materials without the prior written permission of Licensor.

6.3Removal of Copyright Notice. Licensee may not remove, obscure or modify anycopyright or other notices included in the Licensed Materials.

6.4Commercial Purposes. Licenseemay not use the Licensed Materials for commercial purposes, including but not limited tothe sale of the Licensed Materials or bulk reproduction or distribution of the LicensedMaterials in any form.

7.Licensor Performance Obligations

7.1Quality of Service. Licensor shall use reasonable efforts to ensure that the Licensor'sserver or servers have sufficient capacity and rate of connectivity to provide the Licenseeand its Authorized Users with a quality of service comparable to current standards in theon-line information provision industry in the Licensee's locale.Scheduled down-time will be performed at a time to minimize inconvenience to Licensee and itsAuthorized Users.

7.2Notification of Modifications of Licensed Materials. Licensee acknowledges that from timeto time the Licensed Materials may be added to, modified, or deleted from by Licensorand/or that portions of the Licensed Materials may migrate to other formats. Licensorshall give adequate notice of any such changes to Licensee.

7.3Withdrawal of Licensed Materials. Licensor reserves the right to withdraw from theLicensed Materials any item or part of an item for which it no longer retains the right topublish, or which it has reasonable grounds to believe infringes copyright or isdefamatory, obscene, unlawful or otherwise objectionable.

8.Licensee Performance Obligations

8.1Provision of Notice of License Terms to Authorized Users. Licensee shall makereasonable efforts to provide Authorized Users with appropriate notice of the terms andconditions under which access to the Licensed Materials is granted under this Agreementincluding, in particular, any limitations on access or use of the Licensed Materials as setforth in this Agreement.

8.2Protection from Unauthorized Use. Licensee shall use reasonable efforts to informAuthorized Users of the restrictions on use of the Licensed Materials and shall use allreasonable efforts to protect the Licensed Material from any use that is not permittedunder this agreement. In the event of any unauthorized use of the Licensed Materials byan Authorized User, (a) Licensor may suspend or terminate Licensee’s or such Authorized User'saccess to the Licensed Materials, (b) upon notice to Licensee except in exigentcircumstances, Licensor may suspend or terminate the access of the Internet Protocol("IP") address(es) from which such unauthorized use occurred, and/or (c) Licensee mayterminate such Authorized User's access to the Licensed Materials upon Licensor'srequest.

9.Confidential Information. Licensor and Licensee agree to maintain the confidentialityof any data relating to the usage of the Licensed Materials by Licensee and its AuthorizedUsers. Such data may be used solely for purposes directly related to the LicensedMaterials and may only be provided to third parties in aggregate form. Raw usage data,including but not limited to information relating to the identity of specific users and/oruses, shall not be provided to any third party, unless such disclosure is reasonablynecessary for subpoena, court order or other legal proceeding.

10.Termination

10.1In the event that either party believes that the other materially has breached anyobligations under this Agreement, or if Licensor believes that Licensee has exceeded thescope of the License, such party shall so notify the breaching party in writing.

10.2Thebreaching party shall have 60 days from the receipt of notice to cure the alleged breachand to notify the non-breaching party in writing that cure has been effected. If the breachis not cured within the 60 day period the non-breaching party shall have the right toterminate the Agreement without further notice.Upon Termination of this Agreement for cause online access to the Licensed Materials byLicensee and Authorized Users shall be terminated. Authorized copies of LicensedMaterials may be retained by Licensee or Authorized Users and used subject to the termsof this Agreement.In the event of early termination permitted by this Agreement, Licensee shall be entitledto a refund of any fees or pro-rata portion thereof paid by Licensee for any remainingperiod of the Agreement from the date of termination.

11.Limited Warranties. Licensor warrants that it has the right to license the rights granted under this Agreementto use Licensed Materials, that it has obtained any and all necessary permissions fromthird parties to license the Licensed Materials, and that use of the Licensed Materials byAuthorized Users in accordance with the terms of this Agreement shall not infringe thecopyright of any third party. The Licensor shall indemnify and hold Licensee andAuthorized Users harmless for any losses, claims, damages, awards, penalties, or injuriesincurred, including reasonable attorney's fees, which arise from any claim by any thirdparty of an alleged infringement of copyright or any other property right arising out of theuse of the Licensed Materials by the Licensee or any Authorized User in accordance withthe terms of this Agreement. This indemnity shall survive the termination of this agreement. NO LIMITATION OF LIABILITY SET FORTH ELSEWHERE IN THISAGREEMENT IS APPLICABLE TO THIS INDEMNIFICATION.

12.Limitations on Warranties

12.1Notwithstanding anything else in this Agreement:Neither party shall be liable for any indirect, special, incidental, punitive or consequentialdamages, including but not limited to loss of data, business interruption, or loss of profits,arising out of the use of or the inability to use the Licensed Materials.

12.2Licensor makes no representation or warranty, and expressly disclaims any liability withrespect to the content of any Licensed Materials, including but not limited to errors oromissions contained therein, libel, infringement of rights of publicity, privacy, trademarkrights, moral rights, or the disclosure of confidential information.

12.3Except for the express warranties stated herein, the Licensed Materials are provided on an"as is" basis, and Licensor disclaims any and all other warranties, conditions, orrepresentations (express, implied, oral or written), relating to the Licensed

12.4Materials orany part thereof, including, without limitation, any and all implied warranties of quality,performance, merchantability or fitness for a particular purpose. Licensor makes nowarranties respecting any harm that may be caused by the transmission of a computervirus, worm, time bomb, logic bomb or other such computer program. Licensor furtherexpressly disclaims any warranty or representation to Authorized Users, or to any thirdparty.

13.Indemnities. Each party shall indemnify and hold the other harmless for any losses, claims, damages,awards, penalties, or injuries incurred by any third party, including reasonable attorney'sfees, which arise from any alleged breach of such indemnifying party's representationsand warranties made under this Agreement, provided that the indemnifying party is promptly notified of any such claims. The indemnifying party shall have the sole right todefend such claims at its own expense. The other party shall provide, at the indemnifyingparty's expense, such assistance in investigating and defending such claims as theindemnifying party may reasonably request. This indemnity shall survive the terminationof this Agreement.

14.Assignment. Neither party may assign, directly or indirectly, all or part of its rights or obligationsunder this Agreement without the prior written consent of the other party, which consentshall not be unreasonably withheld or delayed.

15.Governing Law. This Agreement shall be interpreted and construed according to, and governed by federalor state laws of the United States, excluding any laws that might direct the application ofthe laws of any other jurisdiction.

16.Force Majeure. Neither party shall be liable in damages or have the right to terminate this Agreement forany delay or default in performing hereunder if such delay or default is caused byconditions beyond its control including, but not limited to Acts of God, Governmentrestrictions (including the denial or cancellation of any export or other necessary license),wars, insurrections and/or any other cause beyond the reasonable control of the partywhose performance is affected.

17.Entire Agreement. This Agreement constitutes the entire agreement of the parties and supersedes all priorcommunications, understandings and agreements relating to the subject matter hereof,whether oral or written.

18.Amendment. No modification or claimed waiver of any provision of this Agreement shall be validexcept by written amendment signed by authorized representatives of Licensor andLicensee.

19.Severability. If any provision or provisions of this Agreement shall be held to be invalid, illegal,unenforceable or in conflict with the law of any jurisdiction, the validity, legality andenforceability of the remaining provisions shall not in any way be affected or impairedthereby.

20.Waiver of Contractual Right. Waiver of any provision herein shall not be deemed a waiver of any other provisionherein, nor shall waiver of any breach of this Agreement be construed as a continuingwaiver of other breaches of the same or other provisions of this Agreement.

21.Notices. All notices given pursuant to this Agreement shall be in writing and may be handdelivered, or shall be deemed received within [time period] after mailing if sent byregistered or certified mail, return receipt requested. If any notice is sent by facsimile,confirmation copies must be sent by mail or hand delivery to the specified address. Eitherparty may from time to time change its Notice Address by written notice to the otherparty.
