Subject: / Organizational Changes

Holy Cross continues to evolve as a regional health system. Doug Ryder joined us a month ago as the first president of Holy Cross Germantown Hospital, and Judith Rogers has completed a very successful first year as president of Holy Cross Hospital. Doug is currently immersed in helping us get ready to open the new hospital. In less than a year, he will join Judith as they both provide overall leadership for patient care experiences, clinical outcomes and efficient operations of their respective hospital divisions.

Last year, Gary Vogan agreed to move from his position as Advisor to the CEO to become president of our third operating division, Holy Cross Health Network. The Network is our organizational locus for non-hospital care delivery and the management of new relationships and joint ventures with payers, physicians and other organizations. Gary has been extremely effective in developing a formal structure for this new division, and his superior knowledge and creativity helped position Holy Cross as a leader at a time of monumental and imminent change.

Gary agreed to take on this role for a limited time and has decided to step down from this position in March. I am delighted that he will continue to be associated with Holy Cross as he returns to his position as Advisor to the CEO. Gary provides expert counsel to me and to the State of Maryland as well, and I am grateful to have hiscontinuedassistance.

I am delighted to announce the promotion of Annice Cody to president of the Holy Cross Health Network, effective with Gary’s transition. Annice also has been an integral member of the executive team for many years. In 2000, she joined the hospital as vice president of planning and development and has led every strategic planning process since her arrival. During that time, our growth and overall success reflect her skillful planning and oversight. As I have pointed out previously, she provided unparalleled analytic work on the Certificates of Need that resulted in two facility projects and the expansion of the Catholic health ministry in Maryland. Annice is an extraordinarily talented individual, and she is ready to take on these new challenges.I am confident she will make a smooth and successful transition to the leadership of Holy Cross Health Network.

The Community Health departments, overseen by Wendy Friar, vice president community health, will be relocated to the Network division, where they will be linked more closely to the health centers under the direction of Calvin Robinson, vice president operations, and Elise Riley, M.D., medical director community care delivery.

I will begin the recruitment process for a Chief Strategy Officer immediately.

Please join me in expressing heartfelt appreciation and congratulations to Gary and Annice. I know they will have your support. I have no doubt they will continue to make significant contributions to our organization and our community.

I look forward to a very bright future, one in which you all play an important role. Thank you each for your part.
