PLAT BOOK VENDOR AGREEMENT

THIS VENDOR AGREEMENT(“Agreement”) is entered into on , between the Regents of the University of Minnesota, through County 4-H (“University”) and (“Vendor”).

WHEREAS, University entered into an agreement with (“Publisher”),dated , which provides for Publisher to publish and produce County plat books for University’s exclusive sale and distribution (“Plat Books”); and

WHEREAS, University desires to distribute the Plat Books in a fund-raising effort; and

WHEREAS, Vendor desires to financially support the County 4-H program by selling the Plat Books to the public.

THEREFORE, University and Vendor agree as follows:

1.Right to Sell.The rights granted to Vendor in this Agreement are non-exclusive. University, or another vendor having rights granted by University, may sell the Plat books at any time or place. No sales racks will be provided by University.

2.Term.The term of this Agreement is () year(s), commencing on and ending on . Either party may terminate this Agreement for any reason upon thirty (30) days’ prior written notice to the other.

3.University Obligations. University will pay Publisher for printing of the Plat Books, including subsequent versions in both print and electronic media. University has the sole right to obtain and place advertising in the Plat Books.

4.Vendor Fee.The suggested sale price for the Plat Books is and /100 dollars ($). Vendor will purchase Plat books from University in cases of thirty-four (34) books per case for a total price of and /100 dollars($)or and /100 dollars($)per Plat Book. Full payment will be made by Vendor upon delivery of the Plat Books. University’s proceeds from the sale of the Plat Books, after production and distribution costs, will support programming and opportunities ofCounty 4-H.

5.Compliance with Applicable Laws and Regulations. Vendor agrees to comply with all applicable statutes, laws, ordinances and regulations governing Vendor’s sale of Plat books, including completion of any and all federal, local and state licenses or permitsand collection and payment of sales tax, if applicable.

6.Liability. Vendor understands that University is not liable for loss or damage to Plat Books after delivery to Vendor. Vendor assumes all responsibility for Vendor’s sale of Plat Books. University will not be liable for any indirect, consequential, incidental, lost profits or like expectancy damages arising out of this Agreement.

7.Assignment. This Agreement is not assignable.

8.Use of University Name or Logo. Vendor will not use the name, logo, or any other marks (including, but not limited to, colors and music) owned by or associated with University or the name of any representative of University in any sales promotion work or advertising, or any form of publicity, without the written permission of University in each instance.Notwithstanding the above, any promotional media created by Vendor for the sale of Plat Books, must include the official 4-H name and logos provided by University.

9.Governing Law; Forum. The laws of the state of Minnesota shall govern the validity, construction and enforceability of this Agreement. All suits, actions, claims and causes of action relating to the construction, validity, performance and enforcement of this Agreement shall be brought in the state courts of Minnesota.

10.Entire Agreement. This Agreement (including all exhibits, if any) is intended by the parties as the final and binding expression of their agreement and as the complete and exclusive statement of its terms.
