Section A – GENERAL INFORMATION

1.About the Canada Science and Technology Museums Corporation

Canada The National Museum of Science and Technology operating under the name of Canada Science and Technology Museums Corporation (the “Corporation”), was established as an autonomous Crown Corporation on July 1, 1990, with the passage of the Museums Act. It operates three Museums, all in the National Capital Region. The Corporation reports to Parliament through the Minister of Canadian Heritage.

The purpose of the Corporation is to foster scientific and technological literacy throughout Canada by establishing, maintaining and developing a collection of scientific and technological objects, with special but not exclusive reference to Canada, and by demonstrating the products and processes of science and technology and their economic, social and cultural relationships with society.

The Corporation fulfills its mandate through its operations and programs at three (3) sites - The Canada Science and Technology Museum (CSTM), the Canada Aviation and Space Museum (CASM) and the Canada Agriculture and Food Museum (CAFM).

Section B – INSTRUCTIONS TO BIDDERS

1.Interpretation

In this document:

(a)“Addendum (a)” The word Addendum (a) means those documents, written or graphic, issued during the solicitation period to add to, or delete from, supplement, clarify or otherwise change, enhance or supersede the proposed contract document.

(b) “Bid(s)” “Tender(s)” “Submission(s)” These words are to be considered as having the same meaning and means an offer submitted in response to a request from a contracting authority.

(c)“Bid Form” The words Bid Form means the form prepared by, and issued by the Corporation specifically for this solicitation to be completed in full by, and submitted by the Bidder.

(d)“Bid Label” The words Bid Label means the label prepared by the Corporation specifically for this request and marked “Bid” and “May only be opened by the Corporation” to be used by the Bidder to label the Bid and other supporting documentation required to be submitted.

(e)“Bid Receiving Address” The words Bid Receiving Address means the address where the Bids must be submitted as set out in Section B, Article 4 on or before the Solicitation Closing Date and Time as set out in Section B, Article 3 of this ITT.

(f)“Bidder” The word Bidder means the entity submitting a bid at, or before Solicitation Closing in accordance with the requirements of these Instructions to Bidders.

(g)“Contract” The word Contract means the agreement to be entered into between the Contractor and the Corporation for the Work and consist of documents set-out in Article 6.2.

(h)“Contractor” The word Contractor means the Bidder whose bid is selected and who has entered into a contract with the Corporation with respect to the Work.

(i)“Corporation” The word Corporation means The National Museum of Science and Technology operating under the name of the Canada Science and Technology Museums Corporation (CSTMC) and includes a person acting for, or appointed for the purpose of this contract.

(j)“Inventions” The word means any new and useful art, process, machine, manufacture or composition of matter, or any new and useful improvement thereof;

(k) “Local Time” The words local time means the local time at the Corporation’s Site.

(l)“Product” also refer to Work, means any goods / products supplied by and/or anything being fabricated / produced by the contractor under this contract. It also includes any Goods / Products supplied by the Corporation to the Contractor for inclusion in the Work.

(m)“Prototypes” The word includes models, patterns and samples;

(n) “Site” The word Site means such part of the properties of the Corporation where the Work will be carried out.

(o)“Solicitation Closing Date” The words Solicitation Closing Date means the date / time set out in Section B, Article 3 of this ITT after which date / time no further Bids can be submitted pursuant to this ITT.

(p)“Solicitation Document” The words Solicitation Document means this Invitation to Tender, the Bid Form and the Bid Label page attached hereto.

(q)“Solicitation Period” The words Solicitation Period means the time occurring between the call for Bids (as identified on cover page) and the date and time of Solicitation Closing, Section B, Article 3.

(r)“Specification” The word Specification means the specification and particulars of the Work as set out in Section C of this ITT.

(s)“Subcontractor” The term Subcontractor means a person or entity having a direct Contract with the Contractor to perform a parts or parts of the Work, or to supply Products worked to a special design for the Work.

(t) “Submission(s)” “Bid(s)” “Tender(s)” These words are to be considered as having the same meaning and means an offer submitted in response to a request from a contracting authority.

(u)“Technical Documentation” The word means any and all recorded information, including reports, working papers relating to the service which also includes designs, reports either of a technical nature or other, photographs, drawings, plans, specifications, computer software and source files, whether susceptible to copyright or not;

(v)“Tender(s)” “Submission(s)” “Bid(s)” These words are to be considered as having the same meaning and means an offer submitted in response to a request from a contracting authority.

(w) “Work” The word Work means the services and/or products primarily described in Article 3 of Section A and more specifically detailed and referred to in the scope of work described in Section C of this Solicitation Document.

2.Bidders Responsibility

It is the Bidder’s Responsibility to:

2.1submit a transmittal Letter that shall contain the date of the response, shall identify the Solicitation title and number, shall stipulate to the receipt of all Addenda should any Addenda have been published, shall introduce the purpose of the response, shall identify the key Bidders contact, shall provide the telephone, fax, email and complete address co-ordinates for that person and/or company, and shall be signed by a duly authorized signing authority for the Bidder.

2.2return one (1) signed original and the number of copies of the Bid Form requested of in Section B, Article 4, duly completed and in the prescribed format as set forth in the Solicitation Document;

2.3ensure that all sections of the “Bid Form” are complete. Tenders which omit unit costs may result in the tender being declared incomplete and removed from further consideration. All erasures, overwriting or strikeouts must be initialled;

2.4treat all information contained in this “Solicitation Document” as proprietary and keep them as confidential unless the prior written consent of the Corporation has been obtained.

2.5understand that Bids which are incomplete, conditional or obscure in the sole opinion of the Corporation, may be rejected;

2.6understand that the Corporation will not accept bids submitted by Facsimile Transfer or other electronic means;

2.7ensure timely and correct delivery of Bids to the specified Bid Receiving Address identified in Article 4.

2.8ensure the Bidder’s name and return address, the bid solicitation reference number, and solicitation closing date and time are clearly visible on the bid as well as on the outside envelope / package containing their bid by using the Bid label set out in Section E;

2.9provide a comprehensive and detailed bid, including all requested pricing details, following the criteria set out in the bid solicitation.

4.Bid Delivery

4.2Bids received on or before the stipulated Solicitation Closing Date and Time will become the property of Corporation and will not be returned. All Bids will be treated as confidential, subject to the provision of the Access to Information and Privacy Acts.

4.3Bids received after the Solicitation Closing Date and Time will not be accepted and will be returned to the Bidder unopened.

5.Period of Service

5.1Product must be delivered FOB destinationto address and by date specified in Section C / Statement of Work.

6.Solicitation

6.1The Solicitation Document shall consist of these Instructions to Bidders, the Bid form, the Bid Label;

6.2The proposed Contract Documents shall consist of the CSTMC standard Purchase Order, the ITT, all Annexes, any Addenda issued during this ITT process, the specifications, the drawings and the Contractor’s Bid submitted in response to this ITT.

7.Site Visit / Bidders Conference (MANDATORY)

8.1To receive a response, all enquiries or issues regarding this Solicitation must be submitted in writing, addressed to the contracting person named below, no later than the date identified above. Reference to the Solicitation number is required.

8.2A written response to any questions will be sent to all Bidders in the form of an Addendum. All Addenda will be considered part of the Specifications and thereby will be considered part of the Contract Document. The Corporation will attempt to provide all addenda to all known Bidders but it is the Bidder’s responsibility to ensure that all addenda are incorporated into their Bid.

8.3Meetings will not be held with individual Bidders prior to the Solicitation Closing Date.

8.4Information provided verbally will not be binding upon the Corporation. The Bidders must have written confirmation from the Corporation in the form of an Addendum;

8.5Should a Bidder find omissions or discrepancies in the Solicitation Document or should the Bidder be in doubt as to the meaning of any part of such documents, the Bidder should notify the Corporation in writing without delay. Should the Corporation consider a correction, explanation or interpretation be necessary or desirable, an Addendum will be issued to all who have picked up or requested the solicitation document or have been invited to submit a Bid. If a Bidder fails to provide such notifications, the Bidder agrees that the interpretation placed upon the Solicitation Document by the Corporation will govern.

8.6The Bidder recognizes that the information contained in this ITT represents the most thorough data available at this time. While the Corporation has made a special effort to identify as accurately as possible the scope and quality of the products for services required, all Bidders are responsible for obtaining the exact information they need to present their Bid to the Corporation. All Bidders must become familiar with the terms of the Solicitation Document to meet the requirements of this ITT at no cost to the Corporation. The Corporation cannot be held responsible for the accuracy of the information contained in this ITT or for which the information is used or interpreted by the Bidder.

9.Insurance

9.1The Contractor shall, at his/her own expense, procure and maintain in force for the duration of the ContractCommercial General Liability insurance, with a minimum limit of * two million dollars ($* 2,000,000.00) in Canadian funds including coverage for personal injury, bodily injury (including death) and property damage for any one occurrence or series of occurrences arising from one cause, no aggregate, and with a maximum deductible of two thousand five hundred dollars ($2,500.00). The policy shall provide coverage for, but not be limited to, all premises and operations of the Contractor, owned and non-owned automobile, contingent employers liability, contractual liability and liability specifically assumed under the Contract. **Coverage must not exclude or restrict coverage for abuse / molestation claims ** and certificate must not contain no participant exclusion. ** The Contractor must confirm through the insurance certificate that there is no Limitation/Exclusion for the Work done AirportLands. The Corporation shall be added to the policy as an additional insured and the policy shall contain a cross-liability clause.

9.2**All Risks Property insurance of sufficient limit to cover all property of the Corporation entrusted to the Contractor.

9.3** Owned Automobiles insurance, with a minimum of “ * “ million dollars ($*, 000,000) in Canadian Funds (enter same limit as requested for CGL).

9.4**Professional Liability insurance, with a minimum limit of “ * “ million dollars ($* , 000,000.00) in Canadian Funds.

9.5Prior to implementation of the contract, the Contractor shall provide the Corporation with a Certificate of Insurance from his Insurer following the requirements of this RFP. The certificate or certificates of insurance are provided as evidence that the required coverages are in effect and that the Corporation will be given at least **sixty / thirty (60 / 30) days prior written notice of any policy cancellation or of any change in the limit or type of insurance specified.

9.6The insurance coverages shall be underwritten by an insurer that is licensed in the provinces in which the Contractor is conducting business under the Contract.

9.7The foregoing insurance provision shall not limit the insurance required by law.

9.8**The Corporation requires that the Contractor and the Sub-contractor(s) be in good standing, maintains good standing as required by legislation and comply with all requirements of the Workplace Safety and Insurance Board (WSIB).

All insurance policies to the extent of coverages shall cover the indemnity and hold harmless provisions and other contractual provisions herein and shall waive all rights of subrogation against the corporation and its respective directors, officers, agents and employees or as between any interest covered as additional insured.

IT SHALL BE THE SOLE RESPONSIBILITY OF THE CONTRACTOR TO DETERMINE WHAT INSURANCE COVERAGE IF ANY, IS NECESSARY AND ADVISABLE FOR ITS OWN PROTECTION AND/OR TO FULFILL ITS OBLIGATIONS UNDER THE CONTRACT. ANY SUCH INSURANCE SHALL BE PROVIDED AND MAINTAINED BY THE CONTRACTOR AT ITS OWN EXPENSE.

10.Security Requirements:

A Security Clearance must be processed before gaining access to the Corporation's buildings or the Sites. The Contractor shall fax a list of employees (last, middle and first name) and their date of birth (year / month / day) to Protection Services . Forty-eight hours (48) is required for a security clearance when scheduling commencement of work and the Contractor shall take this into consideration

11.Transportation

The Contractor shall be responsible for all transportation costs pertaining to the necessary personnel, equipment and supplies required to execute the Work specified.

12.Language

Bid documents and supporting information may be submitted in either English or French.

13.Submissions,Alteration, Withdrawal

13.1Each Bidder shall submit its Tender for all Work (labour, material, equipment and supplies) as set out in Section C / Statement of Work.

13.2A Bidder who has submitted a package may submit a further package at any time up to the specified time on the Solicitation Closing Date. The last package received shall supersede and invalidate all packages previously submitted by the Bidder for this solicitation.

13.3A Bidder may withdraw or alter the package at any time up to the specified time on the Solicitation Closing Date by submitting a letter bearing the Bidder’s signature and seal to authorized representatives of the Corporation who will mark thereon the time and date of the receipt. The Bidder’s name and the solicitation number shall be shown on the envelope containing the letter. Facsimile, e-mails, other electronic means of transmission / communication or telephone calls will not be accepted.
