EXHIBIT A

TO FACILITY USE AGREEMENT

FREDERICK R. WEISMAN ART MUSEUM

University and Licensee further agree as follows:

1.The Facility. University grants to Licensee a license to use those portions of the Frederick R. Weisman Art Museum identified below by a checked box (the “Facility”) (check all that apply):

2.Galleries. Licensee’s use of the Facility may include entrance to the exhibit galleries located with the Frederick R. Weisman Art Museum (the “Exhibit Galleries”). University, at its sole discretion, reserves the right to close the Exhibit Galleries at any time before, during or after the Event. Licensee shall be billed for entrance to the Exhibit Galleries only for the time the Exhibit Galleries are open to Licensee and its Attendees.

3.The Fee.

3.1Licensee shall, in addition to its other obligations described in this Agreement:

3.1.1Pay, upon the signing of this Agreement, a nonrefundable deposit in the amount of $ (the “Deposit”). The Deposit shall be applied to the Fee as provided in Section 3.1.2 below.

3.1.2Pay, not later than 30 days before the Event, a rental fee of $for its use of the Facility for the Event (the “Fee”).

3.1.3Entrance to the Exhibit Galleries before, during or after the Event shall be arranged at least two weeks prior to the Event. License shall pay a fee for entrance to the Exhibit Galleries at a cost of $40.00 per hour.

3.1.4Pay, within 30 days following receipt of an invoice from University, the following additional costs: (i) events attendant at $25.00 per hour, (ii) parking per vehicle parked, and (iii) all other costs and expenses for services are requested by Licensee or required by University under this Agreement.

3.2Licensee shall submit payments of the above to University addressed to: Regents of the University of Minnesota, NW 5960, P.O. Box 1450, Minneapolis, MN 55485-5960 (the “Museum Office”).

3.3If Licensee fails to pay the Fee within five days after such date, Licensee shall pay University a late fee equal to 5% of the Fee, together with interest on any unpaid balance in an amount equal to the lesser of 10% per annum or the highest rate allowed by law. University shall apply any payment it receives from Licensee first to the late fee, then to interest and the remainder to the Fee. A fee of $20.00 is assessed for all checks returned by the bank.

4.Licensee’s Obligations. Licensee shall, in addition to its other obligations described in this Agreement:

4.1Comply with the Rules and Regulations described in Section 5 below.

4.2Notify University in writing at the Museum Office at least two weeks prior to the commencement of the Event of the specific number of persons who will attend the Event.

4.3Make arrangements with the Facility’s representatives for delivery of equipment or materials to the Facility at least two weeks prior to the Event.

4.4Attend a walk-through of the Facility with a representative of the Facility at least two weeks prior to the Event.

4.5Make a representative of Licensee available to the Facility’s representatives at the Facility at least 30 minutes before the commencement of the Event.

5.Rules and Regulations. The following rules and regulations are applicable to the Facility:

5.1All vendors to be engaged by Licensee to provide services at the Event, including without limitation, caterers, live bands, DJs, videographers, and photographers, must be approved in writing by University at least two weeks prior to the Event, which approval may be granted or withheld in University’s sole discretion.

5.2All decorations must be approved by University in writing at least two weeks prior to the Event. No nails, staples, tape or any other substance shall be affixed to the walls, floor or ceiling of the Facility. Candles with open flames are prohibited.

5.3Red wine may not be served in the Facility.

5.4Smoking is prohibited within the Facility.

5.5Food and beverages are prohibited in the Exhibit Galleries.

5.6Photography, video, DVD, and audio recording may be permitted in certain areas of the Facility and at certain times subject to the prior written approval of University.

5.7University reserves the right to determine appropriate volume levels for music within the Facility and to adjust volume levels at its discretion.

6.Serving of Alcoholic Beverages. Before serving alcoholic beverages in the Facility, the Licensee and its caterer must first obtain authorization from University’s Office of Risk Management and comply with the terms and conditions required in such authorization, including, but not limited to, host liquor liability insurance.

7.Caterers. Unless expressly approved in advance in writing by University, Licensee shall select a caterer from the Facility’s approved list of caterers provided by University. Licensee shall enter into a separate contract with the selected caterer.

8.Cancellation. Events cancelled after will forfeit the Deposit and the Fee stated in Section 3.1.2.
