First Amendment to Settlement Agreement

FIRST AMENDMENT TO SETTLEMENT AGREEMENT

(Effective May 26, 2009)

The Illinois Council of the Blind (“ICB”) and Wan Henderson (collectively, the “Claimants”), and TCF National Bank (“TCF Bank”), are parties to a Settlement Agreement and a related Confidential Addendum to the Settlement Agreement (together referred to as the “Full Agreement”). Because of unforeseen circumstances that occurred after execution of the Full Agreement, the parties hereby agree to amend the Settlement Agreement as follows:

1. The schedule listed in paragraph one of Section 3.3 of the Settlement

Agreement is hereby replaced with the following sentences: “TCF will upgrade 87 ATMs included in the list in the amended Exhibit A, now designated as Exhibit A-1, attached to this First Amendment to Settlement Agreement to Talking ATMs by December 31, 2009, assuming TCF Bank retains ownership and operation of those machines on that date. In addition, TCF will install 76 Talking ATMs by December 31, 2009 in locations determined by TCF. TCF will notify Claimants of these locations within 30 days of installation.”

2. The last sentence in paragraph 3.3 of the Settlement Agreement is hereby replaced with the following sentence: “The Rollout Program shall end at the date the last of the 87 ATM Locations listed in the amended Exhibit A (now designated as Exhibit A-1) and the additional 76 Talking ATM installations are completed.”

3. Section 3.3.1 of the Settlement Agreement is replaced with the

following sentences: “The parties agree to meet and confer on or before October 15, 2009 regarding TCF Bank’s plans for the rollout of 212 additional Talking ATMs, to meet the 375 TCF Talking ATMs originally specified in the Settlement Agreement. The parties agree to meet and confer on or before June 30, 2010 regarding TCF Bank’s plans for the rollout of the remaining ATM Locations. If the Parties reach agreements on these issues, such agreements will be memorialized in writing as a further Addendum to this Agreement.”

4. Exhibit A of the Settlement Agreement is replaced with Exhibit A-1 attached hereto.

This First Amendment to Settlement Agreement may be executed in counterparts. Claimants shall deliver one original set of signatures to TCF Bank, and TCF Bank shall deliver one original signature to Claimants.
