FITOAM Annual Meeting Minutes – 16 January 2016

12:33Call to Order: President Hofmann called the meeting to order – quorum present.
12:34Pledge of Allegiance
12:34Board Members present: Chris Hofmann (President), Casey Stotts (Director/Conference Chair), Max Radil (treasurer), Mark Marcy (Secretary), John Babin (Director), Ed Hoffman (Director), Matt Daniels (Director).
12:35Minutes of last meeting (January24, 2015): Secretary Mark Marcy read the minutes. Motion made by Becker Fire (Tom) and Second by Mayer Fire (?) to approve minutes. Motion passed unanimously.
12:41Financial Report: Treasurer Max Radil gave the financial report: checkbook balance of $8,327.83 currently. Financial transactions were reviewed line by line by the finance committee prior to the start of the conference – records were reconciled and accurate. Motion by Scott Carriveau, Second by Jack Volz to approve the Treasurer’s report – motion passed unanimously.
12:44Merger with MSFCA (Minnnesota State Fire Chiefs Assocciation): President Hoffman gave a brief overview of discussions with a possible merger with the MSFCA that have been ongoing for the last 3 years. Momentum was gained approximately a year ago, and FITOAM Board members and MSFCA Board members have met and discussed, and have determined that a merger would be in the best interests of both organizations to strengthen each, and further fire service capabilities. FITOAM Board Members are in full support of a merger.
12:51 MSFCA: President George Esbensen was present and shared that part of MSFCA’s vision is to help partner organizations grow and support them. The proposed model would be that FITOAM would officilly dissolve and reform as a ‘Division’ of the MSFCA, and could keep it’s name and autonomy. Finances would need to be liquidated, and in essence, donated to the MSFCA, which would then give all the donated funds back to our Division, for use as FITOAM sees fit. Discussion was held regarding possible ‘training tracks’ at MSFCA conferences and/or Officers Schools in the future.
12:55open discussion, question and answer for FITOAM membership: after discussion and apparent agreement by membership, a motion was made by John Babin (Savage FD), Second by Steve Jurrens (Kasson FD) to: ‘Formally make application to the MSFCA for FITOAM to become a ‘division’ of the MSFCA; and to officially Dissolve FITOAM and liquidate any and all assets and donate them to the MSFCA with the understanding that those assets would be turned over to the new ‘FITOAM Division’ after its creation; and to retain the current slate of Officers to see the merger thru to completion. Motion passed unanimously.
13:08discussion on current conference – (positive feedback received from membership and attendees regarding format, location, amnetities and facilities). Discussion of possible ‘hands on’ training at Camp Ripley sometime in the fall, President Hofmann will check into that and report back to the FITOAM Board.
13:10 Adjournment: Motion made by Troy Walsh (Victoria FD), Second by Jack Volz (Minnesota Lake FD) to adjourn meeting. Motion passed unanimously.
