Saint Mark the Evangelist Catholic Church (“Saint Mark’s”) thanks you for your support of the FEAST OF SAINT MARK ITALIAN FOOD FESTIVAL (“the Festival”). We look forward to creating a successful, annual event. This document sets forth the terms of our agreement.

As a Sponsor you will receive benefits in accordance with the “Sponsorship Opportunities” document attached. Because the Festival is a new event, Saint Mark’s reserves the right to amend, in good faith, the opportunities selected. In the event one or more of the opportunities must be altered or eliminated, Saint Mark’s will endeavor to provide opportunities of equal or greater value.

In exchange for the selected opportunities, the undersigned sponsor agrees to provide:

2. In-kind goods or services as described in attachment. See Attachment for description of goods or services.

Cash donations are due upon signing this agreement. An invoice will be provided if requested. Goods and services are due as specified in the Attachment(s). Sponsor agrees that delayed payment of cash, goods or services may affect the agreed upon sponsorship opportunities.

If necessary, sponsor will furnish a high-resolution electronic logo graphic as soon as possible and agrees to comply with deadlines on logo/ art submission and other like requirements.

In the event the FESTIVAL must be cancelled due to weather or events beyond Saint Mark’s control, this agreement shall terminate and Saint Mark’s obligation thereafter shall be to return the undersigned cash sponsor his pro-rata share of the funds remaining. Any unused in-kind goods or services as of the date of termination will be promptly returned.

Sponsor and Saint Mark’s agree to indemnify, defend and hold harmless each other, and their respective officers, agents, or employees from all claims, lawsuits, actions, liabilities, costs, and expenses (including attorney’s fees) resulting from injuries (including death), to any person(s), including, but not limited to, guests, patrons, invitees, volunteers, contractors, or suppliers of materials, caused in whole or in part by there negligence or wanton misconduct, through their own officers, agents, employees, or volunteers. Both parties acknowledge that their obligations under this paragraph shall survive the termination of this agreement.

Description of Good or Services for Food Sponsors:

Food Sponsor will provide the following:

-  Appetizer portion of food to be confirmed

-  Minimum of 500 per appetizer

-  Staff to deliver, prepare, and serve items

-  Digital logo of sponsor and web address (with agreement)

-  Picture of sponsor in front of establishment for website (with agreement)

Items required by March 23, 2013

List of three possible appetizers to be prepared by food sponsor. Final item to be selected based on all sponsor submissions. This is done to reduce duplicates.

Electrical requirements if any

Notice of use of any burners or food heaters/ warmers

Notes:

-  Sponsor staff should be dressed in “restaurant” attire

-  No cooking permitted on site

-  No additional signage/ promotional materials permitted unless agreed to in writing in advance

Description of Good or Services for Non Food Sponsors:

Sponsor will provide the following:

-  Sponsorship donation with agreement

-  Digital logo of sponsor and web address (with agreement)

-  Picture of sponsor in front of establishment for website (with agreement)

-  Sponsor specific signage by March 31, 2013
