EPMD RIDER – READ CAREFULLY

THIS RIDER IS HEREBY MADE PART OF THE ACCOMPANYING PERFORMANCE AGREEMENT FOR ARTIST.

PURCHASER AGREES TO MEET THE FOLLOWING REQUIREMENTS AT PURCHASER’S SOLE EXPENSE.

1.BILLING – ARTIST shall receive top billing on all promotional materials. AGENTshall have prior approval of any radio, television, newspaper, and magazineinterviews in conjunction with this performance.

2.WORK PERMITS & VISAS - All requirements for Work Permits, Visas, or International Entry Clearances are the responsibility ofPURCHASER. Cancellationof the event due to a failure on the part of the PURCHASER to provide the necessary documentation for entry will entitle the ARTIST to a cancellation fee of 100% of the agreed performance fee. PURCHASER must prepay all costs incurred by ARTIST to gainentry into country of performance.

3.FEES & TAXES – PURCHASER shall be responsible for any and all costs connected to the ARTISTS performance including work permits, taxes, legal fees, etc., which may be required by the local city, state (providence), F.E.U. withholding or national government tax. No fees, taxes or exemptions of any kind will be deducted from ARTIST’s performance fee. A valid receipt of payment of all National withholding taxes must be provided upon request.

4.CO-PROMOTERS – Under no circumstances can one radio station get “The Presents” or in any way be favored over a competing station unless approved by AGENT. AGENT must approve all promotions involving ARTIST including in-store appearances, in writing.

5.SCHOOLS – In the event that a show performance is inside a school or a school facility, PURCHASER shall be responsible for any and alltaxes and general liability insurance.

6.AFTER PARTIES - Please be advised that there will be absolutely no after show after parties without the expressed written consent of the AGENT.

7.MERCHANDISING – ARTIST shall have the right but not the obligation to sell souvenir programs, posters, and other merchandise and retain 100% of the receipts unless otherwise agreed in advance in writing. ARTIST reserves the right to confiscate part or all of any unauthorized “bootleg” merchandises being sold in or around the venue.

8.PRESS & INTERVIEWS – All press conferences, interviews and photo shoots, in-stores, radio interviews, radio drops, etc. must be pre-approved by AGENT at least ONE (1) week prior to event and conducted in the green room of the venue unless otherwise arranged.

9.PRODUCT ENDORSEMENT – PURCHASER will not permit the name of ARTIST to be used directly or indirectly with any product or service without the express consent of ARTIST or AGENT.

10.RECORDING - Permission is granted to PURCHASER to record and film the ARTIST’s performance for the purpose of TV broadcast only. Audio and video recordings of ARTISTS performance cannot be produced for sale under any circumstance. No unauthorized filming or audio recording is permitted without prior consent of AGENT.

11.MANDATORY ADVANCE SHEET (SEE ATTACHED FORM) - The Advance Sheet MUST be filled out completely at least one week prior to the performance date and faxed to AGENT. Please make sure ALL information is included. Failure to fax this info form to AGENT at least one week prior to the show date will result in cancellation of your booking!!!

12.AIR TRAVEL – ARTIST will require TWO (2) business class and TWO (2) coach airline tickets. AGENT shall arrange all air transportation and notify PURCHASER at least three (3) weeks prior to show date. If monies to purchase air tickets are not received by AGENT in time to purchase such flights, PURCHASER shall forfeit his event date and deposit. Costs incurred by excess baggage upon the ARTIST’s return are the responsibility of the PURCHASER. ARTIST shall provide receipts to PURCHASER for excess baggage charges incurred. IF EXTRA COSTS ARE INCURRED TO TRANSPORT ARTIST TO CITY OF ENGAGEMENT DUE TO AIR TRANSPORTATION DELAY, ACT OF GOD, ETC. PURCHASER SHALL INCUR EXTRA FEES DUE AND PAY ARTIST THIS BALANCE PRIOR TO HIS PERFORMANCE. If ARTIST is unable to reach performance because of air travel delays beyond ARTISTS control, the show date will be rescheduled as soon thereafter as possible.

13.GROUND TRANSPORTATION – PURCHASER is responsible for providing ARTIST with any and all ground transportation to and from the airport, hotel and event locations. A 15-passenger van or stretch limo is required to transport the ARTIST and representatives traveling in the city of engagement. A sober driver must be available for the ARTIST and representatives at any time and vehicle shall be clean and all equipment shall be in working order. The driver must be an employee of the limo service. ARTIST will not ride in a rental van or limo driven by promoter ortheir staff. In addition, a tour guide and translator (if necessary) are required for shows requiring a stay of more than one day.

14.HOTEL – PURCHASERis responsible for providing ARTIST and representatives with TWO (2) single rooms and TWO (2) suites at a Four Star hotel (if available) WITH 24 HOUR ROOM SERVICE and COMPLIMENTARY HI-SPEED INTERNET ACCESS. If multiple rooms are required, all rooms must be on the same floor.

15.SOUND CHECK - ARTIST shall be afforded a one-hour sound check prior to opening of the doors to the public with all sound and light personnel present. REHEARSALS are to be “closed” and PURCHASER shall not permit any visitors on the stage or backstage unless agreed to by ARTIST.

16.GUEST LIST – PURCHASER agrees to provide ARTIST with TEN (10) all-access passes and TWENTY (20) complimentary tickets.

17.LENGTH OF PERFORMANCE - ARTIST agrees to perform a ONE HOUR SET on the main stage area.

18.SECURITY - PURCHASER agrees to provide adequate security to ensure the safety of all performing ARTIST, auxiliary personnel, instruments, equipment, costumes, and personal belongings, before, during and after the performance. PURCHASER shall indemnify ARTIST and promptly reimburse ARTIST for any item lost. Security personnel shall keep the stagefree of any persons other than those directly involved with the performance. Security personnel shall be stationed outside dressing rooms from the ARTIST’s arrival at venue, continuously throughout the ARTIST’s departure, and especially when the ARTIST is on stage. A member of the security staff will be provided to meet and escort ARTIST upon arrival. Under no circumstances will the ARTIST be lead through the public prior to the show.

19.DRESSING ROOMS & CATERING – The ARTIST and travelling companions (if applicable) will be provided with a dinner meal on all days of their stay or provided with a Per Diem in the amount of/equal to $50.00 USD per person for each day of ARTIST’S stay, payable in advance at the hotel upon check-in. PURCHASER agrees to provide One (1) large lockable dressing room (if available) for the sole use of the ARTIST. Dressing room will be comfortable and clean with heating or air-conditioning as appropriate to climate and will be furnished with (6) six comfortable chairs and couches, table, lined trash can. Dressing room will be located within easy access of hot and cold water and private toilet (not public restroom). Dressing room shall be equipped with:

·TWO (2) fresh assorted fruit platters

·Grilled chicken breasts for EIGHT (8) people

·Grilled or baked (NOT FRIED) fish for EIGHT (8) people

·Fresh steamed vegetables

·TWO (2) turkey and cheese platters

·TWENTY (20) assorted fruit drinks

·TWO (2) cases of Corona

·TWO (2) six-packs of Coca Cola

·TWO (2) cases of bottled spring water

·TWO (2) one-gallon bottles of Ocean Spray cranberry juice

·TWENTY-FOUR (24) Lipton hot tea bags with hot water

·TWO (2) bottles of honey

·Forks, knives, spoons, cups, napkins, plates, all condiment, and 3 large bags of ice

·Lots of water for onstage performers

20.LICENSES, VENUE PERMITS, ETC. - PURCHASER shall provide at his sole cost and expense all licenses, permits, authorizations and certificates required from each governmental authority, board, agency, guild or association properly havingjurisdiction over any element of the government. Any taxes imposed by any governmental authority with respect to the use or occupancy of the venue shall be paid by PURCHASER.

21.EQUIPMENT FAILURE - The ARTIST shall not be responsible or liable for any failure in the equipment, for whatever reasons. The ARTIST further reserves the right, without liability, to refuse to use any equipment, which he feels isunfit or unsafe or does not meet with the agreed specifications for the engagement.

22.INSURANCE – PURCHASER agrees to provide public charity coverage to protect against injuries to person or property as a consequence of the installation and/or operation of equipment provided to ARTIST. In addition, PURCHASER shall maintain a policy of workers compensation insurance covering all of its employees who are involved in the installation, operation and/or maintenance of the equipmentprovided by ARTIST’S against fire, theft, riot or any other type of act which would cause harm or damage to equipment. PURCHASER shall provide AGENT with a certificate of insurance at least 2 weeks prior to performance.

23.WEATHER CONDITIONS - If the above contracted performance is to be held outdoors, a covered stage must be provided. In the event of inclement weather, PURCHASER agrees that provisions to cover the stage area will be made at PURCHASERS sole cost and expense. Should stage not be dry and should ARTIST be subjected to rain or a shock hazard, or any other hazardous situation which is unacceptable to ARTIST and/or artist’s management, ARTIST shall not perform. If PURCHASER should, because of inclement weather, determines not to present the show it is specifically understood and agreed that the PURCHASER’s obligations hereunder to pay ARTIST shall not be modified, curtailed or diminished because of adverse weather conditions or any other form of inclement weather.

24.TECHNICAL RIDER/EQUIPMENT – PURCHASER agrees to provide a professional sound system with sufficient speaker and amplification systems to produce top quality house and on-stage sound without distortion or feedback. PURCHASER to provide a sound engineer for sound check and show. PURCHASER shall contact AGENT immediately upon receiving this rider if there are any problems meeting these requirements. Non-Provision of these items might result in termination of performance. If the venue contains a stage, ARTIST will be placed on the stage as opposed to the “DJ Booth”. Venue house sound system is NOTacceptable. The club/venue/promoter will provide:

·PROFESSIONAL LIGHTING SYSTEM WITH THREE SPOTLIGHTS

·FOUR (4) SHURE CORDLESS MICROPHONES IN EXCELLENT CONDITION WITH BRAND NEW BATTERIES

25.CANCELLATION – Cancellation on the part of the promoter will entitle the ARTIST to a 50% cancellation fee. In the event that illness makes the performance of the ARTIST impossible, ARTIST agrees to present PURCHASER with the respective medical certificate showing such illness and show date will be rescheduled as soon thereafter as possible. If in the event of air transportation delay due to airline, act of God, etc. ARTIST will make every effort to travel to the city of performance. IF EXTRA COSTS ARE INCURRED TO TRANSPORT ARTIST TO CITY OF ENGAGEMENT DUE TO AIR TRANSPORTATION DELAY, ACT OF GOD, ETC. PURCHASER SHALL INCUR EXTRA FEES DUE AND PAY ARTIST THIS BALANCE PRIOR TO HIS PERFORMANCE. If ARTIST is unable to reach performance because of air travel delays beyond ARTISTS control, the show date will be rescheduled as soon thereafter as possible.

26.FUTURE ENGAGEMENT CLAUSE - This Contract will also act as a non-compete agreement, as any future engagements made between the Artist and the Purchaser will gothrough the Agent. The term “non-compete” as used herein shall mean neither the Artist nor Purchaser shall directly or indirectly engage in scheduling, booking or agreeing to any other future performance or appearance between them, whether paid or charitable. The Purchaser agrees not to make any effort to schedule any future performances or appearances with the Artist directly; furthermore, the Purchaser agrees to advise Artist to contact the Agent for any future engagements or appearances that Artist may wish to hold in the Purchaser’s venue or possession.

27.BINDING AGREEMENT- It is a condition of this Agreement that should this contract not be fully executed within 14 days of its issuance and no written objection has been made, that these terms, agreed verbally between AGENT and PURCHASER, shall constitute a legal and binding agreement. There shall be no alterations or deletions to this Rider without prior approval of AGENT. Any and all changes must be initialed by both AGENT and PURCHASER in order to be binding. This Contract and Rider contain the Agreement in its entirety.
